THIS AGREEMENT DOES NOT AMEND ANY LEASE OR OPERATING AGREEMENT
BETWEEN THE INTEREST OWNERS AND THE LESSEE OR OPERATOR OR ANY OTHER
CONTRACTS FOR THE PURCHASE OF OIL OR GAS.
The undersigned certifies the ownership of their decimal interest in production or proceeds as
described above.
TERMS OF SALE: The undersigned will be paid in accordance with the division of interests as
set above. The payor shall pay all parties at the price agreed to by the operator for oil and gas to
be sold pursuant to this division order. Purchaser shall compute quantity and make corrections
for gravity and temperature and make deductions for impurities.
PAYMENTS: From the effective date, payments are to be made by checks of payor, its
successors or assigns, based on this division of interest, less taxes required by law to be
deducted and remitted by payor as purchaser. Payments of less than $100 will be accrued
before disbursement until the total amount equals $100 or more, or December 31 of each year,
whichever occurs first. Owner agrees to refund payor any amounts attributable to an interest or
part of an interest that owner does not own.

INDEMNITY: The owner agrees to indemnify and hold payor, its successors and assigns, and
its agents, servants and employees harmless from all liability resulting from payments made to
the owner in accordance with said division of interest, including but not limited to, attorney fees or
judgments in ccnnection with any suit that affects the owner's interest in which payor is made a

DISPUTES -WITHHOLDING OF FUNDS: If a suit is filed that affects the interest of the owner,
written notice shall be given to payor by the owner together with a copy of the complaint or
petition filed. Ir the event of a claim or dispute that affects title to the division of interest credited
herein, payor is authorized to withhold payments accruing to such interest, without interest unless
otherwise requi ^ed by applicable statue until the claim or dispute is settled.
TERMINATION: Termination of this agreement is effective on the first day of the month that
begins after the 30th day after the date written notice of termination is received by either party.
NOTICES:The owner agrees to notify payor in writing of any change in the division of interest,
including chances of interest contingent on payment of money or expiration of time. No change
of interest is binding on payor until the recorded copy of the instrument of change or documents
satisfactorily evidencing such change are furnished to payor at the time the change occurs. Any
change of interest shall be made effective on the first day of the month following receipt of such
notice by payor. Any correspondence regarding this agreement shall be furnished to the
addresses listed unless otherwise advised by either party.
DEFAULT: If a working interest owner is in default in the payment of its share of the lease
expenses, operator of the above lease, may withhold payment of any monies due the
undersigned urtil operator has recovered all monies it is due for lease expenses.
In addition to the terms and conditions of this Division Order, the undersigned and Payor may
have certain statutory rights under the laws of the state in which the property is located.

The undersigned, Matthew Callaway of lawful age, being first duly sworn on his oath states that he is
a Northern Region Landman, presently employed by Continental Resources, Inc , an Oklahoma Corporation,
duly qualified to do business in the State of Colorado and that he is authorized to make this affidavit on behalf
of said corporation, and that
1 Continental Resources, Inc is the owner and holder of an undivided interest in the oil and gas
leases described in Exhibit "A" attached hereto
2 Said leases are for a specified term and as long thereafter as oil gas casinghead gas
casinghead gasoline, or any of them are produced, or are capable of being produced from the
lands covered by said leases
3 Continental Resources, Inc has drilled the Planck 1-14H well under the terms of said leases
Such well was completed on or about May 2, 2012 as a producing oil well, and that said well has
been producing oil since that date
4 Such well is located within Sections 14 & 23 -8N -62W, Weld County, Colorado Said Sections 14
& 23 -8N -62W is a valid and existing spacing unit as created by the Colorado Oil and Gas
Conservabon Commission and all of the oil and gas leases in the said Sections 14 & 23 -8N -62W
either have heretofore been, or will be pooled together into a designated unit for the exploration
and production of oil and gas
This affidavit is made and filed of record for the purpose of giving notice of the aforementioned
producing well, and that all oil and gas leases covenng any portion of the said Sections 14 & 23 -8N -62W,
irregardless of whether or not such leases are described on the attached Exhibit "A", are now held by
production in accordance with the terms thereof

The Commission heard this matter on January 23, 2012, in Suite 801, The Chancery Building, 1120
Lincoln Street, Denser, Colorado, upon appticatiofor an order to pool all interests in one approximate 1280 -acre
dnlling and spacing unit for Sections 13 and 24, Township 8 North, Range 62 West, 6th P M , for the development and
operation of the Niobrara Formation
FINDINGS
The Commission finds as follows
1 Continental Resources, Inc ("Continental" or "Applicant"), as applicant herein, is an interested
party in the subject matter of the above -referenced heanng
2 Due notice of the time, place and purpose of the hearing has been given in all respects as
required by law
3 The Commission has jurisdiction over the subject matter embraced in said Notice, and of the
parties interested therein, and junsdiction to promulgate the hereinafter prescnbed order pursuant to the Oil and Gas
Conservation Act
4 On March 8, 2011, the Commission entered Order No 535-3, which among other things,
established 640 -acre dnlling and spacing units for certain lands, and authonzed one honzontal well in each unit for
the production of oil, gas and associated hydroca-bons from the Niobrara Formation Section 24, Township 8 North,
Range 62 West, 6th P M is subject to this Order
5 On August 8, 2011 the Commission entered Order No 535-51, which among other things,
vacated the approximate 640 -acre dnlling and spacing unit established for Section 24, Township 8 North, Range 62
West, and established 1,280 -acre dnlling and spacing units for certain lands, and authonzed one horizontal well in
each unit for the production of oil, gas and associated hydrocarbons from the Niobrara Formation Sections 13 and
24, Township 8 North, Range 62 West, 6th P M ale subject to this Order
6 On November 23, 2011, Continental, by its attomeys, filed with the Commission a venfied
application ("Application") for an order to pool all interests in an approximate 1280 -acre dnlling and spacing unit for the
below -listed lands ("Application Lands"), for the d velopment and operation of the Niobrara Formation, efectce as of
the earlier of the date of the Application, or the date that any of the costs specified in CRS § 34'60-116(7)(b)(II) weie first
incurred for the dnlling of the well, and to subject any nonccnsenting interests to the cost recovery promsions of C R S
§ 34-60-116(7)

based on a lack of notice of Continental's intent tc pool

to approve the Application based on the meets of the verified Application and the supporting exhibits Sworn written
testimony and exhibits were submitted in support of the Application
10 Testimony and exhibits submitted in support of the Application by Michael D Schooley,
Emerging Plays Landman for Continental, showed that all nonconsenting interest owners were notified of the
Application and received an Authonty for Expenditure ("AFE") and an offer to participate in the Well Further
testimony concluded that the AFE sent by the Applicant to the interest owners was a fair and reasonable estimate of
the costs of the proposed dulling operation and was received at least 30 days prior to the January 23, 2012 heanng
date
11 The above -referenced testimony and exhibits show that granting the Application will allow more
efficient reservoir drainage, will prevent waste, will assure a greater ultimate recovery of hydrocarbons, and will not
violate correlative nghts
12 Continental agreed to be bound by oral order of the Commission
13 Based on the facts stated in the venfied Application, having received no protests, and based on
the Heanng Officer review of the Application under Rule 511 , the Commission should enter an order to pool all
interests in one approximate 1280 -acre drilling and spacing unit for Sections 13 and 24, Township 8 North, Range 62
West, 6th P M , for the development and operation of the Niobrara Formation
ORDER
NOW, THEREFORE IT IS ORDERED, that
1 Pursuant to the provisions of §34-60-116, CRS , as amended, of the Oil and Gas Conservation
Act, all interests in the approximate 1280 -acre dnlling and spacing unit established for the below-descnbed lands are
hereby pooled, for the development and operation of the Niobrara Formation, effective as of the earlier of the date of
the Application, or the date that the costs specified In C R S §34-60-116(7)(b)(II) are first incurred for the dnlling of
the horizontal wet

Sections 13 and 24 All
2 The production obtained from the drilling and spacing unit shall be allocated to each owner in
the unit on the basis of the proportion that the number of acres in such tract bears to the total number of mineral
acres within the drilling and spacing unit, each owner of an interest in the drilling and spacing unit shall be entitled to
receive its share of the production of the Well located on the dnlling and spacing unit applicable to its interest in the
drilling and spacing unit
3 The nonconsenting leased (working interest) owners must reimburse the consenting working
interest owners for their share of the costs and nsks of dnlling and operating the Well (including penalties as provided
by §34-60-116(7)(b( C R S ) out of production from the dnlling and spacing unit representing the cost-beanng
interests of the nonconsenting working interest owners as provided by §34-60-f 16(7))a(, C R S
4 Any unleased owners are hereby deemed to have elected not to participate and shall therefore
be deemed to be nonconsenting as to the Well and be subject to the penalties as provided for by §34-60-116 (7),
CRS
5 Each nonconsenting unleased owner within the drilling and spacing unit shall be treated as the
owner of the landowner's royalty to the extent of 12 5% of its record title interest, whatever that interest may be, until
such time as the consenting owners recover, only out of each nonconsenting owners proportionate 87 5% share of
production, the costs specified in §34-60-116)7))b(, C R S as amended After recovery of such costs, each unleased
nonconsenting mineral owner shall then own its proportionate 8/8ths share of the Well, surface facilities and
production, and then be liable for its proportionate share of further costs incurred in connection with the Well as if it
had originally agreed to the drilling

6 The operator of the well dnllJd on the above-descnbed dnlling and spacing unit shall furnish the
nonconsenttng owners with a monthly statement of all costs incurred, together with the quantity of oil and gas
produced, and the amount of proceeds realized from the sale of production dunng the preceding month
7 Nothing in this order is intended to conflict with §34-60-116, C R S , as amended Any conflict
that may arise shall be resolved in favor of the statute

Hi Jess - I have received :his request. I just haven't had a chance to dig into it yet. We are currently inundated by
division orders. I will do my best to get to this shortly.
Please keep in mind. This is not a new oil and gas well. These are wells that have been in production for quite some
time. They were originallj owned by Red Hawk. We just bought them from Red Hawk. Any files on Red Hawk's
ownership will also be re.evant to Strachan's ownership.
