HomeMy WebLinkAbout20252749.tiffResolution Approve Memorandum of Understanding for Collaborative Support on Conflict of Interest Investigations and Authorize Chair to Sign — Mesa County Department of Human Services Whereas, the Board of County Commissioners of Weld County, Colorado, pursuant to Colorado statute and the Weld County Home Rule Charter, is vested with the authority of administering the affairs of Weld County, Colorado, and Whereas, the Board has been presented with a Memorandum of Understanding for Collaborative Support on Conflict of Interest Investigations between the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the Department of Human Services, and Mesa County Department of Human Services, commencing September 1, 2025, and ending August 31, 2026, with further terms and conditions being as stated in said memorandum of understanding, and Whereas, after review, the Board deems it advisable to approve said memorandum of understanding, a copy of which is attached hereto and incorporated herein by reference. Now, therefore, be it resolved by the Board of County Commissioners of Weld County, Colorado, that the Memorandum of Understanding for Collaborative Support on Conflict of Interest Investigations between the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the Department of Human Services, and Mesa County Department of Human Services, be, and hereby is, approved. Be it further resolved by the Board that the Chair be, and hereby is, authorized to sign said memorandum of understanding. The term of this MOU is September 1, 2025, through August 1, 2026, and may be extended upon mutual written agreement of the parties. This MOU has been reviewed and approved by Legal (B. Howell). What options exist for the Board? Approval of the Mesa County Department of Human Services MOU. Deny approval of the Mesa County Department of Human Services MOU. Consequences: Weld County will not have a current MOU in place with Mesa County for collaborative support on investigations that are a conflict of interest. Impacts: Weld County will not have assistance with investigations that area conflict of interest. Costs (Current Fiscal Year / Ongoing or Subsequent Fiscal Years): This is a non -financial MOU agreement. Ross 0./ Pass -Around Memorandum; September 30, 2025 — CMS ID 9939 2025-2749 Ili/$ 1*609 7 MEMORANDUM OF UNDERSTANDING BETWEEN THE WELD COUNTY DEPARTMENT OF HUMAN SERVICES AND THE MESA COUNTY DEPARTMENT OF HUMAN SERVICES r� L THIS MEMORANDUM OF UNDERSTANDING is entered into this �„ .day of UC"`be.i/ , 2025, by and between the Board of County Commissioners, on behalf of the Weld County Department of Human Services, hereinafter referred to as "Weld County," and Mesa County, Colorado, a political subdivision of the State of Colorado, by and through the Mesa County Department of Human Services hereinafter referred to as "Mesa County" (together the `Counties'). Purpose The purpose of this Memorandum of Understanding (MOU) is to establish an agreement between the Counties for collaborative support on investigations which are a conflict of interest for either party. Term of this Memorandum of Understanding This Memorandum of Understanding ("MOU" or "Agreement") shall be effective beginning September 1, 2025, through August 31, 2026, and may be extended upon mutual written agreement of the parties. Roles and Responsibilities There may be occasions when one of the counties receives a referral for an investigation that presents a conflict of interest. Such conflicts may arise due to employee involvement or a personal relationship between the county investigator and the client. In these situations, one county may request assistance from the other county to conduct the investigation. 1. If the counties agree, the county which received the conflict referral will provide the investigating county all documentation, witness statements and/or other evidence that pertain to the case. 2. The investigating county shall receive full cooperation from the other county. 3. The investigating county will assume full responsibility for expenses they incur as a result of the investigation. 4. The investigating county shall establish any claim associated with the investigation and shall be entitled to any retention monies from these claims. 5. No county is obligated to accept conflict referrals from the other. Modifications. This Agreement may be modified in writing, in whole or in part, upon approval of the signers. Termination. This Agreement may be terminated at any time by either party giving thirty (30) days written notice to the signers. No portion of this MOU shall be deemed to create an obligation on the part of the County of Weld, or County of Mesa, State of Colorado, to expend funds not otherwise appropriated, as this MOU is subject to the availability of funding. Therefore, Weld or Mesa County may terminate this MOU at any time if the source of funding for the services are no longer available, or for any other reason. Entire Agreement. This MOU contains the entire agreement and understanding between the parties with respect to the subject matter hereof and may not be changed or modified except as stated herein. This MOU shall be binding upon the parties hereto, their successors, heirs, legal representatives, and assigns. Parties may not assign any of its rights or obligations hereunder without the prior consent of both parties. No Third -Party Beneficiary. It is expressly understood and agreed that the enforcement of the terms and conditions of this MOU, and all rights of action relating to such enforcement, shall be strictly reserved to the undersigned parties and nothing in this MOU shall give or allow any claim or right of action whatsoever by any other person not included in this MOU. It is the express intention of the undersigned parties that any entity other than the undersigned parties receiving services or benefits under this MOU shall be an incidental beneficiary only. Governmental Immunity. No term or condition of this contract shall be construed or interpreted as a waiver, express or implied, of any of the immunities, rights, benefits, protections or other provisions, of the Colorado Governmental Immunity Act §§24-10-101 et seq., as applicable now or hereafter amended. Independent Contractor. Mesa County agrees that it is an Independent Contractor and that Mesa County's officers, agents or employees will not become employees of Weld County, nor entitled to any employee benefits from Weld County as a result of the execution of this MOU. Mesa County shall perform its duties hereunder as an Independent Contractor. Mesa County shall be solely responsible for its acts and those of its agents and employees for all acts performed pursuant to this MOU. Mesa County, its employees and agents are not entitled to unemployment insurance or workers' compensation benefits through Weld County and Weld County shall not pay for or otherwise provide such coverage for Mesa County or any of its agents or employees. Unemployment insurance benefits will be available to Mesa County and its employees and agents only if such coverage is made available by Mesa County or a third party. Mesa County shall pay when due all applicable employment taxes and income taxes and local head taxes (if applicable) incurred pursuant to this MOU. Severability. If any term or condition of this MOU shall be held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, this MOU shall be construed and enforced without such provision, to the extent that this MOU is then capable of execution within the original intent of the parties.
