Whereas, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
Whereas, the Board has been presented with a Memorandum of Agreement to Purchase
Property Interest for Acquisition of Right -of -Way and Easements for the County Roads 13
and 54 Intersection Roundabout Project between the County of Weld, State of Colorado,
by and through the Board of County Commissioners of Weld County, on behalf of the
Department of Public Works, and Coulson Excavating Company, Inc., commencing upon
full execution of signatures, with further terms and conditions being as stated in said
agreement, and
Whereas, after review, the Board deems it advisable to approve said agreement, a copy
of which is attached hereto and incorporated herein by reference.
Now, therefore, be it resolved by the Board of County Commissioners of Weld County,
Colorado, that the Memorandum of Agreement to Purchase Property Interest for
Acquisition of Right -of -Way and Easements for the County Roads 13 and 54 Intersection
Roundabout Project between the County of Weld, State of Colorado, by and through the
Board of County Commissioners of Weld County, on behalf of the Department of Public
Works, and Coulson Excavating Company, Inc., be, and hereby is, approved.
Be it further resolved by the Board that the Chair be, and hereby is, authorized to sign
said agreement and any necessary documents.

Brief description of the problem/issue:
Public Works is in the process of ROW acquisition for the WCR 54/13 Roundabout Project. During
the design phase of the project, it was determined that the County needed to acquire approximately
2.893 acres of right of way (ROW), 3.238 acres of permanent easements, and 2.959 acres of
temporary construction easements of the property owned Coulson Excavating Company, Inc.
(Coulson). During the ROW discussions with Coulson Weld County obtained a partial take appraisal
for the property. Coulson was given the opportunity to obtain an appraisal for the property. They
chose not to obtain an appraisal on the property.
Attached to this request is a map showing the extent of each option. Below is a table showing the
appraisal values for the partial take.

What options exist for the Board?
In order to acquire the needed ROW for the CR 66 Corridor project, the BOCC could decide to:
1. acquire the portion of the property that is needed for the project; or
2. request a work session to gather more information.
Consequences: Option 1 acquires the property required for the ROW, permanent easements, and
temporary construction easements. Coulson has indicated they want to counteroffer but they have not
provided the details of the counteroffer at this time.
Impacts: If the BOCC decides not to acquire the property for the project, the project will have to be
redesigned and CDOT will have to approve the new ROW acquisitions and the new construction
plans. CDOT has to approve the ROW acquisition and construction plans because the County has a
$1,419,409 grant for the project. Redesigning the project will likely add 2 additional years to the
schedule and will likely have to obtain ROW on the south side of WCR 54. A redesign will also cause
impacts to the Big Thompson River Floodplain and Floodway which will have to be mitigated. ROW
acquisition on the south side of WCR 54 will entail having to partially backfill at least 2 gravel pits.

The cost for the ROW, permanent easements, and temporary construction easements are shown in
the table above. Public Works has planned for the acquisition of this property in the 2025 budget.
Recommendation:
Public recommends option 1 which is to acquire the ROW, permanent easements, and temporary
construction easements required for the project. Public Works also recommends the BOCC allow the
Department to negotiate the Coulson counteroffer up to $600,000.00 from the $377,949.40 initial
offer. If Coulson counters with more than $600,000, Public Works will return to the BOCC for approval
before proceeding.

Dear Mrs. Gesick,
Please place the attached memorandum of agreement (MOA) on the BOCC agenda.
The MOA outlines the responsibilities for the County's purchase of ROW and easements
from Coulson Excavating within the project limits of the CR 54 and CR 13 Roundabout
project.
The agreement was reviewed by the BOCC in a pass around. The BOCC granted
Public Works the ability to negotiate up to $600,000 in order to acquire the ROW and
easements. The areas with handwritten changes need to be initialed by the BOCC
chair. The changes to the agreement follow the CDOT procedure for acquiring ROW.
A detailed explanation of the changes has been included in the Commissioner's
packet.
The County Attorney's office has reviewed the agreement.
Public Works has included the ROW and easement acquisition in its 2025 budget.
I will attend the BOCC meeting to answer any questions the BOCC may have.

The GRANTOR:
1) Represents that he or she is the legal owner of the property and has the right to convey the property in the
manner detailed in this Agreement;
2) Acknowledges that just compensation was determined by an appropriate valuation procedure prepared in
accordance with applicable laws and regulations, and hereby knowingly waives any right to contest such
valuation;
3) Agrees the amount of money and/or compensation listed above is full consideration for the following land,
easements, improvements, and damages of any kind whatsoever;
4) Will, at the closing, pay all taxes (including prorated taxes for the current year) and special assessments for the
current year;
5) Has entered into this agreement because the GRANTEE has the power of eminent domain and requires the
property for public purposes;
6) Shall be responsible for securing releases from all liens, judgments and financial encumbrances to deliver clear,
unencumbered title to GRANTEE. Any encumbrance required to be paid by GRANTOR shall be paid at or
before closing from the proceeds of the transaction hereby contemplated or from any lawful other source;
7) Will execute and deliver to GRANTEE those documents necessary for this transaction as indicated below;
8) Excepts from RWE-05, PE -05, PE -05A and PE -05B described herein in the attached Exhibits, the mineral estate
and including all coal, oil, gas and other hydrocarbons, and all day and other valuable mineral in and under said
subject property. The GRANTOR hereby covenants and agrees that the GRANTEE shall forever have the right
to take and use, without payment of further compensation to the GRANTOR, any and all sand, gravel, earth,
rock, and other road building materials found in or upon said subject property and belonging to the GRANTOR;
and
9) The GRANTOR further covenants and agrees that no exploration for, or development of any of the products, as
described above, and owned by the GRANTOR heretofore or hereafter the date set forth above and hereby
excepted will ever be conducted on or from the surface of the premises described in the attached Exhibits, and
that in the event any of such operations may hereafter be carried on beneath the surface of said premises, the
GRANTOR shall perform no ad which may impair the subsurface or lateral support of said premises. These
covenants and agreements hereunder, shall inure to and be binding upon the GRANTOR and its heirs, personal
and legal representatives, successors and assigns forever.
10) Acknowledges and agrees that by signing this Agreement, it may be waiving rights, including, but not limited
to, the right to contest GRANTEE's taking of possession or title to the property by eminent domain.

Environmental Laws or otherwise.
NOTE: At GRANTOR'S sole discretion, the GRANTOR may convey the underlying mineral estate owned by
GRANTOR to the GRANTEE. GRANTEE makes no representations about the nature, title or value of the mineral
estate. In transactions where GRANTOR conveys the underlying mineral estate to GRANTEE, Paragraphs 8 and 9,
as set forth above, will be deleted from this Memorandum of Agreement and the conveyance document.

1) This Agreement and the conveyance of the Property made pursuant to the tams herein, shall be binding upon, all
and inure to the benefit of and be enforceable by the parties and their heirs, executors, administrators, successors,
and assigns.
2) This Agreement shall not be valid until it has been approved by the Hoard of County Commissioners of Weld
County, Colorado or its designee.
3) No term or condition of this contract shall be construed or interpreted as a waiver, express or implied, of any of
the immunities, rights, benefits, protections, or other provisions, of the Colorado Governmental Immunity Act §24-
10-101 et seq., as applicable now or hereafter amended.
4) This Agreement irnluding the Exhibits attached hereto and incorporated herein, contains the entire agreement
between the parties with respell to the subject matter contained in this Agreement. This instrument supersedes all
prior negotiations, representations, and understandings or agreements with respect to the subject matter contained in
this Agreement. No oral representation, promise, or consideration different from the terms herein contained shall be
binding on either party, or its agents or employees. This Agreement may be changed or supplemented only by a
written instrument signed by both parties.
5) Colorado law, and rules and regulations established pursuant thereto, shall be applied in the interpretation,
execution, and enforcement of this Agreement. Any provision included or incorporated herein by reference which
conflicts with said laws, rules and/or regulations shall be null and void. In the event of a legal dispute between the
parties, the parties agree that the Weld County District Court shall have exclusive jurisdiction to resolve said
dispute.
6) If any term or condition of this Agreement shall be held to be invalid, illegal, or unenforceable by a court of
competent jurisdiction, this Agreement shall be construed and enforced without such provision, to the extent that
this Agreement is then capable of execution within the original intent of the parties.
7) In the event of litigation between the parties in connection with this Agreement, the parties agree that each party
shall be responsible for the payment of their respective attorney fees and/or legal costs incurred by or on its own
behalf
8) Any right or obligation in this Agreement that, by its terms, exists or is intended to be performed after termination
or Closing will survive Closing of this Agreement and will not be merged into the deed of the Property delivered by
GRANTOR or GRANTEE at Closing.

Settlement is hereby recommended for the following reasons:
Coulson Excavating Company, Inc. owns a parcel of land that consists of 117.75 total acres and is currently
zoned Agricultural (A). Weld County seeks a total of 2.8935 acres of right of way by deed of dedication (RWE-05),
2.8382 acres of permanent easement (PE -05, PE -05A, PE -05B) and 2.9596 acres of temporary easement (TE-
05, TE-05A) from the subject property. The acquisition will impact the existing 5 strand wire fencing, minerals that
are permitted to be mined and potential water storage.
Jon Vaughan's appraisal concluded a unit value of $48,000/acre. The right of way parcel totaled $138,888, the
permanent easements totaled $122,610, the temporary totaled $14,206 and the owner affected improvements
totaled $23,490. The County implemented an incentive program to add 30% to the land value which brought the
total offer to $377,949.40. The landowner did not get an appraisal but did provide an initial counter offer in the
amount of $1,787,500. The justification for the counter offer was based upon the loss of mineable sand and gravel
that is already permitted, engineering costs associated with revising the mining and reclamation plans and the
loss of water storage. They estimated a loss of 85,000 tons of pit run and approximately 35 acre-feet of water
storage. Based on an estimated $20/ton for th pit run and $2,500/acre foot, they calculated $1,700,000 for the
loss of sand and gravel and an additional $87,500 for loss of water storage.
The land value in Jon Vaughan's appraisal included the value of the gravel but subtracted out the costs
associated with mining the gravel and getting it to market. He also evaluated the loss of water storage but did not
include any value for engineering costs to revise the mining and reclamation plans. Through negotiations, the
landowner agreed to accept 32% of the original counter offer.
Coulson Excavating Company, Inc. has signed the MOA at $577,000 in order to reach a voluntary settlement.
Settlement of this acquisition would allow the County to avoid the additional cost of specialty reports, litigation,
attorney fees, court costs, and expert witness fees. I believe settlement in this matter is the most prudent course
of action.
❑ The variance from the FAIR MARKET VALUE appears substantial and the proposed settlement cannot
be justified in accordance with Federal Aid Regulations. If settlement is made as proposed, $ of
the amount of VARIANCE should be taken as non -participating.

INSTRUCTIONS FOR COMPLETION OF THE
RECOMMENDATION FOR SETTLEMENT (FORM 227A)
This form is used to provide a self explanatory narrative of all considerations that support a settlement. The relevant parcel details, the factors
considered in the settlement, and the reasoning used in arriving at the settlement amount must be clearly explained.
The extent of the written recommendation must be consistent with the situation, circumstances and the consideration involved. The
component parts of the settlement; land, improvements, real estate damages, fees and costs, etc., must be itemized to the greatest extent
possible.
Recommendations for settlement of federal aid parcels must emphasize federal participating items. The participating items to be emphasized
are the factors related to the acquisition value, real estate damages, sympathy for the owner, recent adverse awards in comparable cases and
other related factors. Less emphasis should be placed on saving appraisal and attorney fees. Any portion of he increase attributable to
nonparticipating items must be identified or estimated and handled as nonparticipating.

TYPE OF SETTLEMENT: Identify the settlement type; Administrative Settlement, Legal Settlement, Offer of Judgment or
other settlement.
RECOMMENDED SETTLEMENT:
Each component part of the settlement must be itemized to the greatest extent possible. For all
inclusive settlement, if the actual amount, attributed to each component cannot be documented,
the negotiator must estimate a reasonable amount for each appropriate component based on all
available information for the parcel and known amounts for similar parcels previously settled.

• Information contained in all available appraisals reports, including those of the owner;
• Substantial differences of opinion regarding valuation issues;
• Complexity of severance or other issues leading to uncertainty in value;
• Handling of legal issues in approved appraisals;
• Consideration of time to anticipated title transfer date;
• Credibility of expert witnesses;
• Likelihood of jury sympathy for the owner;
• Possibility of obtaining an unbiased jury;
• Recent court awards for eminent domain takings;
• Potential cost of litigation; and
• Other relevant information.
If the settlement includes a non -monetary benefit, an explanation and quantification of the
benefit must be included. Fees and costs must be supported and be based on the requirements
of Section 4.4.27 of the Right of Way Manual, Chapter 4.
RECOMMENDATION AND APPROVAL: This section requires the signatures of the specialist or trial attorney recommending the
settlement, concurrence and approval by the Region Right of Way Manager, as applicable, for
settlements at the Region level. Settlements outside Region authority require recommendation
of the Right of Way Manager in the Central Office and the Chief Engineer's approval. Approval
authority must be granted in accordance with Section 4.4.27 of the Right of Way Manual,
Chapter 4.
