RESOLUTION RE: APPROVE MEMORANDUM OF AGREEMENT FOR PURCHASE OF CERTAIN PROPERTY FOR PUBLIC ROAD IMPROVEMENTS FOR COUNTY ROAD 41 AND STATE HIGHWAY 52 INTERSECTION PROJECT, AND AUTHORIZE CHAIR TO SIGN ANY NECESSARY DOCUMENTS - HUGO VILLELA-PORTILLO WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to Colorado statute and the Weld County Home Rule Charter, is vested with the authority of administering the affairs of Weld County, Colorado, and WHEREAS, the Board has been presented with a Memorandum of Agreement for Purchase of Certain Property for Public Road Improvements for the County Road 41 and State Highway 52 Intersection Project between the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the Department of Public Works, and Hugo Villela-Portillo, commencing upon full execution of signatures, with further terms and conditions being as stated in said agreement, and WHEREAS, after review, the Board deems it advisable to approve said agreement, a copy of which is attached hereto and incorporated herein by reference. These improvements include widening of WCR 41 to accommodate North -bound and South -bound left turn lanes, and improved turning radii at all corners. The project involves CDOT funding and oversight, and CDOT plans to construct a traffic signal at the intersection once our project is completed (utilizing the same roadway configuration). Northeast of the intersection, a total of 1.04 acres of Right -of -Way (ROW) and 0.415 acre of Temporary Construction Easement (TCE) must be acquired to construct the intersection improvements. Hugo Villela- Portillo owns all affected areas and was provided a fair market value offer of $36,200.00. Following negotiation between Public Works staff, Weld County's ROW agent, and Mr. Villela Portillo's attorney, Mr. Villela-Portillo has signed the attached Memorandum of Understanding (MOA). The MOA indicates a settlement of $11,314.00 for ROW, $623.00 for TCE, $28,020.00 for affected improvements (gated irrigation pipe, grass hay, irrigation ditch, culvert, and fencing), and $5,500.00 for damages for a total settlement of $45,457.00. What options exist for the Board? 1. Allow the MOA to be placed on the next available BOCC Agenda. 2. Ask for a work session and additional information. Consequences: If the MOA is not placed on the BOCC Agenda and approved for signature, the property may need to be obtained through other means, which could significantly lengthen the project timeline. Impacts: This property acquisition directly impacts the project timeline. It allows relocation of the existing Xcel gas facility in Spring of 2024 and other utility relocations that must be completed in 2024 to keep roadway improvements on schedule for the 2025 construction season. Costs: Costs will not exceed $45,457.00 and are accounted for in the Public Works 2024 fiscal year budget. These are one-time costs so subsequent fiscal year budgets will not be affected. Recommendation: Public Works staff recommends placing the MOA on the next available BOCC Agenda for consideration. The TCE is conveyed from Owner to County immediately and shall expire and be of no further force or effect two (2) years later, or upon the County's determination that the Project is complete, whichever is earlier ("Term"). This TCE is granted solely for intersection improvements at Weld County Road 41 and Colorado State Highway 52 (the "Project") 2. The right to use the TCE shall belong to the County and its agents, employees, designees, contractors, guests, invitees, successors and assigns, and all those acting by or on behalf of the County for the Project including for the purpose of surveying, appraising, establishing, laying, constructing, reconstructing, installing, realigning, modifying, replacing, improving, adding, altering, substituting, operating, accessing, inspecting, patrolling, protecting, or repairing the roadway improvements, including the storage of materials related to said roadway improvements. In no event shall the County use the TCE within TCE Nos. 438 and 441 (per ROW Plans) for any purpose other than installing the culvert and regrading of the driveway access. The County agrees that TCE Nos. 438 and 441 will not be used for prolonged staging or parking vehicles or equipment. 3. County shall have the right of ingress, egress, entry and access in, to, through, on, over, under, and across the TCE from any adjacent property to which County has legal access, for any and all purposes necessary and/or incident to the exercise by the County of the rights granted to it hereunder. In further consideration of the granting of this TCE, it is hereby agreed that all work performed by the County, its successors and assigns, in connection with this Easement shall be done with care. In particular, the County agrees to take all measures necessary to protect Owner's well/diversion box ("Irrigation Well") approximately located near the northern end of the TCE with temporary fencing. 4. County agrees that any current access to the property from the adjacent right-of- way shall remain open throughout the term of the TCE. Owner and County agree to coordinate use of field access to prevent disruption in road construction activity. 6. Owner shall relocate the electric fence to accommodate for the TCE. After the termination of the TCE, Owner shall relocate the electric wire fence to the edge of the new right of way. Owner shall have the electric fence relocated within 2 weeks of County staking the right of way and temporary construction easement. 7. At the end of the term and any extension thereto, all rights granted under this TCE are released and the Property shall be considered free and clear of this TCE. Upon termination of the TCE, Owner shall obtain ownership of any materials installed by County at no cost to Owner. 8. In no event may any use of the TCE by the County and its contractors, consultants, subcontractors, subconsultants, materialmen, suppliers, workers, successors, and assigns thereof violate any applicable law, rule or regulation or materially impact Owner's farming operations in the adjacent property. To the extent allowed by law, the County shall indemnify and hold the Owner harmless against any claim of liability or loss from personal injury or property damage resulting from or arising out of the activities of the County and/or its contractors, consultants, subcontractors, subconsultants, materialmen, suppliers, workers, successors, and assigns. 9. Owner acknowledges that County is a governmental entity that has limited liability in certain situations. No term or condition of this Agreement shall be construed or interpreted as a waiver, express or implied, of any of the immunities, rights, benefits, protections, or other provisions of the Colorado Governmental Immunity Act §§24-10-101 et seq., C.R.S., as applicable now or hereafter amended. 10. In the event of litigation between the parties in connection with this Agreement, the parties agree that each party shall be responsible for the payment of attorney fees and or legal costs occurred by or on its own behalf. 11. Colorado law, and rules and regulations established pursuant thereto, shall be applied in the interpretation, execution, and enforcement of this Agreement. In the event of a legal dispute between the parties, the parties agree that Weld County District Court shall have exclusive jurisdiction to resolve said dispute. 12. Owner has provided the County with a copy of the report prepared in 2023 to use as the baseline and once the Post -Construction Test report and invoice are provided by Owner, County will pay reasonable testing fees to Field Well and Testing for the Post -Construction Test.. 14. This TCE is granted solely for intersection improvements at Weld County Road 41 and Colorado State Highway 52 (the "Project") 2. The right to use the TCE shall belong to the County and its agents, employees, designees, contractors, guests, invitees, successors and assigns, and all those acting by or on behalf of the County for the Project including for the purpose of surveying, appraising, establishing, laying, constructing, reconstructing, installing, realigning, modifying, replacing, improving, adding, altering, substituting, operating, accessing, inspecting, patrolling, protecting, or repairing the roadway improvements, including the storage of materials related to said roadway improvements. In no event shall the County use the TCE within TCE Nos. 438 and 441 (per ROW Plans) for any purpose other than installing the culvert and regrading of the driveway access. The County agrees that TCE Nos. 438 and 441 will not be used for prolonged staging or parking vehicles or equipment. 3. County shall have the right of ingress, egress, entry and access in, to, through, on, over, under, and across the TCE from any adjacent property to which County has legal access, for any and all purposes necessary and/or incident to the exercise by the County of the rights granted to it hereunder. In further consideration of the granting of this TCE, it is hereby agreed that all work performed by the County, its successors and assigns, in connection with this Easement shall be done with care. In particular, the County agrees to take all measures necessary to protect Owner's well/diversion box ("Irrigation Well") approximately located near the northern end of the TCE with temporary fencing. 4. At the expiration of the Term of this TCE, County shall promptly repair any damage to Owner's property caused by County and compensate Owner for any crop damages, damages to livestock and other items caused by County, its agents, employees, eom-2th *da- 3/27/24 e' ,P,;(g/D4/0) 0/.27/02 contractors, guests, invitees, and all those acting by or on behalf of County so as to maintain the Owner's property in substantially as good or better condition as existed prior to use by County. In the event of crop damages for hay in the area shown in Exhibit A, the County shall pay two (2) years of crop damage, including a reasonable profit, which payment shall be upon a basis consistent with the market conditions, at the time such crops are damaged. 5. County agrees that any current access to the property from the adjacent right-of- way shall remain open throughout the term of the TCE. Owner and County agree to coordinate use of field access to prevent disruption in road construction activity. 6. Owner shall relocate the electric fence to accommodate for the TCE. After the termination of the TCE, Owner shall relocate the electric wire fence to the edge of the new right of way. Owner shall have the electric fence relocated within 2 weeks of County staking the right of way and temporary construction easement. 7. At the end of the term and any extension thereto, alt rights granted under this TCE are released and the Property shall be considered free and clear of this TCE. Upon termination of the TCE, Owner shall obtain ownership of any materials installed by County at no cost to Owner. 8. In no event may any use of the TCE by the County and its contractors, consultants, subcontractors, subconsultants, materialmen, suppliers, workers, successors, and assigns thereof violate any applicable law, rule or regulation or materially impact Owner's farming operations in the adjacent property. To the extent allowed by law, the County shall indemnify and hold the Owner harmless against any claim of liability or loss from personal injury or property damage resulting from or arising out of the activities of the County and/or its contractors, consultants, subcontractors, subconsultants, materialmen, suppliers, workers, successors, and assigns. 9. Owner acknowledges that County is a governmental entity that has limited liability in certain situations. No term or condition of this Agreement shall be construed or interpreted as a waiver, express or implied, of any of the immunities, rights, benefits, protections, or other provisions of the Colorado Governmental Immunity Act §§24-10-101 et seq., C.R.S., as applicable now or hereafter amended. 10. In the event of litigation between the parties in connection with this Agreement, the parties agree that each party shall be responsible for the payment of attorney fees and or legal costs occurred by or on its own behalf. 11. Colorado law, and rules and regulations established pursuant thereto, shall be applied in the interpretation, execution, and enforcement of this Agreement. In the event of a legal dispute between the parties, the parties agree that Weld County District Court shall have exclusive jurisdiction to resolve said dispute. 12. Prior to commencement of any construction, if requested by Owner, County and Owner shall hold a pre -construction meeting on the property. This meeting shall be held no more than 10 calendar days prior to commencement of any construction activities. If Owner requests a pre -construction meeting with County but fails to attend the scheduled meeting, County shall be permitted to immediately commence construction activities on the TCE. In addition to the foregoing, and if requested by Owner prior to the end of the Term, the County and Owner shall have a pre -reclamation meeting on Owner's Property prior to County commencing its reclamation activities on Owner's Lands. County shall provide Owner with at least fourteen (14) days' notice prior to commencing reclamation activities on Owner's Property. If Owner requests a pre -reclamation meeting with County but fails to attend the scheduled meeting, the County shall be permitted to immediately commence its reclamation activities on the TCE. 13. During the first April following the end of the Term, County shall meet Owner and Shannon Scholefield of Field Well and Testing to test and verify the condition and output of the Irrigation Well (Post -Construction Test). In the event that the Irrigation Well test shows a lower output or any variation in performance from the base test done on April 24, 2023, the County shall pay all costs and expenses to repair the Irrigation Well to perform the same or better than prior to the County's activities on the Owner's Property. Owner has provided the County with a copy of the report prepared in 2023 to use as the baseline and once the Post -Construction Test report and invoice are provided by Owner, County will pay reasonable testing fees to Field Well and Testing for the Post -Construction Test.. 14. County agrees to complete construction of irrigation structure as detailed on the attached Irrigation Construction Plan Sheet by April 14, 2024. 15. All of the covenants herein contained shall be binding upon and inure to the benefit of the Parties hereto, their respective heirs, personal representatives, successors and assigns. 16.
