Brief description of the problem/issue:
In 2021, Weld County requested a, professional services engagement with Tyler Technologies fora specific project requirement. After the engagement
was formalized, it was found that the professional services were not required. No funds were spent, and no work was done, yet today the work order
remains open, and Tyler is requesting that we formally cancel the agreement. The cancellation Terms have been reviewed by the County Attorney

AMENDMENT
This amendment ("Amendment") is effective as of the date of signature of the last party to sign as
indicated below ("Amendment Effective Date"), by and between Tyler Technologies, Inc. with offices at
One Tyler Drive, Yarmouth, Maine 04096 ("Tyler") and Weld County, Colorado, with offices at 915 19th
Street, Greeley, Colorado 80631 ("Client").
WHEREAS, Tyler and the Client are parties to an agreement dated August 17, 2011 ("Agreement"); and
WHEREAS, Tyler and Client desire to amend the terms of the Agreement as provided herein.
NOW THEREFORE, in consideration of the mutual promises hereinafter contained, Tyler and the Client
agree as follows:
1. The following unused services, added to the Agreement pursuant to the signed Tyler sales
quotation (quotation #2020-111880), dated March 1, 2021, are hereby removed from the
Agreement as of the Amendment Effective Date:
a. Image and Data Collection Services, at a contract price of $2,100.00.
2. This Amendment shall be governed by and construed in accordance with the terms and
conditions of the Agreement.
3. Except as expressly indicated in this Amendment, all other terms and conditions of the
Agreement shall remain in full force and effect.
IN WITNESS WHEREOF, the parties hereto have executed this Amendment as of the dates set forth

Brief description of the problem/issue:
This agreement is for professional data conversion services from Tyler Technologies, Inc. to upload
historical surveyor image files to the Clerk & Recorder system. This project (CR-1058) is in support of the Weld
Enterprise imaging project and will provide efficiency for the public and other departments to access the
information.
These services are a one-time cost of $2100.00.
Karin McDougal has reviewed the agreement.
What options exist for the Board? (include consequences, impacts, costs, etc. of options):
The Board has the option of approving this agreement to allow access to the historical data or operating as is.
Recommendation:
The vendor specializes in this application and Weld County IT recommends the Board grant approval for
the Chair to sign the attached agreement.

Client agrees that items in this sales quotation are, upon Client's signature or approval of same, hereby added to the existing
agreement ("Agreement") between the parties and subject to its terms. Additionally, payment for said items, as applicable but subject
to any listed assumptions herein, shall conform to the following terms:

Weld County - Image and Data Conversion Services
Tyler Technologies will provide the following remote services as follows:
Tyler will upload images and data, as provided in a format that meets Tyler's data and imaging requirements, previously provided.
Images/data must be located on the application server. Tyler shall have access to said application server, coordinated with Weld
County to meet all County security requirements.
Images/data must be completed and in Weld County's possession prior to approval of this proposal, and subsequent scheduling of
services.
Uploads will be scheduled with Weld County at a time that is convenient for both Tyler and Weld County, as not to interfere with
other processes or conversions that are being performed.
Scope of Work:
Project Management
Image and Data Conversion Services - New Records
I) Weld County will provide Tyler Technologies with the location of images and data for upload, as the images are being scanned on -
site.
2) Tyler will upload images and data to TEST, creating new records.
3) Weld County to review images and data for quality assurance in TEST within 5 days upon receiving notice of completion.

5) Weld County to review images for quality assurance in PROD.
6) Any consultation services between Tyler and County for corrections will be billable on a time and material basis.
