Hi Kim,
Sorry for the delayed response. There is an agreement between Tri-State and United Power for this transfer. It will be
executed pending their exit from Tri-State in May. The agreement is public knowledge.
The facilities are:
Greenhouse — Davis 115kV Transmission Line USR14-0067 (the Greenhouse — Henry Lake 230kV portion of this USR will
stay with Tri-State)
Greenhouse — Colfer 230kV Transmission Line and Colfer Substation USR15-0049 (these are the only parts of this USR
that were built)

ASSIGNMENT OF EASEMENTS

THIS ASSIGNMENT OF EASEMENTS is entered into by TRI-STATE GENERATION
AND TRANSMISSION ASSOCIATION, WC: ("Tri-State"), a Colorado cooperative
corporation, whose address is 1100 West 116th Avenue, Westm nster, Colorado 80234, for the
benefit of UNITED POWER, INC. ("United Power"), a Colorado cooperative association,
whose address is 500 Cooperative Way, Brighton, CO 80603.
WHEREAS, Tri-State owns certain electric transmission facilities, including fixtures and
improvements associated therewith (the "Transmission Facilities").
WHEREAS, Tri-State also owns certain easements and/or rights -of -way for electric
transmission line purposes and which are associated with the Transmission Facilities as more
particularly described on Schedule 1.13 attached hereto and incorporated herein by reference
(the "Easements").
WHEREAS, pursuant to that certain Contract for the Purchase and Sale of Transmission
Facilities dated December 8, 2023, 24-TSGT-00O1 (the "Contract"), United Power desires to
acquire from Tri-State the Easements, and Tri-State desires to transfer and convey to United
Power the Easements.
NOW, THEREFORE, in consideration of the mutual promises and covenants contained
in the Contract and other good and valuable consideration, the receipt and sufficiency of which
are hereby acknowledged and consistent with the Contract:
Tri-State assigns and transfers to United Power, and United Power accepts and assumes (as to
obligations arising or becoming due after the date hereof), all of Tri-State's rights to construct,
operate, and maintain electric transmission and distribution lines or systems, including rights of
access thereto, and all other rights and privileges pertaining to such transmission and/or
distribution lines or systems, together with all obligations, responsibilities and liabilities arising
or becoming due after the date hereof, as set forth in each and all of the Easements described in
the attached Schedule 1.1.3. Such assignment includes all rights and privileges, express or
implied, as provided by the Easements as well as all rights, privileges, and claims as provided by
or resulting from Colorado common law or agreements with any of the affected landowners,
whether in writing or otherwise, that have been acquired by Tri-State through operation of law,
principles of estoppel or acquiescence, rights of prescription, or otherwise.
Pursuant to the Contract, the property rights described above are assigned from Tri-State to
United Power free and clear of all of all liens, mortgages, and security interests filed, placed or
created by or through Tri-State, but subject to all encumbrances of record.
United Power does hereby consent to the existence of those certain water pipeline easements
described in the attached Addendum A, and agrees not to disturb Tri-State's interests or rights
therein.
This Assignment is made to and for the benefit of United Power and its successors and assigns_

United Power is hereby granted and assigned the right to perfect such interests in a court of law
or equity.
This Assignment shall be governed by the laws of the State of Colorado.
