RE: APPROVE MEMORANDUM OF UNDERSTANDING FOR REALIZING APTITUDES
PROGRAM AND AUTHORIZE CHAIR TO SIGN - FORWARD STEPS
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with a Memorandum of Understanding for the
Realizing Aptitudes Program between the County of Weld, State of Colorado, by and through the
Board of County Commissioners of Weld County, on behalf of the Department of Human Services,
Weld County Youth Conservation Corps (WCYCC), and Forward Steps, commencing upon full
execution of signatures, with further terms and conditions being as stated in said memorandum
of understanding, and
WHEREAS, after review, the Board deems it advisable to approve said memorandum of
understanding, a copy of which is attached hereto and incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of
Weld County, Colorado, that the Memorandum of Understanding for the Realizing Aptitudes
Program between the County of Weld, State of Colorado, by and through the Board of County
Commissioners of Weld County, on behalf of the Department of Human Services, Weld County
Youth Conservation Corps (WCYCC), be, and hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized
to sign said memorandum of understanding.
The above and foregoing Resolution was, on motion duly made and seconded, adopted
by the following vote on the 6th day of November, A.D., 2024.

Brief description of the problem/issue: The Department is requesting to enter into a MOU with Forward Steps
for the purpose of utilizing the Realizing Aptitudes (RA) program. Forward Steps and Weld County are partnering
to provide Virtual Reality (VR) career exploration, career coaching, and career development workshops to
students of the Weld County Youth Conservation Corps (WCYCC). Forward Steps will provide all necessary
career coaching and workshop assessments, virtual reality headsets, supplies and materials.
What options exist for the Board?
• Approval of the MOU with Forward Steps.
• Deny approval of the MOU with Forward Steps.
Consequences: Forward Steps will not have the opportunity to offer the RA Program to WCYCC youth.
Impacts: WCYCC will not be able to take advantage of the Forward Steps RA Program .
Costs (Current Fiscal Year / Ongoing or Subsequent Fiscal Years):
• Total cost = This is a non -financial MOU.
• Term = from the effective date and will be in perpetuity.
Recommendation:
• Approval of the Memorandum of Understanding and authorize the Chair to sign.

Memorandum of Understanding Between
Forward Steps
And
Weld County Department of Human Services
Youth Conservation Corps
This Memorandum of Understanding is made on MNen*l tf (.p , 2024 by and between
Forward Steps, PO Box 3484, Boulder, Colorado, 80307, and Weld County Department of
Human Services Youth Conservation Corps, hereinafter referred to as the "WCYCC", 315 North
11th Aveune, Building B, Greeley, CO 80631.
The parties hereby bind themselves to undertake a Memorandum of Understanding
("Agreement") under the following terms and conditions:
TERM. The term of this Agreement shall be in effect for the duration of the partnership
between the Realizing Aptitudes program of Forward Steps and Weld County Youth
Conservation Corps.
PURPOSE. The Realizing Aptitudes (RA) program of Forward Steps and Weld County are
partnering to provide Virtual Reality (VR) career exploration, career coaching, and career
development workshops to students of the WCYCC. Career coaching sessions can be individual
or small groups.
ROLES AND RESPONSIBILITIES.
Forward Steps shall perform the following obligations:
1. Provide unlimited individual or small group VR career exploration sessions to interested
students.
2. Provide unlimited individual or small group career coaching services to interested
students.
3. Provide career and stress management workshops.
4. Provide all necessary career coaching and workshop assessments, virtual reality headsets,
supplies, and materials.
5. Document staff meetings, gather feedback about services provided, and prepare a debrief
report at the conclusion of each cycle for consideration by WCYCC staff
WCYCC shall perform the following obligations:
1. Act as a liaison with an RA coach to provide opportunities for career exploration and
readiness services through career coaching to WCYCC participants.
2. Act as a liaison with an RA coach to identify meeting space for career coaching sessions.
3. Act as a liaison with an RA coach to provide one (1) to three (3) photograph(s) of
services provided by RA per cycle to be used in accordance with the terms of the section
below, "Communications".
OUTCOMES AND EVALUATION. The RA coach will evaluate career coaching services using mixed
methods including a quantitative pre -post evaluation and qualitative inquiry. The RA coach will also
provide a customized debrief report to Weld County, Employment Services of Weld County (ESWC),
WCYCC Program Leader detailing the program activities, program outcomes, and recommendations.
GOVERNANCE AND LEADERSHIP. The RA program staff and WCYCC staff will be the
primary points of contact for the partnership ("Staff'). Staff will meet as needed to plan and
execute activities included in the Agreement. Forward Steps executive director will be available
to Staff as needed to provide program direction and any necessary authorizations.
INDEPENDENT CONTRACTOR. Forward Steps agrees that it is an independent contractor
and that Forward Step's officers, agents or employees will not become employees of County, nor
entitled to any employee benefits (including unemployment insurance or workers' compensation
benefits) from County as a result of the execution of this Agreement. Forward Steps shall be solely
responsible for its acts and those of its agents and employees for all acts performed pursuant to
this Agreement. Forward Steps, its employees and agents are not entitled to unemployment
insurance or workers' compensation benefits through County and County shall not pay for
or otherwise provide such coverage for Forward Steps or any of its agents or employees.
Unemployment insurance benefits will be available to Forward Steps and its employees and
agents only if such coverage is made available by Forward Steps or a third party. Forward
Steps shall pay when due all applicable employment taxes and income taxes and local head
taxes (if applicable) incurred pursuant to this Agreement.
DATA USE AND CONFIDENTIALITY. The Realizing Aptitudes program is being
supported, in part, by federal award number SLFRF0126 awarded to the State of Colorado by the
U.S. Department of the Treasury. This includes funding appropriated to the Colorado Workforce
Development Council through HB21-1264. As such, RA staff are required to gather
demographic information and eligibility documentation from each individual served including
full name, date of birth, gender, ethnicity, education level, address, and a self -attestation form
(Appendix A). To support this process, individuals will sign a Release of Information between
WCYCC and RA.
Forward Steps will not externally release any identifying information or specific career -related
information of any individual(s) served under this Agreement, beyond entry into Connecting
Colorado for grant purposes, unless the individual(s) provide expressed consent. RA coach(es)
will release career -related data and reports to WCYCC staff as requested.
ETHICS AND CONFIDENTIALITY. Forward Steps adheres to the National Career
Development Association Code of Ethics.
TERMINATION. Either party may terminate this Agreement at any time.
FINANCIAL RELATIONSHIP. Forward Steps will provide all services, materials, and
supplies at no cost.
INSURANCE. Forward Steps must secure, before the commencement of the Work, the
following insurance covering all operations, goods, and services provided pursuant to this
Agreement, and shall keep the required insurance coverage in force at all times during the term of
the Agreement, or any extension thereof, and during any warranty period. For all coverages, Forward
Step's insurer shall waive subrogation rights against County.
a. Types of Insurance.
Workers' Compensation / Employer's Liability Insurance as required by state statute,
covering all of Forward Step's employees acting within the course and scope of their
employment. The policy shall contain a waiver of subrogation against the County. This
requirement shall not apply when Forward Steps or subcontractor is exempt under
Colorado Workers' Compensation Act., AND when such Forward Steps or subcontractor
executes the appropriate sole proprietor waiver form.
Commercial General Liability Insurance including public liability and property damage,
covering all operations required by the Work. Such policy shall include minimum limits as
follows: $1,000,000 each occurrence; $1,000,000 general aggregate; $1,000,000 Personal
injury; $5,000 Medical payment per person.
Automobile Liability Insurance: Forward Steps shall maintain limits of $1,000,000 for
bodily injury per person, $1,000,000 for bodily injury for each accident, and $1,000,000 for
property damage applicable to all vehicles operating both on County property and
elsewhere, for vehicles owned, hired, and non -owned vehicles used in the performance
of this Contract.
Professional Liability (Errors and Omissions Liability). The policy shall cover
professional misconduct or lack of ordinary skill for those positions defined in the Scope
of Services of this contract. Forward Steps shall maintain limits for all claims covering
wrongful acts, errors and/or omissions, including design errors, if applicable, for damage
sustained by reason of or in the course of operations under this Contract resulting from
professional services. In the event that the professional liability insurance required by
this Contract is written on a claims -made basis, Forward Steps warrants that any
retroactive date under the policy shall precede the effective date of this Contract; and that
either continuous coverage will be maintained or an extended discovery period will be
exercised for a period of two (2) years beginning at the time work under this Contract is
completed. Minimum Limits: $1,000,000 Per Loss; $1,000,000 Aggregate.
b. Proof of Insurance. Upon County's request, Forward Steps shall provide to County a
certificate of insurance, a policy, or other proof of insurance as determined in County's
sole discretion. County may require Forward Steps to provide a certificate of insurance
naming Weld County, Colorado, its elected officials, and its employees as an additional
named insured.
c. Subcontractor Insurance. Forward Steps hereby warrants that all subcontractors providing
services under this Agreement have or will have the above described insurance prior to
their commencement of the Work, or otherwise that they are covered by Forward Step's
policies to the minimum limits as required herein. Forward Steps agrees to provide proof
of insurance for all such subcontractors upon request by the County.
d. No limitation of Liability. The insurance coverages specified in this Agreement are the
minimum requirements, and these requirements do not decrease or limit the liability of
Forward Steps. The County in no way warrants that the minimum limits contained herein
are sufficient to protect Forward Steps from liabilities that might arise out of the
performance of the Work by Forward Steps, its agents, representatives, employees, or
subcontractors. Forward Steps shall assess its own risks and if it deems appropriate and/or
prudent, maintain higher limits and/or broader coverages. Forward Steps is not relieved of
any liability or other obligations assumed or pursuant to the Contract by reason of its failure
to obtain or maintain insurance in sufficient amounts, duration, or types. Forward Steps
shall maintain, at its own expense, any additional kinds or amounts of insurance that it may
deem necessary to cover its obligations and liabilities under this Agreement.
e. Certification of Compliance with Insurance Requirements. Forward Steps stipulates that it
has met the insurance requirements identified herein. Forward Steps shall be responsible
for the professional quality, technical accuracy, and quantity of all services provided, the
timely delivery of said services, and the coordination of all services rendered by Forward
Steps and shall, without additional compensation, promptly remedy and correct any errors,
omissions, or other deficiencies.
INDEMNITY. Forward Steps shall defend, indemnify and hold harmless County, its officers,
agents, and employees, from and against any and all injury, loss, damage, liability, suits, actions,
claims, or willful acts or omissions of any type or character arising out of the Work done in
fulfillment of the terms of this Agreement or on account of any act, claim or amount arising or
recovered under workers' compensation law or arising out of the failure of Forward Steps to
conform to any statutes, ordinances, regulation, judicial decision, or other law or court decree.
Forward Steps shall be fully responsible and liable for any and all injuries or damage received or
sustained by any person, persons, or property on account of its performance under this Agreement
or its failure to comply with the provisions of the Agreement. It is agreed that Forward Steps will
be responsible for primary loss investigation, defense and judgment costs where this contract of
indemnity applies. In consideration of the award of this contract, Forward Steps agrees to waive
all rights of subrogation against the County its associated and/or affiliated entities, successors, or
assigns, its elected officials, trustees, employees, agents, and volunteers for losses arising from the
work performed by Forward Steps for the County. A failure to comply with this provision shall
result in County's right to immediately terminate this Agreement.
COMMUNICATIONS. Per the grant agreement between Forward Steps and The Weld Trust,
Forward Steps must obtain at least one photograph of services provided and photographic release
form (Appendix A).
ASSIGNMENT. Neither party may assign or transfer this Agreement without prior written
consent of the other party, which consent shall not be unreasonably withheld.
ENTIRE AGREEMENT. This Agreement contains the entire Agreement of the parties
regarding the subject matter of this Agreement.
AMENDMENT. This Agreement may be modified or amended if the amendment is made in
writing and signed by both parties.
GOVERNING LAW. This Agreement shall be governed by and construed in accordance with
the laws of Colorado.
SIGNATORIES. This Agreement shall be signed by Jennifer Falkoski, Executive Director, on
behalf of Forward Steps, and The Weld County Board of County Commissioners, on behalf of
WCYCC, and shall be effective as of the date first written above.
