Re: Request for Consent to Assignment
To Whom It May Concern:
We are writing today concerning the leases described on the attached Exhibit A (hereinafter the
"Agreement", whether one or more).
In connection with that certain Purchase and Sale Agreement dated April 19, 2024 (as maybe amended
from time to time, the "PSA") among 8 North, LLC, Bonanza Creek Energy Operating Company, LLC,
Civitas North, LLC, Extraction Oil & Gas, Inc., HighPoint Operating Corporation, Mountaintop Minerals,
LLC and Fifth Pocket Production, LLC (collectively, "Civitas") as sellers, and Bison IV Properties
Colorado, LLC ("Bison"), as buyer, Civitas has agreed to sell to Bison, and Bison has agreed to purchase
and acquire from Civitas, certain oil and gas properties and assets, including the Agreement. The PSA is
expected to close on or around May 29, 2024.
Our records indicate that your consent may be required to assign the Agreement to Bison. The purpose of
this letter is to request your consent for Civitas to assign all of its interests and rights under the Agreement
to Bison (and/or its affiliates), to the extent such consent is required by the terms of the Agreement.
However, nothing contained in this letteris intended or should be construed as granting you rights to which
you are not currently contractually or otherwise entitled under the terms of the Agreement.
Please provide your consent to the foregoing assignment(s) by signing and dating this letter in the space
provided below and then returning asignedcopyviaemaittomyeast@civiresources.com. In order to ensure
a smooth and timely transition of the Agreement, we would appreciate having your response no later than
May 15, 2024.
