RE: APPROVE MEMORANDUM OF UNDERSTANDING FOR RESIST PEER MENTORING
PROGRAM, A WELDWAITS AFTERSCHOOL MENTORING PROGRAM, AND
AUTHORIZE CHAIR PRO-TEM TO SIGN - WELD COUNTY SCHOOL DISTRICT 6
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with a Memorandum of Understanding for the
RESIST Peer Mentoring Program, a WeIdWAITS Afterschool Mentoring Program, between the
County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld
County, on behalf of the Department of Public Health and Environment, and Weld County School
District 6, commencing upon full execution of signatures, and ending June 30, 2029, with further
terms and conditions being as stated in said memorandum of understanding, and
WHEREAS, after review, the Board deems it advisable to approve said memorandum of
understanding, a copy of which is attached hereto and incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld
County, Colorado, that the Memorandum of Understanding for the RESIST Peer Mentoring
Program, a WeIdWAITS Afterschool Mentoring Program, between the County of Weld, State of
Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the
Department of Public Health and Environment, and Weld County School District 6, be, and hereby
is, approved.
BE IT FURTHER RESOLVED by the Board that the Chair Pro-Tem be, and hereby is,
authorized to sign said memorandum of understanding.

PASS -AROUND TITLE: Renewal of Memorandum of Understanding with Weld County School District Six
DEPARTMENT: Public Health and Environment DATE: April 2, 2024

Brief description of the problem/issue: WeidWAITS implements an after -school transition program for fifth
graders transitioning into middle school. The 10 -week program meets after school, once a week at specific
elementary schools to help support a successful transition into middle school through connections, character,
and competencies. Based on a Positive Youth Development framework, students learn about the importance
of healthy friendships, setting boundaries, implementing refusal skills, and developing positive character traits.
Weld County School District Six (D6) requires a facility use form that includes an indemnification clause which
needs a signature from a representative requesting the use of the specific school. Weld County legal has
advised staff not to sign this clause. This MOU exempts Weld County from this requirement. (This is a
renewal of a similar MOU entered into in August 2019 and set to expire in June 2024.)
What options exist for the Board? The Board can approve or deny the MOU.
Consequences:
Declining this MOU will limit efforts to help elementary students successfully transition into middle
school since we would not be able to utilize D6 elementary schools to host the implementation of the
program due to the indemnification clause in the facility use form.
Impacts:
Approval of this MOU will allow the program to partner with D6 to implement RESIST and host the
transition program at specific elementary schools. This will eliminate several barriers to participation,
with the biggest being transportation, and allow WeIdWAITS to help prepare students to successfully
transition into middle school with increased confidence which will increase student attendance,
academic involvement, and a possible decrease in discipline referrals.
Costs (Current Fiscal Year / Ongoing or Subsequent Fiscal Years):
No additional county funding requested.
Recommendation: I recommend approval of this MOU renewal with Weld County School District 6.

MEMORANDUM OF UNDERSTANDING BETWEEN WELD COUNTY &
WELD COUNTY SCHOOL DISTRICT SIX
THIS MEMORANDUM OF UNDERSTANDING ("MOU") is made and entered into this 17. day of April,
2024, by and between the County of Weld, by and through its Board of County Commissioners, whose address is 1150
"O" Street, Greeley, Colorado 80631, on behalf of the Weld County Department of Public Health and Environment,
hereinafter referred to as "County," and Greeley/Evans School District Six, whose address is 1025 9"' Avenue,
Greeley, Colorado 80631, hereinafter referred to as "District".
WHEREAS, County administers the RESIST peer mentoring program, and
WHEREAS, District desires to allow County to administer the RESIST program to students at participating District
6 schools, at no cost to the District, pursuant to the terms and conditions of this MOU.
NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, the parties hereto
agree as follows:
1. Program. The County shall, during the term of this MOU, have the authority, but not obligation, to provide
services associated with the RESIST peer mentoring program ("Program"), as described in Exhibit A, which is
attached hereto and incorporated herein by this reference, to participating District 6 Schools.
2. Term. The term of this MOU shall commence upon mutual execution and shall expire on June 30, 2029.
3. Termination. This MOU may be terminated by either party upon Ten (10) days prior written notice to the other party for
any reason.
4. Extension or Modification. Any amendments or modifications to this MOU shall be in writing signed by both parties.
5. Compensation. Neither party shall pay any compensation to the other party pursuant to this MOU.
6. Background Checks. County warrants that it has complied with the provisions of C.R.S. §22-32-122(4), and that County
has caused to be performed a criminal background check for any person providing services under this MOU, including any
subcontractor or other agent of the County, if the person provides direct services to students, including but not limited to
transportation, instruction, or food services. The background checks required by this paragraph shall be required only for
those persons ages 18 and above who have regular, but not incidental, contact with students at least once a month. The
results of any such background check will be made available to the District upon request.
7. Facility Use Form. The Director of the Weld County Department of Public Health and Environment (WCDPHE) or
his/her designee, annually or as often as needed, shall submit to the District a Facility Use Form provided by the District.
Such form shall provide contact information, notice of the dates, and description of facility needs for the program, but shall
not include additional contractual provisions (e.g. indemnification, insurance).
8. Independent Contractor. County agrees that it is an independent contractor and that County's officers, agents or
employees will not become employees of the District, nor entitled to any employee benefits from the District as a result of
the execution of this MOU. County shall provide services hereunder as an independent contractor.
9. Interruptions. Neither party to this MOU shall be liable to the other for delays in delivery or failure to deliver or
otherwise to perform any obligation under this MOU, where such failure is due to any cause beyond its reasonable control,
including but not limited to Acts of God, fires, strikes, war, flood, earthquakes or Governmental actions.
10. Non -Exclusive Agreement. This MOU is nonexclusive. The District may engage or use other contractors or persons
to perform services of the same or similar nature, and County may provide similar services to other persons or entities.

11. Entire Agreement/Modifications. This MOU including the Exhibits attached hereto and incorporated herein, contains
the entire agreement between the parties with respect to the subject matter contained in this MOU. This instrument
supersedes all prior negotiations, representations, and understandings or agreements with respect to the subject matter
contained in this MOU. This MOU may be changed or supplemented only by a written instrument signed by both parties.
12. Fund Availability. As Colorado governmental entities, financial obligations of the parties payable after the current
fiscal year are contingent upon funds for that purpose being appropriated, budgeted and otherwise made available. Execution
of this MOU by the parties does not create an obligation on the part of either party to expend funds not otherwise
appropriated in each succeeding year.
13. Severability. If any term or condition of this MOU shall be held to be invalid, illegal, or unenforceable by a court of
competent jurisdiction, this MOU shall be construed and enforced without such provision, to the extent that this MOU is
then capable of execution within the original intent of the parties.
14. Governmental Immunity. No term or condition of this contract shall be construed or interpreted as a waiver, express
or implied, of any of the immunities, rights, benefits, protections or other provisions, of the Colorado Governmental
Immunity Act §§24-10-101 et seq., as applicable now or hereafter amended.
15. No Third Party Beneficiary. It is expressly understood and agreed that the enforcement of the terms and conditions
of this MOU, and all rights of action relating to such enforcement, shall be strictly reserved to the undersigned parties and
nothing in this MOU shall give or allow any claim or right of action whatsoever by any other person not included in this
MOU. It is the express intention of the undersigned parties that any entity other than the undersigned parties receiving
services or benefits under this MOU shall be an incidental beneficiary only.
16. Board of County Commissioners of Weld County Approval. This MOU shall not be valid until it has been approved
by the Board of County Commissioners of Weld County, Colorado or its designee.
17. Choice of Law/Jurisdiction. Colorado law, and rules and regulations established pursuant thereto, shall be applied in
the interpretation, execution, and enforcement of this MOU. Any provision included or incorporated herein by reference
which conflicts with said laws, rules and/or regulations shall be null and void. In the event of a legal dispute between the
parties, the parties agree that the Weld County District Court shall have exclusive jurisdiction to resolve said dispute.
18. Acknowledgment. The parties acknowledge that each has read this MOU, understands it and agrees to be bound by its
terms. Both parties further agree that this MOU, with the attached Exhibit A, is the complete and exclusive statement of
agreement between the parties and supersedes all proposals or prior agreements, oral or written, and any other
communications between the parties relating to the subject matter of this MOU.

Exhibit A
Statement of Work for RESIST
I. Entity Name: Weld County Department of Public Health and Environment
II. Term of MOU: July 1, 2024 - June 30, 2029
III. Project Description: RESIST is an after -school program sponsored by the Weld County
Department of Public Health and Environment to help prepare fifth grade students at select
District 6 elementary schools for the transition into middle school. It is a cascading model made
up of high school students and elementary students. WeIdWAITS staff train and equip carefully
selected high school students who will lead adult supervised meetings with fifth grade students.
The program is based on the Positive Youth Development framework that provides an
intentional, prosocial, strengths -based approach that engages youth; recognizes, utilizes, and
enhances the strengths of youth; and promotes positive outcomes for youth. The goal of RESIST
is to support a successful transition into middle school through connections, character, and
competencies, as well as leadership development for high school students.
IV. Services Provided by Contractor:
Completely FREE after -school program;
• Program planning and support for RESIST;
• Selection and training of high school students;
• Adult supervision of participating students during RESIST meetings;
• Weekly meetings with fifth grade students when RESIST is offered (Exceptions include
days that the school is closed for vacations, holidays, and inclement weather);
Communication with parents of fifth grade students regarding program goals,
expectations, schedules, and permission forms;
Communication with District 6 Facility Use Department and participating school
administration and sponsors regarding logistics for RESIST meetings and protocols for
safety and volunteer check in procedures.
V. Work Plan: Provide quality, youth -centered, after -school programming that supports positive
development and complements school -day activities to prepare fifth grade students for middle
school and offer high school students leadership skills. The program will also support parent -
child connectedness through a family engagement activity booklet that encourages continual
discussion of the topics at home. Meetings held weekly with fifth grade students at select
District 6 elementary schools will provide a healthy snack, physical activities, creative
experiences for self -reflection, and large group and small group activities and discussions on the
following topics:
