HomeMy WebLinkAbout20242280.tiffRESOLUTION RE: APPROVE AGREEMENT FOR RELOCATION OF GAS METERING STATION AND GAS MAIN FOR COUNTY ROAD 41 AND STATE HIGHWAY 52 INTERSECTION IMPROVEMENT PROJECT, AND AUTHORIZE CHAIR TO SIGN - ATMOS ENERGY CORPORATION WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to Colorado statute and the Weld County Home Rule Charter, is vested with the authority of administering the affairs of Weld County, Colorado, and WHEREAS, the Board has been presented with an Agreement for the Relocation of a Gas Metering Station and a Gas Main for the County Road 41 and State Highway 52 Intersection Improvement Project between the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the Department of Public Works, and Atmos Energy Corporation, commencing upon full execution of signatures, and ending December 16, 2024, with further terms and conditions being as stated in said agreement, and WHEREAS, after review, the Board deems it advisable to approve said agreement, a copy of which is attached hereto and incorporated herein by reference. NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld County, Colorado, that the Agreement for the Relocation of a Gas Metering Station and a Gas Main for the County Road 41 and State Highway 52 Intersection Improvement Project between the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the Department of Public Works, and Atmos Energy Corporation, be, and hereby is, approved. BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized to sign said agreement. Ross, Chair Lori Seine BOARD OF COUNTY COMMISSIONERS PASS AROUND REVIEW PASS AROUND TITLE: Utility Relocation Agreement (Atmos Energy) (WCR 41 / SH 52 Intersection Improvements) DEPARTMENT: Public Works DATE: 08/20/24 PERSON REQUESTING: Erich Green / Don Dunker / Curtis Hall Brief description of the problem/issue: Weld County is contracting construction of roadway intersection improvements at WCR 41 and SH 52 in 2025. Once our project is completed, CDOT plans to install a traffic signal at the intersection under their own contract and management (utilizing the same roadway configuration). Atmos Energy (Atmos) has an existing gas metering station at the northeast corner of the intersection that was within private property prior to new road ROW being acquired. The metering station must be relocated, and the estimated cost to Weld County is $199,794.33. Atmos must also relocate 1,820 feet of existing 3 -inch gas main within the WCR 41 ROW at their sole cost. Following the gas main relocation, removal/abandonment of gas mains no longer in service will be completed by Weld County during road construction to lessen impact and increase safety for the traveling public. Weld County is being credited an amount of $8,626.00 for these associated costs. Therefore, the total amount payable to Atmos for the metering station relocation is $191,168.33 and Atmos has signed the agreement as attached. What options exist for the Board? 1. Allow the Utility Relocation Agreement to be placed on the next available BOCC Agenda. 2. Ask for a work session and additional information. Consequences: If the Utility Relocation Agreement is not placed on the BOCC Agenda and approved for signature, the project timeline may be lengthened. Impacts: This Utility Relocation Agreement directly impacts the project timeline. It allows relocation of existing Atmos utilities to be completed in 2024 to keep roadway improvements on schedule for the 2025 construction season. Costs: Costs will not exceed $191,168.33 and are accounted for in the Public Works 2024 fiscal year budget. These are one-time costs so subsequent fiscal year budgets will not be affected. Box 758, 1150 O Street, Greeley, CO 80632, hereinafter called "County". WITNESSETH: WHEREAS, to promote the safety of the citizens of County and other members of the travelling public, County has undertaken the construction of a public improvement project for the Weld County Road 41 (WCR 41) and State Highway 52 (SH 52) Intersection, hereinafter referred to as the "Project", and WHEREAS, to construct the Project, County is acquiring property rights from private property owners to utilize as road right-of-way for WCR 41 and SH 52, hereinafter referred to as "New Project ROW', and WHEREAS, County anticipates all New Project ROW to be acquired no later than June 30, 2024, and WHEREAS, Atmos owns an existing natural gas pressure regulating/metering station in the northeast quadrant of the Project as depicted in Exhibit A, hereinafter referred to as "Gas Metering Station", and WHEREAS, the Gas Metering Station is located within private property interest being acquired for the New Project ROW, and Atmos is willing to relocate the Gas Metering Station outside of the New Project ROW as depicted in Exhibit B to facilitate construction of the Project, and WHEREAS, in recognition of the Gas Metering Station being located within private property interest, County agrees to provide the necessary funding for Atmos to relocate the Gas Metering Station, and WHEREAS, Atmos also owns an existing 3 -inch plastic natural gas main, hereinafter referred to as "Existing Gas Main," located within Existing WCR 41 and SH 52 Rights -of -Way, hereinafter referred to as "Existing ROW," as depicted in Exhibit A, and WHEREAS, Atmos is willing to relocate the Existing Gas Main to a location within the New Project ROW, hereinafter referred to as "New Gas Main," as depicted in Exhibit B to facilitate the construction of the Project, and 4979396 Pages: 1 of 26 08/28/2024 02:13 PM R Fee:$0.00 Carly Koppes, Clerk and Recorder, Weld County , CO J4 MAIM WHEREAS, Atmos acknowledges that it must abandon the Existing Gas Main and install the New Gas Main within the New Project ROW at its sole cost, and WHEREAS, following connection of the New Gas Main, there will be one (1) abandoned 3 -inch plastic natural gas main and one (1) formerly abandoned 3 -inch steel natural gas main, both owned by Atmos, collectively "Abandoned Mains", and County requires removal or abandonment of the Abandoned Mains as depicted in Exhibit A; and further, County requires the removal or abandonment of the Abandoned Mains to occur during construction of the Project rather than immediately following connection of the New Gas Main, and WHEREAS, Gas Metering Station and New Gas Main are hereinafter referred to collectively as the "Gas Facilities", and WHEREAS, Atmos is willing to relocate the Gas Metering Station subject to an agreed amount of reimbursement by County for the justifiable portion of the costs incurred for relocating the Gas Metering Station, less the estimated Abandoned Mains removal and abandonment costs that will be incurred by County during Project construction. NOW, THEREFORE, for and in consideration of the mutual covenants and agreements hereinafter contained, the parties hereby agree as follows: I. ATMOS RIGHTS and RESPONSIBILITIES 1. Atmos Facilities Relocation: Atmos shall relocate the Gas Metering Station and install the New Gas Main as depicted on attached Exhibits B and C. The existing Gas Metering Station including all abandoned underground appurtenances located within the New Project ROW shall be removed as part of the agreed amount of reimbursement by County. The relocated Gas Metering Station will be located within private property interest, and the New Gas Main will be located within the New Project ROW. All work necessary to accomplish the Gas Facilities relocations and installation shall be performed in accordance with Atmos specifications and the professional standards governing such Work, in accordance with the provisions of this Agreement, and shall conform to the performance standards and requirements set forth herein and in all Exhibits. 2. Relocations Not to Conflict with Improvements: Atmos shall install the New Gas Main as described and shown on Exhibit B, so that it can accommodate the common use of the property with the proposed roadway improvements or other utility locations and/or relocations. To ensure there are no conflicts, Atmos shall be responsible for survey staking the locations and elevations of the new Gas Facilities. Within seven (7) calendar days of relocation and installation of the Gas Facilities being completed, Atmos shall provide field designation and written confirmation to County to establish the specific locations of all abandoned Atmos gas pipelines within the Project. 3. Timing of Facilities Relocation: Atmos shall commence relocation and installation of the Gas Facilities upon receipt from the County of a fully executed copy of this Agreement; and receipt of the Deposit as defined below. Atmos Responsible for Traffic Control: Throughout the relocation process, Atmos agrees that it shall be responsible for coordination of traffic control as established by the most recent version of the "Manual on Uniform Traffic Control Devices" (MUTCD). 5. Atmos Shall Obtain Right -of -Way Permits: Atmos shall obtain all necessary permits from County required for the Work under this Agreement. II. COUNTY RIGHTS and RESPONSIBILITIES 1. Estimates of Relocation Expenses: County has agreed to reimburse Atmos for the expenses incurred in fulfillment of its obligations under this Agreement for the Gas Metering Station relocation as set forth in Exhibit C, less the estimated Abandoned Mains removal and abandonment costs that will be incurred by County during Project construction as set forth in Exhibit D. 2. Increases/Decreases in Estimated Expenses: Atmos has estimated the County portion of the total cost of said Gas Metering Station relocation to be $199,794.33, which includes specific work outlined in Exhibits B and C. County has estimated the Abandoned Mains removal and abandonment costs to be $8,626.00, which includes the specific work outlined in Exhibits A and D. The difference in these costs results in the amount of $191,168.33, payable to Atmos by County. Prior to Atmos commencing relocation and installation of the Gas Facilities, County shall deposit the sum of $191,168.33 with Atmos (the "Deposit"), which represents 100% of the estimated Gas Metering Station relocation costs, less 100% of the estimated Abandoned Mains removal and abandonment costs to be incurred by County during construction of the Project. Atmos and County agree to share final construction invoices within thirty (30) calendar days of the completion of their respective shares of the work. If the difference in final costs (following relocation construction, removal and abandonment construction, project review, and reconciliation) is less than the deposit paid by County, Atmos shall refund said difference to County. If said difference in final costs exceed the deposit paid by County, County shall pay those reasonable additional expenses incurred by Atmos. The owing party shall pay their balance within thirty (30) calendar days of Atmos's and County's exchange of final construction invoices. 3. County to Stake Right -of -Way: County shall establish and stake the New Project ROW and necessary proposed Project improvements such as culverts within the work area prior to relocation of the Atmos Gas Facilities. County shall verify the relocations to confirm that said relocations are sufficiently clear of Project construction work. 4. County's Right to Terminate: County may terminate this Agreement at any time prior to Atmos's commencement of Work. MISCELLANEOUS 1. Board of County Commissioners of Weld County Approval: This Agreement shall not be valid until it has been approved by the Board of County Commissioners of Weld County or its designee. 2. Agreement Binding: This writing, together with the exhibits, constitutes the entire Agreement between the parties hereto with respect to the subject matter herein, and shall be binding upon said parties, their officers, employees, agents and assigns, and shall inure to the benefit of the respective survivors, heirs, personal representatives, successors and assigns of said parties. 3. No Third Party Beneficiary: It is expressly understood and agreed that the enforcement of the terms and conditions of this Agreement, and all rights of action relating to such enforcement, shall be strictly reserved to the undersigned parties, and nothing in this Agreement shall give or allow any claim or right of action whatsoever by any other person not included in this Agreement. It is the express intention of the undersigned parties that any entity other than the undersigned parties receiving services or benefits under this Agreement shall be an incidental beneficiary only. 4. Time of the Essence: Time is of the essence in each and all of the provisions of this Agreement. 5. Fund Availability: Financial obligations of the Board of County Commissioners of Weld County payable after the current fiscal year are contingent upon funds for that purpose being appropriated, budgeted and otherwise made available. By execution of this Agreement, County does not warrant funds will be available to fund this Agreement beyond the current fiscal year. 6. Severability: If any term or condition of this Agreement shall be held to be invalid, illegal, or unenforceable, this Agreement shall be construed and enforced without such provision, to the extent that this Agreement is then capable of execution within the original intent of the parties. 7. Attorney Fees/Legal Costs: In the event of a dispute between County and Atmos, concerning this Agreement, the parties agree that neither party shall be liable to or responsible for the payment of attorney fees and/or legal costs incurred by or on behalf of the other. 8.
