The undersigned certifies the ownership of their decimal interest in production or proceeds as described above. payable by PDC
Energy Inc ("Payor").
Payor shall be notified. in writing, of any change in ownership. decimal interest, or payment address. All such changes shall be
effective the first day of the month following receipt of such notice.
Payor is authorized to withhold payment pending resolution of a title dispute of adverse claim asserted regarding the interest in
production claimed herein by the undersigned. The undersigned agrees to indemnify and reimburse Payor any amount attributable to
an interest to which the undersigned is not entitled.
Payor may accrue proceeds until the total amount equals one hundred dollars ($100). paid annually. or as required by applicable state
statute.
This Division Order does not amend any lease or operating agreement between the undersigned and the lessee or operator or any
other contracts for the purchase of oil or gas.
In addition to the terms and conditions of this Division Order. the undersigned and Payor may have certain statutory rights under the
laws of the state in which the property is located.
By signing this Division Order. if a new well is drilled in the same spacing unit wherein your interest remains unchanged. you agree
to receive a Letter in Lieu in place of a Division Order. You agree that your receipt of such Division Order. without objection. sent to
PDC within 10 days of such receipt. will constitute affirmation of and agreement to this Division Order. for all purposes with respect
to such new well. This allows us to place you in pay without delay, and eliminates the need for you to sign additional Division
Orders.

REQUIREMENT No. 8: (Weld Country's Mineral Interest in the S/2SW/4 of Section 15 and N12N'2 of Section 22)
Portions of Weld County Road No_ 56 are located in the Sr 2SW/'4 of Section 15 and the Ni2N12 of Section 22. In
the Drilling and Division Order Title Opinion dated December 30. 2010, covering the S 2Si2 of Section 15 and N/2
of Section 21 prepared by Peter J. Wall on behalf of Burns, Wall and Mueller P.C.. Mr. Wall set forth the following
discussion regardilg, the mineral ownership of that portion of the S►i2SW/4 of Section 15 as described by metes and
bounds, Tracts ,4C and 25C herein_ and that portion of the N, 2N/2 of Section 22 underlying Weld County Road
No. 56 as Requirement No. 11.
By instrument entitled Right -of Way Deed dated December S, 1925, recorded January 12, 1926 fat
Reception No. 477310], J.M.B. Petr ik n, Trustee under the Weil of _Asa Sterling, deceased, et al.
conveyed to Weld County, Color ado, a tract of land situated in the SW'4 of Section 15 and the N.72
of Section 22._.said tract being 80 feet in width, being 40 feet on each side of a centerline of
Highwaj No. 2, as described in such instrument "to have and hold said premises above bargained
and described with appurtenances unto The said Weld Count)', its successor and assigns forever for
a public highway, as if taken under eminent domain." [the Right -of -Way Deed] The referenced
instrument could be construed as conveying a right-of-is'av only, based on the decision in Board of
County' Commissioners v. _limns, 147 Colo. 1, 362 P.2d f 2021 (1961). The case of Farmers
Reservoir and Irrigation Company. v. Sun Production Company, 721 P. 2d 119S (Colo. App. 1956 h
lends some support to an argument that the Count' acquired fee title to the lands.
Mr. Wall vent on to state that he credited the Right -of -Way Deed as conveying a fee interest in Tracts 24C' and
_5C due to the existence of Lease 1969211 and because Oil and/or Gas Division Order dated January 20. 1992_
recorded at Reception No_ 2277537 credits Weld C'otuit\ . Colorado with an interest in the Loustalet B415-11 and
15-15 wells in the E. 2 SW 4 of Section 15.. However. Mr. Wall noted that previous examiners have treated the Right -
of -Way ay as only conveying a right-of-way and not a fee simple interest. In the Supplemental Drilling and Division
Order Title Opinion dated June 2. 2016. cover ng the W/2W!2 of Section 22 and the E:2 of Section 21. prepared by
Ben Gurney on behalf of Hovey Law Firm PC:. Mr. Gurney set forth the following discussion regarding the mineral
ownership of that portion of the W''NW 4 of Section 22 as described by metes and bounds. part of Tracts 31A
through 3lE_ herein as Requirement No. 9:
In this instance, the Right -of -Way Deed is nor on a General T arrann' Deed _form and the Deed
does not contain a 11'a17'ar2n clause. Further, t}?? Right -of -Way Deed has language of limitation
stating that the strip of land is for a public highway, as if taken under eminent domain. While t Ie
case law regarding the acquisition of mineral interest in condemnation proceedings is nor entirely
cleat; th€, dicta stated hr the recent Colorado Supreme Court decision in Department of
Transportation v. Cnpsuin Ranch Company, L.LC, indicates that mineral interests could not be
obtained via eminent domain proceedings unless the condemning entiy is the Colorado
Deparnnent of Transportation and the condemnation occurred prior to 2008. The language
conveying the Right -of -Way to Weld County, C9lorado `'for public highway, as if taken under
eminent domain " limits the Interest taken to what could have been taken under eminent domain,
winch by the dicta In Gypsum Ranch Company would be limited to the Right -of -Way. and nor a full
fee interest. However, this issue has never been d'r ectk presented to the Courts in Colorado and it
is uncertain what the Courts would do regarding this specific Right -of -Way Deed. Due to the lack
of,eidavi is of Production and Pooling In Sec nor 22, it would appear that Weld County, Colorado
has not claimed this mineral interest and the Weld Conlin. Lease was a protection lease. Due to the
dicta contained in the above mentioned Colorado Supreme Court case, it does not appear that
mineral inter"eSts could be acquired through eminent domain proceedings. gs. The limiting language
in the Rig;.r-of-Way JVai Deed supports the position that the Gr'antor's did nor Intend to convey a full fee
interest, bat only a right-of-way. Therefore, the ownership interests set forth herein do not credit
Weld County, Colorado as owning a mineral Interest in the NW/4 of Section 22.
hi the Supplemental Dnllung and Division Order Title Opinion dated August 11_ 2015_ covering the W ' 2W:2 ; , of
Section 23 and E. 2W,, , and the E 2 of Section 22. prepared by Patrick B. McRorie on behalf of Lathrop and Gage
LLP.. Mr_ McRone came to a similar conclusion as Ms Gurney and set forth the following discussion regarding
the mineral ownership of the E/2.N 4T/4 and NE./4 of Section 22. Tracts 28A through 30 herein as Comment and
Requirement No. 15:
In Board of County Commissioners v. 'looms, 362 P.2d 202 (Colo. 19611, the Colorado Supreme
Court considered vut ;'0rrs factors to determine whether a conveyance was one in fee or one_ for a
right -of L'ai. Those factors include: the obvious ol?/ecrive of the parties, the nominal
consideration, the shape of the tract conveyed, the stipulated purpose of its use, and that the Counn:
could acquire the parcel only for a public puip9se.
Appivwg Those factors here. the language contained in each of the above instruments suggests that
the grantors' intent was to grant Weld Count space to build public roads. The shape of the tracts
conveyed further supports the conclusion that the tracts were to be utiii:ed only as public
roacbi ays--n;'o of the instruments clarify that no other pm poses is permitted. The consideration
paid for the above noted parcels was (a) $50.00, (b) 47.50, (c) 525.00, (dt $25.00, (e) $600.00 and
(f) 51.00 respectively. While the consideration paid for _five of the six parcels was nominal, sonic
weight can be given to the 5600.00 sure paid bn • Weld County to parties in the instniment described
in (e) for the 80 -foot -wide parcel as crossing the North section line of Section 22. Nonetheless, the
undersi`'ied assumed the difference in consideration is attributable more to the sophisticated
bargaini ig position of me parties negotiating the right -of -war discussed at instrument (e) than it
was the anent of parties to convey a fee interest. Bolstering this point is the fact that both of The
conveyances along the North hue of Steak'', (e) acid if , iser-e recorded as "Right of Weer
Deeds."
Vbnt'ithrandi ug the existence of oil and gas leases executed b1' Weld Corinth, Colorado which
cover some of the above -noted tracts of land, the undersigned has concluded that the intent of each
of these ristr71rr1entS was to make a grant of a r' iii t -of wen and not a conveyance of a fee interest.
Mr. Gurney and Mr. McRorie both required you to determine whether Weld County claims a mineral interest
underlying Weld County Road No. 56. You should be aware of this discrepancy in ownership due to the contrary
interpretations of the Right -of -Way Deed The owners: ip schedule herein credits Weld County as ownin° a mineral
interest in Tracts 24C and 25C. but not in the Tracts 28A through ;1E due to the prior examiners' ownership subject
to the requirement below It is important to note tha-. the legal descriptions for the NE.4NWI4 and N- 2NE'4 of
Section ?? Supplemental Drilling and Division Order Title Opinion dated August 11_ 2015. covering the W/2W.12
of Section 23 and E12.\\/2 and the E2 of Section 22 legal descriptions in the NE4NW:4 4 and N 2NE-'4 of Section
22. duplicated herein as Tracts 28A thmughi 30_ do not indicate that the tracts extend to the centerline of Weld
County Road No 56. except for Tract 29C. Regardless_ the undersigned has extended these tracts to the centerline
of Weld County Road No. 56 for the reasons stated above. In addition. the ownership schedule included herein
credits Lease 19( 9212 21, as covering an interest in Tracts 24C and 2 5C due to the prior examiner-

I have attached calculations here — please note the Waterme on Schrute DSU is on the first tab and the Schrute 10N WBSU
is on the second tab. Reception numbers for the leases tied to this interest can be found on this spreadsheet as well. I have
also included a copy of title requirement 8, which is tied to a aortion of Weld Count's interest in the Schrute 10N well.
These wells began producing in March and April of this year k ut we use the 01/01/1990 effective date for systematic
purposes.
