RE: APPROVE AMENDMENT #4 TO LEAVE MANAGEMENT SERVICES AGREEMENT
AND AUTHORIZE CHAIR PRO-TEM TO SIGN - UPMC BENEFIT MANAGEMENT
SERVICES, INC., DBA WORKPARTNERS
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with Amendment #4 to the Leave
Management Services Agreement between the County of Weld, State of Colorado, by and
through the Board of County Commissioners of Weld County, on behalf of the Department of
Human Resources, and UPMC Benefit Management Services, Inc., dba Workpartners,
commencing January 1, 2024, and ending December 31, 2024, with further terms and conditions
being as stated in said amendment, and
WHEREAS, after review, the Board deems it advisable to approve said amendment, a
copy of which is attached hereto and incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of
Weld County, Colorado, that Amendment #4 to the Leave Management Services Agreement
between the County of Weld, State of Colorado, by and through the Board of County
Commissioners of Weld County, on behalf of the Department of Human Resources, and UPMC
Benefit Management Services, Inc., dba Workpartners, be, and hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Chair Pro-Tem be, and hereby is,
authorized to sign said amendment.
The above and foregoing Resolution was, on motion duly made and seconded, adopted
by the following vote on the 12th day of February, A.D., 2024, nunc pro tunc January 1, 2024.

Brief description of the problem/issue:
Our contract with Work Partners is set for renewal and they are requesting a 5% cost of living rate increase. Our PEPM cost would increase from $2.55
to $2.68.
What options exist for the Board?
Approve and contract renewal process is initiated.
A non -approval would require a negotiation of fees or going out for bid.
Consequences:
Changes to budget for line item. Staff time to negotiate and/or pursue a RFP fora new FMLA administrator service.
Impacts:
Minimal impact and the increase would be in align with what other providers are currently doing with contract fees.
Cost (Current Fiscal Year/Ongoing or Subsequent Fiscal Years:
Our PEPM cost would increase from $2.55 to $2.68.
Recommendation:
Staff recommendation is for approval.

FOURTH AMENDMENT TO LEAVE MANAGEMENT SERVICES AGREEMENT
THIS FOURTH AMENDMENT TO LEAVF MANAGEMENT SERVICES
AGREEMENT (the "Fourth Amendment"), effective ciliaiiakki t , 2024, is
entered into by and between UPMC Benefit Management Services, rec., d/b/a Workpartners
("Workpartners") and County of Weld ("County"). Workpartners and County may be
individually referred to as a "Party," and shall be collectively referred to as the "Parties."
WHEREAS, Workpartners and County are Parties to a Leave Management Services
Agreement effective August 20, 2019 (the "Agreement"), whereby Workpartners agreed to
provide certain leave management administration and information services, as further set forth in
the Agreement; and
WHEREAS, the Parties have agreed to amend the Agreement in certain respects.
NOW, THEREFORE, in consideration of the mutual obligations set forth below and in the
Agreement, and intending to be legally bound hereby, the Parties agree to amend the Agreement
as follows:
I. Exhibit B of the Agreement is hereby deleted in its entirety and replaced with
Exhibit B attached to this Fourth Amendment.
2. The remainder of the Agreement shall remain in full force and effect, and the only
provisions being amended are those specifically set forth in this Fourth Amendment.
IN WITNESS WHEREOF, the Parties have executed this Fourth Amendment effective as
