HomeMy WebLinkAbout20242649.tiffRESOLUTION RE: APPROVE AMENDMENT #2 TO SETTLEMENT AGREEMENT FOR BRIDGE 54/13A RECONSTRUCTION PROJECT AND AUTHORIZE CHAIR TO SIGN ANY NECESSARY DOCUMENTS - DUSTIN AND JAMIE CHRISTENSEN WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to Colorado statute and the Weld County Home Rule Charter, is vested with the authority of administering the affairs of Weld County, Colorado, and WHEREAS, the Board has been presented with Amendment #2 to the Settlement Agreement for the Bridge 54/13A Reconstruction Project between the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the Department of Public Works, and Dustin and Jamie Christensen, commencing upon full execution of signatures, with further terms and conditions being as stated in said amendment, and WHEREAS, after review, the Board deems it advisable to approve said amendment, a copy of which is attached hereto and incorporated herein by reference. NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld County, Colorado, that Amendment #2 to the Settlement Agreement for the Bridge 54/13A Reconstruction Project between the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the Department of Public Works, and Dustin and Jamie Christensen, be, and hereby is, approved. CHRISTENSEN AND JAMIE A CHRISTENSEN A This Settlement Agreement Amendment #2 ("Amendment #2"), is made this 1 day of OC 10,. , 2024, by and between Weld County, a body corporate and politic of the State of Colorado, by and through its Board of County Commissioners, whose address is 1150 'O' Street, Greeley, CO 80631, hereinafter referred to as the "County", and Dustin C. Christensen and Jamie A. Christensen, whose address is 6504 County Road 54, Johnstown, CO 80534, hereinafter referred to as the "Owner". The County and the Owner may be collectively referred to herein as "the Parties". WHEREAS, the Parties entered a Settlement Agreement dated June 12, 2023, and recorded in the records of the Weld County Clerk and Recorder's office on July 6, 2023 under Reception Number 4907618 (the "Settlement Agreement"); and WHEREAS, the Parties entered into a Settlement Agreement Amendment #1 dated March 25, 2024, and recorded in the records of the Weld County Clerk and Recorder's office on April 9, 2024 under Reception Number 4953790 (the "Amendment #1"); and WHEREAS, pursuant to the terms of the Settlement Agreement, in exchange for payment of the sum of $20,000 by County to Owners, County purchased a Temporary Construction Easement, which was recorded in the records of the Weld County Clerk and Recorder's office on June 22, 2023 under Reception Number 4905084 (the "TCE"); and WHEREAS, County took from the area of the TCE a substantial amount of soil for use in its construction project on Weld County Road 54; and WHEREAS, the Parties now agree that it is appropriate and fair for County to purchase the area of the TCE as additional right-of-way ("Additional ROW'), being described and shown on the attached Exhibit "A;" and WHEREAS, to compensate Owner for the Additional ROW, County agrees to pay Owner NM - ' - the sum of $114,666.89, which is in addition to the $20,000 already paid for the TCE, for a total ▪ of $134,666.89; and O U rR WHEREAS, pursuant to the terms and conditions hereof, Owner agrees to convey such Additional ROW to County by signing a Deed of Dedication for Public Road Right -of -Way, which has been submitted to Owner for execution. 87,' NOW, THEREFORE, in consideration of the terms and conditions contained herein and �� the recitals set forth above, the Parties agree to amend the Settlement Agreement and :',44 Amendment #1 as follows: a ro _ _ I. CHRISTENSEN AND JAMIE A CHRISTENSEN II. COMPENSATION: PROPERTY CONVEYANCE A. At Closing, County shall pay to Owner a compensation amount of $114,666.89, which is in addition to the $20,000 already paid for the TCE, for a total of $134,666.89, which sum Owner agrees and acknowledges fairly compensates them for the Additional ROW conveyed to County. III. OWNER'S RESPONSIBILITIES A. Owner shall consider the Additional ROW as property owned by County and shall not import thereon any soil or obstructions. IV. COUNTY'S RESPONSIBILITIES A. County will, within thirty (30) days of the date of execution of this Amendment #2, stake the Additional ROW to provide Owner with an understanding of its boundaries. V. COMPLETE AND FINAL SETTLEMENT A. The Parties agree that no additional compensation is owed to Owner and that the compensation paid pursuant to the terms of this Amendment #2, along with the Settlement Agreement and Amendment #1 and the compensation paid to Owner pursuant thereto, constitute complete and final settlement of any and all claims the Owners now have or may have with respect to the value of and compensation for the real property and easements purchased and or taken by County for the purposes of completing the improvements to the bridge and roadway of Weld County Road 54 as it extends along the north side of the Owner's property as reflected in the Exhibits to the Settlement Agreement, Amendment #1 and Amendment #2. All capitalized terms that are not otherwise defined herein shall have the meaning set forth in the Settlement Agreement. Except as expressly added or modified herein, all terms and conditions of the Settlement Agreement remain unchanged. In the event of any conflict between the terms and conditions of this Amendment #2 and the Settlement Agreement and/or Amendment #1, the terms of this Amendment #2 shall prevail.
