RE: APPROVE AMENDMENT #2 TO PROFESSIONAL SERVICES AGREEMENT FOR
INMATE MEDICAL SERVICES (EMERGENCY BID #B2300144), AND AUTHORIZE
CHAIR TO SIGN - WELLPATH, LLC
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with Amendment #2 to the Professional
Services Agreement for Inmate Medical Services between the County of Weld, State of Colorado,
by and through the Board of County Commissioners of Weld County, on behalf of the Sheriff's
Office, and Wellpath, LLC, commencing April 1, 2024, and ending December 31, 2026, with
further terms and conditions being as stated in said amendment, and
WHEREAS, after review, the Board deems it advisable to approve said amendment, a
copy of which is attached hereto and incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of
Weld County, Colorado, that Amendment #2 to the Professional Services Agreement for Inmate
Medical Services between the County of Weld, State of Colorado, by and through the Board of
County Commissioners of Weld County, on behalf of the Sheriff's Office, and Wellpath, LLC, be,
and hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized
to sign said amendment.
The above and foregoing Resolution was, on motion duly made and seconded, adopted
by the following vote on the 22nd day of April, A.D., 2024, nunc pro tunc April 1, 2024.

Brief description of the problem/issue:
The initial contract with Wellpath medical provided Medication Assisted Treatment for up to 50 inmates. The jail
is averaging 80 inmates in the program with 20-30 on a waitlist. Current contract does not provide adequate
services to our current population, so they are asking for an increase in hours to accommodate up to 150
inmates.
What options exist for the Board?
The board could deny this request, unfortunately we are statutorily obligated to provide MAT Services.
Consequences:
The Weld County Sheriffs Office would be violating state statute which could result in civil actions.
Impacts:
The Weld County Sheriffs Office could lose state funding for violating state statute.
Costs (Current Fiscal Year / Ongoing or Subsequent Fiscal Years):
Current MAT services within the Wellpath Medical Services contract is priced at $444,600 per year / this
amendment would increase that rate by $244,559.65. Total cost if approved for 2024 and beyond would be
$689,159.65. A portion of this MAT Services cost will be offset with Weld County Regional Opioid Council
funds. This amendment has been reviewed by Weld County Attorney's Office.
Recommendation:
It is The Weld County Sheriffs Office recommendation we accept the amended contract, so we are in
compliance with state mandated treatment.

SECOND AMENDMENT TO PROFESSIONAL SERVICES AGREEMENT FOR INMATE
MEDICAL SERVICES BETWEEN WELD COUNTYAND WELL.PATH L LC
(Effective Date: April 1, 2024)
This Second Amendment is made this 22nd day of April, 2024 (this "Amendment"), to the
Professional Services Agreement for Inmate Medical Services made and entered into on August 2, 2023
(the "Agreement"), is by and between Wellpath LLC ("Wellpath"), and the Board of Weld County
Commissioners, on behalf of the Weld County Sheriff's Office (the "County") (each, a "Party," and
collectively, the "Parties").
RECITALS
WHEREAS, the primary purpose of this Amendment is to add a total of 1.8 FTEs' for the expanding
Medically Assisted Treatment ("MAT') Program;
WHEREAS, the impact of the new additional MAT staffing is outlined in two (2) charts (e.g., shift
distribution and financial impact), attached hereto and incorporated herein as xhibft A and
NOW THEREFORE, in consideration of the mutual covenants herein contained and other good and
valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as
follows:
1. RECITALS. The Parties hereto incorporate the foregoing recitals as a material portion of
this Amendment.
2. This Amendment shall become effective on the I" day of April 2024 (the "Effective Date").
3. The Agreement shall be further amended by revising the first paragraph of Section 6 of the
Agreement to read:
6. Compensation and Monthly Invoicing/Payment. Upon Contractor's successful
completion of the Work, and County's acceptance of the same. County agrees to pay
Contractor $7,858,027.65 ("Total Annual Price"), and any amount in excess of CAPS
outlined in attached Exhibits. On a monthly basis. 1!12a of the Total Annual Price is
$654,835.64.
4. REMAINING PROVISIONS. The remaining provisions of the Agreement not amended by
this Amendment shalt remain in full force and effect.
IN WITNESS WHEREOF, the Parties have caused this Amendment to be executed in their
