Seller has agreed to sell, assign and convey to Prairie Operating Co., ("Buyer") certain interests in and to the Subject Instruments (the "Transaction"). Closing of the Transaction (the "Closing") is expected to occur on or around September 17, 2024; however, if the Closing does not occur, neither the Subject Instruments or any portion thereof, will be assigned to Buyer. Under the terms of the Subject Instruments, your consent is required to sell, assign and convey any interests in and to the Subject Instruments. Seller hereby respectfully requests your consent to sell, assign and convey any interests in the Subject Instruments from Seller to Buyer by executing this Consent Notice in the space provided below. Your execution of this Consent Notice will evidence your consent to the sale, assignment and conveyance of any interests in the Subject Instruments from Seller to Buyer. Please find enclosed check number 7807 in the amount of $400.00 as the full and total payment for the processing fee associated with Article 9.a. of the Subject Instruments. Nothing in this Consent Notice shall be deemed to have altered or otherwise changed any of the terms or provisions of the Subject Instruments, or shall be deemed to be a supplement or amendment thereto or partial release thereof, nor is anything in this Consent Notice intended, nor should anything in this Consent Notice be construed to grant or create, any right to which you are not contractually entitled under the Subject Instruments to the extent that such sale, assignment and conveyance is not subject to any consent requirement thereunder.
