Date of signature: RESOLUTION RE: APPROVE MEMORANDUM OF UNDERSTANDING FOR COMMUNITY CENTER FACILITY USAGE FOR SENIOR NUTRITION PROGRAM (FRIENDLY FORK) AND AUTHORIZE CHAIR TO SIGN - EATON AREA PARK AND RECREATION DISTRICT WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to Colorado statute and the Weld County Home Rule Charter, is vested with the authority of administering the affairs of Weld County, Colorado, and WHEREAS, the Board has been presented with a Memorandum of Understanding for Community Center Facility Usage for the Friendly Fork Senior Nutrition Program between the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the Department of Human Services, and Eaton Area Park and Recreation District, commencing November 1, 2024, with further terms and conditions being as stated in said memorandum of understanding, and WHEREAS, after review, the Board deems it advisable to approve said memorandum of understanding, a copy of which is attached hereto and incorporated herein by reference. NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld County, Colorado, that the Memorandum of Understanding for Community Center Facility Usage for the Friendly Fork Senior Nutrition Program between the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the Department of Human Services, and Eaton Area Park and Recreation District, be, and hereby is, approved. BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized to sign said memorandum of understanding. This MOU will be in perpetuity as long as both parties desire to maintain the agreement. What options exist for the Board? Approval of the MOU between Weld County Department of Human Services (WCDHS) and Eaton Area Community Center. Deny approval of the MOU between WCDHS and Eaton Area Community Center. Consequences: There would not be an MOU between WCDHS and Eaton Area Community Center. Impacts: The Area Agency on Aging Senior Nutrition Friendly Fork Program would not be able to provide nutrition services to Weld County senior citizens sixty (60) years of age or older and other eligible individuals. Ross, Chair Lori Saine g23 Pass -Around Memorandum; November 19, 2024 - CMS ID 8867 2024-3119 I/ 21 1- o09(o MEMORANDUM OF UNDERSTANDING BETWEEN THE WELD COUNTY DEPARTMENT Of HUMAN SERVICES AND EATON AREA COMMUNITY CENTER THIS MEMORANDUM OF UNDERSTANDING is entered into this it rilday of Novemlpe v , 2024, by and between the Board of County Commissioners, on behalf of the Weld County Department of Human Services Area Agency on Aging, hereinafter referred to as "Department," and Eaton Area Community Center, hereinafter referred to as "EACC". The purpose of this Memorandum of Understanding (MOU) is to provide Friendly Fork Program nutrition services and a congregate meal site to Weld County senior citizens sixty (60) years of age and older, and other eligible individuals. Term of this Memorandum of Understanding This Memorandum of Understanding ("MOU" or "Agreement") shall be effective beginning November 1, 2024 and be ongoing as long as both parties desire to maintain the agreement. Department Roles and Responsibilities 1. Inspect or make provisions for inspections of the meal site to insure the health and safety of the meal participants. 2. Work in conjunction with an approved food vendor to provide meals for the site. 3. Train volunteers in the policies and procedures related to the congregate meal program including but not limited to such items as the reservation process, food handling and food safety. 4. Provide, when not otherwise available or funds allow, the usual equipment needed to serve meals such as meal carriers, serving equipment, eating utensils, paper products, meal trays, record keeping supplies, tables, and chairs. Such equipment shall remain the property of the Weld County Senior Nutrition Program. The Site may not use any of the Program's supplies for non -related senior nutrition functions. EACC Roles and Responsibilities 1. Allow the Program the use of its kitchen, including equipment and dining area at no cost to the Program as a congregate meal site, Wednesday between the hours of 10:00 am - 3:00 pm. Dates excluded include holidays where the EACC is closed and the Wednesday of the Annual Maintenance Week. 2. To work collaboratively with all regulatory entities such as Administration on Aging, Department of Human Services State Unit on Aging, Department of Public Health and Environment or other like agencies, except when closed due to emergency circumstances or other circumstances beyond the control of the Site, notify the Program of closures of the dining room facility on a scheduled meal day (3) weeks in advance of the closure to allow the Program time to notify the food and transportation vendors. It o1voW -319 will be responsibility of the Site to notify senior participants of the closure dates. Notification must be given to the Program office in writing. Please refer to the Area Agency on Aging's Policy and Procedure for Site Cancellation of Meals for more details. Repeated cancelation requests could jeopardize the ongoing status of the meal site. 3. Provide oversight and maintenance of the facility to include regular cleaning of the site kitchen and dining area, frequent removal of trash and garbage, repairs to the building and grounds, snow removal and extermination services when necessary. 4. The Site must adhere to all of the following rules, regulations and procedures set forth in the following resources: (1) the Weld County Senior Nutrition Program regulations; (2) the Weld County Senior Nutrition Policy and Procedure Handbook; (3) all applicable local fire code regulations; and (4) Volume 10 of the Colorado Department of Human Services Code of Regulations (12 CCR 2510-1). Modifications. This Agreement may be modified in writing, in whole or in part, upon approval of the signers. Termination. This Agreement may be terminated at any time by either party giving thirty (30) days written notice to the signers. No portion of this MOU shall be deemed to create an obligation on the part of the County of Weld, State of Colorado, to expend funds not otherwise appropriated, as this MOU is subject to the availability of funding. Therefore, the Department may terminate this MOU at any time if the source of funding for the services made available to EACC is no longer available to the Department, or for any other reason. EACC reserves the right to suspend services to clients if funding is no longer available. Entire Agreement. This MOU contains the entire agreement and understanding between the parties with respect to the subject matter hereof and may not be changed or modified except as stated herein. This MOU shall be binding upon the parties hereto, their successors, heirs, legal representatives, and assigns. EACC and the Department may not assign any of its rights or obligations hereunder without the prior consent of both parties. No Third -Party Beneficiary. It is expressly understood and agreed that the enforcement of the terms and conditions of this MOU, and all rights of action relating to such enforcement, shall be strictly reserved to the undersigned parties and nothing in this MOU shall give or allow any claim or right of action whatsoever by any other person not included in this MOU. It is the express intention of the undersigned parties that any entity other than the undersigned parties receiving services or benefits under this MOU shall be an incidental beneficiary only. Governmental Immunity. No term or condition of this contract shall be construed or interpreted as a waiver, express or implied, of any of the immunities, rights, benefits, protections or other provisions, of the Colorado Governmental Immunity Act §524-10-101 et seq., as applicable now or hereafter amended. Independent Contractor. EACC agrees that it is an Independent Contractor, and that the EACC's officers, agents or employees will not become employees of the Department, nor entitled to any employee benefits from the Department as a result of the execution of this MOU. EACC shall perform its duties hereunder as an Independent Contractor. EACC shall be solely responsible for its acts and those of its agents and employees for all acts performed pursuant to this MOU. EACC, its employees and agent are not entitled to unemployment insurance or workers' compensation benefits through the Department and the Department shall not pay for or otherwise provide such coverage for EACC or any of its agents or employees. Unemployment insurance benefits will be available to EACC and its employees and agents only if such coverage is made available by EACC or a third party. EACC shall pay when due all applicable employment taxes and income taxes and local head taxes (if applicable) incurred pursuant to this MOU. Severability. If any term or condition of this MOU shall be held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, this MOU shall be construed and enforced without such provision, to the extent that this MOU is then capable of execution within the original intent of the parties.
