HomeMy WebLinkAbout20242648.tiffRESOLUTION RE: APPROVE AMENDMENT #1 TO AGREEMENT FOR PROFESSIONAL SERVICES FOR PUBLIC RELATIONS FOR GOVERNMENT ISSUES AND LEGISLATIVE COMMUNICATIONS (BID #62300095), AND AUTHORIZE CHAIR TO SIGN - 76 GROUP WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to Colorado statute and the Weld County Home Rule Charter, is vested with the authority of administering the affairs of Weld County, Colorado, and WHEREAS, on the 17th day of May, 2023, the Board of County Commissioners approved a Professional Service Agreement for Public Relations for Government Issues and Legislative Communications, resulting from Bid #B2300095, and WHEREAS, the Board has been presented with Amendment #1 to the Agreement for Professional Services for Public Relations for Government Issues and Legislative Communications between the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the Public Information Office, and 76 Group, commencing September 3, 2024, and ending September 2, 2025, with further terms and conditions being as stated in said amendment, and WHEREAS, after review, the Board deems it advisable to approve said amendment, a copy of which is attached hereto and incorporated herein by reference. NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld County, Colorado, that Amendment #1 to the Agreement for Professional Services for Public Relations for Government Issues and Legislative Communications between the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the Public Information Office, and 76 Group, be, and hereby is, approved. James (AYE) AYE NAY Sri Saine 2024-2648 BC0058 FIRST AMENDMENT TO AGREEMENT FOR PROFESSIONAL SERVICES BETWEEN WELD COUNTY AND 76 GROUP THIS AMENDMENT TO AGREEMENT is made this -May of October, 2024, by and between the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, whose address is 1150 O Street, Greeley, Colorado, 80631 ("Weld County"), and 76 Group, whose address is 7600 E. Eastman Ave., Suite 405, Denver, Colorado 80231 ("Contractor"). WHEREAS, on May 17, 2023, Weld County and Contractor entered into an agreement entitled, "PROFESSIONAL SERVICE AGREEMENT BETWEEN WELD COUNTY AND 76 GROUP" ("Original Agreement"), and WHEREAS, Weld County and Contractor now wish to amend the Original Agreement as set forth herein. NOW THEREFORE, in consideration of the mutual promises and covenants contained herein, the parties hereto amend the Original Agreement as follows: Substitute the following paragraphs for those set forth in the Original Agreement: 1. Introduction. The terms of this Agreement are contained in the terns recited in this document and in the attached Exhibits, each of which forms an integral part of this Agreement and are incorporated herein. The parties each acknowledge and agree that this Agreement, including the attached Exhibits, define the performance obligations of Contractor and Contractor's willingness and ability to meet those requirements (the "Work"). If a conflict occurs between this Agreement and any Exhibit or other attached document, the terms of this Agreement shall control, and the remaining order of precedence shall based upon order of attachment. Exhibit A consists of the Contractor's Scope of Services for the term of this Amendment. 2. Term. The term of this Agreement begins on September 3, 2024, and shall continue through and until September 2, 2025, or Contractor's completion of the responsibilities described in the attached Exhibit, whichever is later. Both of the parties to this Agreement understand and agree that the laws of the State of Colorado prohibit County from entering into Agreements which bind County for periods longer than one year. This Agreement may be extended upon mutual written agreement of the Parties. 6. Compensation. Weld County shall pay to Contractor the compensation set forth in Exhibit A on every 1 S` day of the months stated in Exhibit A. No payment in excess of that set forth in the Exhibits will be made by County unless a Change Order 1 2024-2648 l)/ 80005 authorizing such additional payment has been specifically approved by Weld County as required pursuant to the Weld County Code. If, at any time during the term or aner termination or expiration of this Agreement, County reasonably determines that any payment made by County to Contractor was improper because the service for which payment was made did not perform as set forth in this Agreement, then upon written notice of such determination and request for reimbursement from County, Contractor shall forthwith return such payment(s) to County. Upon termination or expiration of this Agreement, unexpended funds advanced by County, if any, shall forthwith be returned to County. County will not withhold any taxes from monies paid to the Contractor hereunder and Contractor agrees to be solely responsible for the accurate reporting and payment of any taxes related to payments made pursuant to the terms of this Agreement. Unless expressly enumerated in the attached Exhibits, Contractor shall not be entitled to be paid for any other expenses (e.g. mileage). Notwithstanding anything to the contrary contained in this Agreement, County shall have no obligations under this Agreement after, nor shall any payments be made to Contractor in respect of any period after December 31 of any year, without an appropriation therefore by County in accordance with a budget adopted by the Board of County Commissioners in compliance with Article 25, Title 30 of the Colorado Revised Statutes, the Local Government Budget Law (C.R.S. 29-1-101 et. seq.) and the TABOR Amendment (Colorado Constitution, Article X, Sec. 20). All of the other paragraphs in the Original Agreement shall remain the same. IN WITNESS WHEREOF, the parties have executed this Agreement as of the 7th day of October, 2024.
