Once our project is completed, CDOT plans to install a traffic signal at the intersection under their own contract and management (utilizing the same roadway configuration). United Power (UP) owns and operates existing overhead power lines along the east side of WCR 29 and the south side of SH 52. A total of 3,975 linear feet of these power lines must be relocated to accommodate the proposed intersection improvements, and 2,490 linear feet of this total will be undergrounded to improve roadway safety. United Power has estimated the total construction cost of the relocation work to be $919,414.65, however, since all of the affected 3,975 linear feet of relocation is within the existing/new road right-of-way (not within private easements), only the cost difference from relocated overhead power to relocated underground power will be the responsibility of Weld County. Therefore, the total amount payable to UP for the power line relocation is $449,239.07 and UP has signed the agreement as attached. The County Attorney's Office has reviewed the Utility Relocation Agreement and finds it acceptable. What options exist for the Board? 1. Allow the Utility Relocation Agreement to be placed on the next available BOCC Agenda. 2. Ask for a work session and additional information. Consequences: If the Utility Relocation Agreement is not placed on the BOCC Agenda and approved for signature, the project timeline may be lengthened. Impacts: This Utility Relocation Agreement directly impacts the project timeline. It allows relocation of existing United Power utilities to be completed in early 2025 to keep roadway improvements on schedule for the 2025 construction season. Costs: Costs will not exceed $449,239.07 and are accounted for in the Public Works 2024 fiscal year budget. These are one-time costs so subsequent fiscal year budgets will not be affected. Recommendation: Public Works staff recommends placing the Utility Relocation Agreement on the next available BOCC Agenda for consideration. Ross, Chair Lori Seine d -S 2024-3081 u/zo EG002 AGREEMENT FOR RELOCATION OF ELECTRIC POWER LINES BETWEEN UNITED POWER AND WELD COUNTY FOR THE WELD COUNTY ROAD 41 AND STATE HIGHWAY 52 INTERSECTION IMPROVEMENT PROJECT THIS AGREEMENT, made and entered into this 7b ' day of OVIPYYlk7C / , 2024, by and between UNITED POWER, INC., a Colorado cooperative association whose address is 500 Cooperative Way, Brighton, Colorado, 80603, hereinafter referred to as "United" and WELD COUNTY, a political subdivision of the State of Colorado, by and through the Board of County Commissioners of Weld County, whose address is P.O. Box 758, 1150 O Street, Greeley, CO 80632, hereinafter called "County". WITNESSETH: WHEREAS, to promote the safety of the citizens of County and other members of the travelling public, County has undertaken the construction of a public improvement project for the WCR 41 and SH 52 Intersection, hereinafter referred to as "the Project", and WHEREAS, to construct the Project, County has acquired property rights from private property owners to utilize as right-of-way for WCR 41 and SH 52, hereinafter referred to as "New Project ROW", and WHEREAS, United owns electric power distribution lines, fiber optic lines, and utility poles located in the existing WCR 41 Right -of -Way ("Existing WCR 41 ROW) and the existing SH 52 Right -of -Way ("Existing SH 52 ROW'), and WHEREAS, United is willing to remove the existing facilities located in the Existing WCR 41 ROW and the Existing SH 52 ROW, and construct new facilities within the New Project ROW to facilitate the construction of the Project, and WHEREAS, in recognition of United's facilities located in the existing ROW along WCR 41 and SH 52, United must relocate its facilities along WCR 41 and SH 52 at its cost, and WHEREAS, County requires that certain portions of United's relocated facilities be placed underground as depicted in Exhibit A for the safety of the travelling public, and WHEREAS, where County requires United's relocated facilities to be placed underground, County agrees to reimburse United for those reasonable differences in expense from relocating the facilities overhead to relocating the facilities underground as depicted in Exhibit B, and WHEREAS, United has the experience and expertise needed to relocate said facilities and is willing to do so subject to an agreed amount of reimbursement by the County for the justifiable portion of the costs incurred for said relocation. UNITED RIGHTS and RESPONSIBILITIES 1. United Power Lines Relocation: United shall relocate the existing power lines and poles as depicted on the Project Engineering Drawings, (copies of which are attached hereto as Exhibit A and by this reference made a part hereof). The exi§ting facilities shall be removed. The relocated facilities will be located within the New Project ROW. All work necessary to accomplish the United facilities relocation shall be performed in accordance with United specifications, in accordance with the professional standards governing such work and the provisions of this Agreement and shall conform to the performance standards and requirements set forth herein and in all Exhibits. 2. Relocations Not to Conflict with Improvements: United shall relocate its facilities as described and shown on Exhibits A and B, so that they can accommodate the common use of the property with the proposed roadway improvements or other utility locations and/or relocations. To ensure there are no conflicts, United shall be responsible for survey staking the locations and elevations of their new facilities. 3. Timing of Facilities Relocation: United shall commence the work upon receipt from the County of a fully executed copy of this Agreement; and receipt of the Deposit as defined below. United shall use commercially reasonable efforts to complete the work in a timely and efficient manner prior to January 27, 2025, provided that each party has fulfilled its obligations for work to commence the first week of December, 2024. 4. United Responsible for Traffic Control: Throughout the relocation process, United agrees that it shall be responsible for coordination of traffic control as established by the most recent version of the "Manual on Uniform Traffic Control Devices" (MUTCD). 5. United Shall Obtain Riaht-of-Wav Permits: United shall obtain all necessary permits from County required for its facilities relocation work. II. COUNTY RIGHTS and RESPONSIBILITIES 1. Estimates of Relocation Expenses: County has agreed to reimburse United for the expenses incurred in fulfillment of its obligations under this Agreement as set forth in Exhibit B. 2. Increases/Decreases In Estimated Expenses: United has estimated the County portion of the total cost of said relocation to be $449,239.07 which includes specific work outlined in the Exhibits A and B. Prior to United commencing the work, the County shall deposit the sum of $449,239.07 with United (the "Deposit") which represents 100% of the United Engineering Project Estimate. If the costs (after construction, project review, and reconciliation) shown in Exhibit B are less than the amount paid by the County, United shall refund the amount remaining to the County. If the final relocation costs exceed the amounts set forth in the attached Exhibit B, County shall pay those reasonable additional expenses incurred. County to Stake Right -of -Way: County shall establish and stake the County right-of-way within the work area prior to relocation of the United facilities. County shall verify the relocation to confirm that said relocation is sufficiently clear of Project construction work. 4. County's Right to Terminate: County may terminate this Agreement at any time prior to United's commencement of work. In such an event, the County shall pay United for all expenses which were incurred by United for engineering and for materials and equipment purchased or ordered and paid for by United, which cannot be returned for a refund, prior to the date of termination. III. MISCELLANEOUS 1. Board of County Commissioners of Weld County Approval: This Agreement shall not be valid until it has been approved by the Board of County Commissioners of Weld County or its designee. 2. Agreement Binding: This writing, together with the exhibits, constitutes the entire Agreement between the parties hereto with respect to the subject matter herein, and shall be binding upon said parties their officers, employees, agents, and assigns and shall inure to the benefit of the respective survivors, heirs, personal representatives, successors and assigns of said parties. 3. No Third Party Beneficiary: It is expressly understood and agreed that the enforcement of the terms and conditions of this Agreement, and all rights of action relating to such enforcement, shall be strictly reserved to the undersigned parties, and nothing in this Agreement shall give or allow any claim or right of action whatsoever by any other person not included in this Agreement. It is the express intention of the undersigned parties that any entity other than the undersigned parties receiving services or benefits under this Agreement shall be an incidental beneficiary only. 4. Time of the Essence: Time is of the essence in each and all of the provisions of this Agreement. 5. Fund Availability: Financial obligations of the Board of County Commissioners of Weld County payable after the current fiscal year are contingent upon funds for that purpose being appropriated, budgeted and otherwise made available. By execution of this Agreement, County does not warrant funds will be available to fund this Agreement beyond the current fiscal year. 6. Severability: If any term or condition of this Agreement shall be held to be invalid, illegal, or unenforceable, this Agreement shall be construed and enforced without such provision, to the extent that this Agreement is then capable of execution within the original intent of the parties. 7. ("United Power" or any reference to "our") has completed the design and cost estimate for the relocation of electric power lines for Weld County (herein, the "Applicant" or any reference to "you" or "your") public improvement project located at WCR 41 & HWY 52. The design is provided in Attachment A to this Agreement. This letter, including all attachments, constitutes the "Construction Deposit Agreement" between United Power and the Applicant. The estimated cost to design/engineer, construct, and install the electric service is $449,239.07 (the "Construction Deposit"), as further detailed below and in Attachment B. The Construction Deposit includes United Power's best estimate at this time for the labor, material, administrative, and general expense required to install the electric service as designed. That estimate can change if the installation of the electric service is delayed due to inclement weather, traffic control constraints, permitting requirements, or if the installation requires change orders that were not included in the initial estimate. This list of anticipated expenses is not meant to be all-inclusive, but to serve as notice that this initial Construction Deposit is a best estimate. Full payment of the Construction Deposit is required before work will begin pursuant to United Power's Rules and Regulations, and specifically Sections XVII. Construction Deposit Requirements and XXVI. Permanent and Indeterminate Service Line Extensions. This estimate is valid for ninety (90) days, per Section XXI. The Applicant shall complete the "Private Utilities Form" included in Attachment C, indicating any private utilities in the project area. You may return the signed and completed Private Utilities Form, a signed copy of this Construction Deposit Agreement, and your payment in the envelope provided. The Applicant, or its agent responsible for this Construction Deposit must also return the signed final design for the underground distribution and the streetlight design, if applicable, before any work will begin. Any subsequent revised designs must also be signed and returned to United Power. Payment in full and receipt of the signed Construction Deposit Agreement, design, and Private Utilities Form are required prior to construction. Remittance of the signed and dated Construction Deposit Agreement and payment of the Construction Deposit implies the Applicant's acknowledgement and agreement with the terms provided in United Power's Rules and Regulations and specific terms stated below: The Applicant grants to United Power and its subcontractors the right to enter the location listed above to construct, operate, and maintain the electric distribution facilities, together with full right of ingress and egress. The Applicant shall perform all right-of-way clearing required for the construction of the facilities described above consistent with United Power's specifications. United Power, or its subcontractors, shall perform all trenching and backfilling, including any rock removal and backhoe work, in accordance with United Power's specifications, except street crossing. The Applicant shall establish and stake all easements of rights -of -way on land owned by the Applicant for installation of United Power's facilities. The Applicant shall assume all responsibility for proper location thereof and shall reimburse United Power for any expense due to subsequent changes and for any damage claims against United Power, including full reimbursement for damages established and expenses incurred in regard thereto, plus reasonable attorney's fees and court costs. If the Applicant requests United Power to provide the staking of easements and rights -of -way, the Applicant will provide the current site plan in AutoCAD format and reimburse United Power for the additional expenses. United Power or its subcontractors shall install the facilities described herein in accordance with good engineering practice after the Applicant has established said right-of-way, cut easements to final grade, and prior to the paving of any streets or the construction of any curbs, gutters, or sidewalks. The Applicant shall reimburse United Power for any expense due to subsequent changes by the Applicant. The Applicant shall be responsible for coordinating all construction activities within the project area, including, but not limited to, the installation of telephone, gas, and cable TV. The installation crew(s) for such other utilities or communications equipment must be on -site the day United Power, or its subcontractor digs the trench. United Power and its subcontractors will not leave the trench open overnight and will close it at the end of each working day. Any damages to unmarked underground utilities by United Power or United Power's subcontractors will be at the Applicant's expense and responsibility to repair. The Applicant shall be responsible for all service laterals in residential subdivision and underground commercial/industrial services.
