RE: APPROVE DATA EXCHANGE ADDENDUM FOR INCREASED INMATE
COMMUNICATION SERVICES AND AUTHORIZE CHAIR TO SIGN -
GLOBAL TEL*LINK CORPORATION, DBA VIAPATH TECHNOLOGIES
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, on November 22, 2023, and the Board of Weld County Commissioners
approved an Agreement for Professional Services for Inmate Communication Services, resulting
from Bid #62300133, and
WHEREAS, the Weld County Sheriff's Office has determined an increase in the Data IQ
Suite would provide a full investigative tool to internal and external investigators, and
WHEREAS, the Board has been presented with a Data Exchange Addendum for
Increased Inmate Communication Services between the County of Weld, State of Colorado, by
and through the Board of County Commissioners of Weld County, on behalf of the Sheriff's Office,
and Global Tel*Link Corporation, dba ViaPath Technologies, commencing upon full execution of
signatures, and ending December 31, 2026, with further terms and conditions being as stated in
said addendum, and
WHEREAS, after review, the Board deems it advisable to approve said addendum, a copy
of which is attached hereto and incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of
Weld County, Colorado, that the Data Exchange Addendum for Increased Inmate Communication
Services between the County of Weld, State of Colorado, by and through the Board of County
Commissioners of Weld County, on behalf of the Sheriff's Office, and Global Tel*Link Corporation,
dba ViaPath Technologies, be, and hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized
to sign said addendum.

Brief description of the problem/issue: Viapath Technologies was selected as the vendor to provide phone,
video visit, tablet and law library services to Inmates starting January 1St 2024. When the original contract was
edited by County attorneys' language was removed that prevented a service from being provided. The service
is Viapath's Data IQ package, similar to what the county previously had with Securus. It is an investigative tool;
that allows DCS and other investigators to connect inmates through known contacts from connected phone
calls, video visits, messages etc. There is no financial impact due to this addendum and only allows Weld
County a larger investigative suite to work with. The addendum has reviewed and approved by Byron Howell
and approved by our county IT Aleksei Churyk.
What options exist for the Board?
The board may either approve or deny this addendum.
Consequences: If not approved, the County would not be able to provide a full investigative program
to internal and external investigators.
Impacts: If the Board approves the addendum, Viapath will be able to enable and provide training on their
Data IQ suite to investigators.
Costs (Current Fiscal Year / Ongoing or Subsequent Fiscal Years): There are no costs to the
county as a result of this addendum and the commission rates already in place will remain.
Recommendation: It is recommended the board approve this addendum. Viapath has provided satisfactory
services and meets the needs of the County to deliver phone, visiting and on-line credit card bonding services
to the Weld County Sheriff's Office.

Data Exchange Addendum
Agreement Name: Addendum Agreement for Professional Services by and between Global Tel*Link
Corporation d/b/a ViaPath Technologies ("Contractor"), and County of Weld, State of Colorado
("County"), to original agreement identified as Tyler ID 2023-2658, dated November 22, 2023.
This Data Exchange Addendum ("Addendum") is made and entered into as of the date signed by the parties
referred to individually as "Party" and collectively as "Parties."
WHEREAS, County recognizes that Contractor, in the course of providing solutions and services to County,
has access to certain data owned by County; and
WHEREAS, in an effort to facilitate inter -agency cooperation and cross jurisdictional enhanced security
related efficiencies, County hereby grants Contractor the right to access, analyze and disseminate County
data to law enforcement and correctional agencies to use for law enforcement and correctional purposes
and to cooperate with such agencies to investigate actual or potential violations of law, regulation,
administrative code, policies, and the like.
County agrees to allow Contractor to exchange County owned data with other agencies that have entered
into a Data Exchange Addendum with Contractor and in accordance with the below terms and conditions:
1. The County, as owner of the data generated from various data systems at County's correctional
facility, has elected to allow review of the data by Contractor and personnel of other agencies
("Recipient(s)") to use for law enforcement and correctional investigative purposes and to
cooperate with such agencies to investigate actual or potential violations of law, regulation,
administrative code, policies, and the like.
2. County has requested, and Contractor is willing, to make this remote information exchange
capability available to County to enable County to grant Recipients access to County's data
("Information") through remote access and analytic tools, subject to the terms of this Addendum.
3. Except as set forth in Section 1 to this Addendum, neither Contractor nor County shall sell, rent,
release, disclose, disseminate, make available, transfer, or otherwise communicate orally, or in
writing, or by electronic means any of County's personal information for monetary or other
valuable consideration. For purposes of this Section, "personal information" means information
that identifies, relates to, describes, is reasonably capable of being associated with, or could.
reasonably be linked, directly or indirectly, with a particular consumer or household.
4. County may terminate this Addendum at any time with written notice to Contractor. Thereafter, the
County data will cease being accessed by Contractor and Recipients, and County will cease to
access data from Contractor and Recipients.
5. Contractor has no responsibility to advise County, or any Recipient with respect to any law,
regulation, or guideline that may govern or control the data or monitoring, or compliance therewith.
County has its own legal counsel to advise it concerning any and all such applicable law, regulation,
or guideline, and compliance therewith. Contractor disclaims any responsibility to provide, and
has not provided, County, Recipient, or any other party, any legal advice concerning such
applicable law, regulation, or guideline, or compliance therewith.
6. By granting County's request in this Addendum, Contractor would be acting at the direction of
County, and Contractor has no responsibility to advise, and has not advised, County on the

propriety or lawfulness of providing Recipients access to the Information using the capabilities
made available by Contractor.
7. This Addendum is for the sole benefit of Contractor and County and their successors and permitted
assigns, and nothing herein expressed or implied will give or be construed to give to any other
person or entity, including any Recipient, any legal or equitable rights hereunder.
8. The signatory for County is authorized to make the request in this Addendum on behalf of the
County and to bind the County to the terms of this Addendum. The signatory for Contractor is
authorized to agree to the request of County on behalf of Contractor, and to bind Contractor to the
terms of this Addendum.
9. Upon execution by the Parties, this Addendum will become an addendum to and part of the
Agreement. In the event of inconsistencies between the terms of the Agreement and those of this
Addendum, the terms of this Addendum will control. Except as set forth above, there are no
changes to the Agreement or the obligations of Contractor or County thereunder.
