FINDINGS AND RESOLUTION RE: FINDINGS AND RESOLUTION CONCERNING APPLICATION OF RIGO'S MEXICAN RESTAURANT, LLC, DBA RIGO'S MEXICAN RESTAURANT, FOR HOTEL AND RESTAURANT (COUNTY) LIQUOR LICENSE, AND AUTHORIZE CHAIR TO SIGN The application of Rigo's Mexican Restaurant, LLC, dba Rigo's Mexican Restaurant, 711 O Street, Greeley, Colorado 80631, for a Hotel and Restaurant (County) Liquor License, was presented in a public hearing on the 20th day of May, 2024, at 9:00 a.m., and the Board of County Commissioners of Weld County, Colorado, having considered the testimony, evidence and remonstrances filed with said Board, and having carefully weighed the same, now makes the following findings: 1. The evidence discloses that the applicant has sustained the burden of proof as to the desires of the inhabitants. 2. The applicant is of good character and reputation. 3. The applicant has proven the reasonable requirements of the neighborhood. 4. The proposed licensed premises is not directly connected to a different licensed premises, pursuant to C.R.S. §44-3-301(3)(a). 5. The diagram of the proposed licensed premises is correct. 6. There are no other Hotel and Restaurant (County) Liquor Licensed premises in the neighborhood, pursuant to C.R.S. §44-3-301(2)(b). There are no other license types located in the immediate area. 7. There are no public or parochial schools, or principal campus of any college, university, or seminary within 500 feet of the proposed licensed premises, pursuant to C.R.S. §44-3-313(1)(d)(I). 8. The Hotel and Restaurant classification of license requires the sale of food, pursuant to C.R.S. §44-3-411(1)(a(. The proposed premises has the capability of heating and serving meals, pursuant to C.R.S. §44-3-103(20). 9. The sign noticing the place, date, and time of the hearing for the Liquor License application was posted by the applicant in such a manner that the notice was conspicuous and plainly visible to the public, when I was there at approximately 11:30 a.m. on May 10, 2024. RESOLUTION WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to Colorado statute and the Weld County Home Rule Charter, is vested with the authority of administering the affairs of Weld County, Colorado, and cc: APPL, SOCt7,SIBE1SK), 2024-1253 CAcmc� LC0059 OCD 1Oti l ay HOTEL AND RESTAURANT (COUNTY) LIQUOR LICENSE - RIGO'S MEXICAN RESTAURANT, LLC, DBA RIGO'S MEXICAN RESTAURANT PAGE 2 WHEREAS, the Board has considered the application of Rigo's Mexican Restaurant, LLC, dba Rigo's Mexican Restaurant, 711 O Street, Greeley, Colorado 80631, for a Hotel and Restaurant (County) Liquor License for the sale of malt, vinous, and spirituous liquors for consumption by the drink on the premises only, in compliance with all applicable rules and regulations found in Article 3, Title 44, C.R.S., and WHEREAS, pursuant to Exhibit 5-H of the Weld County Code, said applicant has paid to the County of Weld the sum of $1,075.00 for the hearing fee, in addition to the other required fees, and WHEREAS, said applicant has paid the sum of $1,700.00 to the Colorado Department of Revenue, and WHEREAS, due to the Findings of the Board of County Commissioners in this matter as stated herein, the Board deems it advisable to approve said application for a Hotel and Restaurant (County) Liquor License for Rigo's Mexican Restaurant, LLC, dba Rigo's Mexican Restaurant, and WHEREAS, the Licensee shall require "responsible vendor" training of each employee, as agreeable to the Colorado Department of Revenue, Liquor Enforcement Division, and the Licensee shall provide documentary evidence that each employee has been "responsible vendor" trained upon request by the Weld County Sheriff's Office or the Colorado Liquor Enforcement Division. NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld County, Colorado, that having examined said application, the qualifications of the applicant, and the testimony of those present at the hearing, does hereby grant License Number 2024-09 to said applicant for a Hotel and Restaurant (County) Liquor License for the sale of malt, vinous, and spirituous liquors, for consumption by the drink on the premises only, at retail at said location; and the Board does hereby authorize and direct the issuance of said license by the Chair of the Board of County Commissioners, attested to by the Clerk to the Board of Weld County, Colorado, which license shall be in effect until May 21, 2025, providing that said licensee operates in strict conformity to all of the laws of the State of Colorado and the rules and regulations relating thereto, per Article 3, Title 44, C.R.S., heretofore passed by the Board of County Commissioners of Weld County, Colorado, and any violations thereof shall be cause for revocation of the license. The involuntary withdrawal of a Member will have no effect upon the continuance of the Company. Dissociation of a Member 30. Where the Company consists of two or more Members, in the event of either a voluntary or involuntary withdrawal of a Member, if the remaining Members elect to purchase the interest of the withdrawing Member, the remaining Members will serve written notice of such election, including the purchase price and method and schedule of payment for the withdrawing Member's Interests, upon the withdrawing Member, their executor, administrator, trustee, committee or analogous fiduciary within a reasonable period after acquiring knowledge of the change in circumstance to the affected Member. Any remaining Members retain the right to seek damages from a dissociated Member where the dissociation resulted from a malicious or criminal act by the dissociated Member or where the dissociated Member had breached their fiduciary duty to the Company or was in breach of this Agreement or had acted in a way that could reasonably be foreseen to bring harm or damage to the Company or to the reputation of the Company. 33. A dissociated Member will only have liability for Company obligations that were incurred during their time as a Member. On dissociation of a Member, the Company will prepare, file, serve, and publish all notices required by law to protect the dissociated Member from liability for future Company obligations. 34. Where any remaining Members have purchased the interest of a dissociated Member, the purchase amount will be paid in full, but without interest, within 90 days of the date of withdrawal. The Company will retain exclusive rights to use of the trade name and firm name and all related brand and model names of the Company. Right of First Purchase 35. Where the Company consists of two or more Members, in the event that a Member's Interests in the Company is or will be sold, due to any reason, the remaining Members will have a right of first purchase of that Member's Interests. Assignment of Interest 36. In the event that a Member's Interests in the company is transferred or assigned as the result of a court order or Operation of Law, the trustee in bankruptcy or other person acquiring that Member's Interests in the Company will only acquire that Member's economic rights and interests and will not acquire any other rights of that Member or be admitted as a Member of the Company or have the right to exercise any management or voting interests. Valuation of Interest 37. Where the Company consists of two or more Members, a Member's financial interest in the Company will be in proportion to their Capital Contributions, inclusive of any Additional Capital Contributions. In the absence of a written agreement setting a value, the value of the Company will be based on the fair market value appraisal of all Company assets (less liabilities) determined in accordance with generally accepted accounting principles (GAAP). Forbidden Acts 52. No Member may do any act in contravention of this Agreement. 53. A Member or any employee will not be liable to the Company or to any other Member for any mistake or error in judgment or for any act or omission believed in good faith to be within the scope of authority conferred or implied by this Agreement or the Company. The Member or employee will be liable only for any and all acts and omissions involving intentional wrongdoing. Liability Insurance 60. The Company may acquire insurance on behalf of any Member, employee, agent or other person engaged in the business interest of the Company against any liability asserted against them or incurred by them while acting in good faith on behalf of the Company. Life Insurance 61. The Company will have the right to acquire life insurance on the lives of any or all of the Members, whenever it is deemed necessary by the Company. If any term, covenant, condition or provision of this Agreement is held by a court of competent jurisdiction to be invalid, void or unenforceable, it is the Members' intent that such provision be reduced in scope by the court only to the extent deemed necessary by that court to render the provision reasonable and enforceable and the remainder of the provisions of this Agreement will in no way be affected, impaired or invalidated as a result. 69. This Agreement contains the entire agreement between the Members. All negotiations and understandings have been included in this Agreement. Statements or representations that may have been made by any Member during the negotiation stages of this Agreement, may in some way be inconsistent with this final written Agreement.
