RE: APPROVE AMENDMENT #1 FOR STAFFING REVISION AND CONSENT TO
ASSIGNMENT AND ASSUMPTION OF CLIENT AGREEMENT FOR ONSITE MEDICAL
CLINIC SERVICES FROM EVERSIDE HEALTH, LLC, TO MARATHON HEALTH, LLC,
AND AUTHORIZE CHAIR TO SIGN
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, effective February 7, 2024, Everside Health, LLC, merged with Marathon
Health, LLC, and desires to assign the current Client Agreement for Onsite Medical Clinic
Services to the new shareholders of Marathon Health, LLC, and
WHEREAS, the Board has been presented with Amendment #1 for Staffing Revision and
the Consent to Assignment and Assumption of the Client Agreement for Onsite Medical Clinic
Services among the County of Weld, State of Colorado, by and through the Board of County
Commissioners of Weld County, on behalf of the Department of Human Resources, the former
owner Everside Health, LLC, and the new shareholders of Marathon Health, LLC, with further
terms and conditions being as stated in said amendment, and
WHEREAS, after review, the Board deems it advisable to approve said amendment, a
copy of which is attached hereto and incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of
Weld County, Colorado, that Amendment #1 for Staffing Revision and the Consent to Assignment
and Assumption of the Client Agreement for Onsite Medical Clinic Services among the County of
Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, on
behalf of the Department of Human Resources, the former owner Everside Health, LLC, and the
new shareholders of Marathon Health, LLC, be, and hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized
to sign said amendment.

Amendment to add the 0.2 FTE Registered Dietitian to the employee clinic.

1. Service Utilization: Increase the number of clients accessing the service.
2. Improved Health Outcomes: Focus on specific goals, such as helping pre -diabetic clients lower their
blood sugar levels.

4. Educational Opportunities: Offer RD -led classes on relevant health topics to enhance client
knowledge and engagement.

AMENDMENT NUMBER 1
to the Client Agreement by and between
Everside Health, LLC and Weld County, CO
THIS AMENDMENT NUMBER 1 (the "Amendment") is entered into as of the date of last
signature ("Effective Date"), by and among Weld County, Colorado ("Client"), Everside Health,
LLC ("Everside"), and Marathon Health, LLC ("Marathon"), a Delaware limited liability
company. Everside, Marathon, and Client may be referred to each individually as a "Party", or
collectively, the "Parties" to this Amendment.
WHEREAS, Everside and Client executed a Client Agreement dated June 16, 2021
("Agreement"), pursuant to which Everside provides health and wellness services;
WHEREAS, the indirect parent companies of Everside and Marathon have merged,
resulting in the common control of Everside and Marathon, and Everside desires to assign its rights
and obligations hereunder to Marathon and Marathon agrees to assume such rights and obligations;
and
WHEREAS, the Parties wish to amend the Agreement to revise staffing, and to assign the
Agreement to Marathon Health LLC.
THEREFORE, for good and valuable consideration the receipt and sufficiency of which
is hereby acknowledged, the Parties agree to amend the Agreement as set forth below:
1. Staffing. Effective approximately sixty (60) days following the Effective Date, or as
otherwise mutually agreed by the Parties, Section 1.7 of the Agreement shall be revised to
state:
"'Medical Team' means the one (1) part-time physician (8 hours per week), one (1)
full-time advanced practice provider, two (2) full-time medical assistants, and one
(1) part-time (8 hours per week) virtual registered dietitian nutritionist contracted
to staff the Everside Health Clinic. Everside shall be responsible for selecting and
retaining the physician and non -physician practitioners."
2. Fees. As of the Effective Date, the following sentence is added to Section 5.2(a) of the
Agreement:
"The Monthly Fee is subject to change should utilization require changes to the
makeup of the Medical Team."
3. Assignment. Everside, as "Assignor" desires to assign its rights and obligations under the
Agreement to Marathon, as "Assignee," and Marathon desires to accept such assignment,
with Client consenting to such assignment. Accordingly, effective January 1, 2025,
Assignor hereby assigns its rights, title and interest under, in and to the Agreement and
delegates all of its rights and obligations under the Agreement to Assignee. Assignee

accepts such right, title and interest of Assignor in and to the Agreement and assumes said
obligations of Assignor relating thereto. All references to "Everside Health LLC" shall be
replaced with "Marathon Health LLC," and all references to "Everside" with "Marathon."
4. Notice. Effective January 1, 2025, the Notice address for Everside in Section 7.6 shall be
revised to:
