and the wagon scales located on said property.
He has further agreed that he will obtain and cause
to be placed of record promptly a deed of said property from
Lucerne Milling Company to himself.
It is underdood that the said conveyances are to oe
in full release of any claim for taxes against either himself
or Lucerne Milling Company on its Ault property, including
taxes on personal property located on said real estate, or
assessed on account of the operation of said alfalfa mill
at Ault.

THIS' DEED, Made this Eighth day of March, A. D. 1927, between
THE LUCERNE MILLING COMPANY, a Corporation, created and existing under
the laws of the State of Colorado, of the first part, and J.0. V. WISE,
of the County of Weld, and State of Colorado, of the second part:
WITNMSSETH, That the said party of the first part, for and in
consideration of the sum of One Dollar ($1.00) and other good and
valuable considerations as set forth in the body of this deed, to the
said party of the first part in hand paid by the said party of the
second part, the receipt whereof is hereby confessed and acknowledged,
has remised, released, sold, conveyed and QUIT CLAIMED, and by these
presents does remise, release, sell, convey and SUIT CLAIM unto the
said party of the second part, his heirs , and assigns forever, all the
right, title, interest, claim and demand which the said party of the
first part has in and to the following described property situate,
lying and being in the County of Weld and State of Colorado, to-wit:
Lots numbered 10, 11, 12, 13, 14, and 15 in Block numbered 2
of the First Pence Subdivision of the Town of Ault, County of Weld, and
Stateof Colorado.
That certain lease, dated July 1st, 1917, given by the Union
Pacific Railroad Company to The Great Western Alfalfa Milling Company,
Lessee, under which the said railroad company leased and let unto said
Lessee, for a term determinable at any time at the will of Lessor, not
extending beyond the 1st day of July, A. D. 1922, the following described
portion of the Station grounds of said Lessor at Ault Station, County of
Weld and State of Colorado, to-wit:
Beginning at a point that is 1243.1 feet distant Northwesterly
from the intersection of the North line of Section 13, Township 7, North,
Range 66 West of the 6th P.M. , with the center line of the main track of
the Northern District of the Lessor, and 995.2 feet distant Northwesterly
from the Southeasterly end of the Ault Depot, when measured on said center
line and 75.5 feet distant Northeasterly at right angles therefrom; thence
`t Northeasterly and at right angles to said center line 104.6 feet; thence
orthwesterly and parallel with &aid center line 80 feet; thence South-
esterly and at right angles to said center line 104.6 feet; thence South-
easterly and parallel with said center line 80 feet to the point of be-
ginning, the property so leased being marked in yellow upon the plat
attached to said lease.
That certain contract dated September 7th, A. D. 1917, by and
between The Great Western Alfalfa Milling Company and the Town of Ault,
a municipal corporation at Ault in Weld County, Colorado, in which
contract the said Town of Ault agrees to furnish to The Great Western
Alfalfa Milling Company city water for the use of said company and its
mill at the current prevailing city water rates.
This conveyance is made in accordance with the action taken at
a meeting of the Board of Directors of The Lucerne Milling Company, held
in the City of Denver, at 1:00 P.M., March 8th, 1927, and the deed is
given in consideration of the surrender by J. 0. V.Wise of all the
common stock that he owns in the Lucerne Milling Company, . amounting to
9296 Shares, and the cancellation of a debt of $9110.74 due from the
Lucerne Milling Company to J. 0. V. Wise for money loaned, and the pay-
ment of which was to have been secured to J. 0. V. Wise by a first mortgage
bond issue of the Lucerne Milling Company.
TO HAVE AND TO HOLD, the same, together with all and singular
the appurtenances and privileges thereunto belonging or in anywise
appertaining, and all the estate, right, title, interest and claim
whatsoever, of the said party of the first part, either in law or equity,
to the only proper use, benefit and behoof of the said party of the
second part, his heirs and assigns forever.

Middelkamp and J. M. Faris, who are personally known to me to be the
same persons whose names are subscribed to the foregoing deed as having
executed the same respectively as the President and Secretary of The
Lucerne Milling Company, and who are known to me to be such officers
respectively, appeared before me this day in person, and severally
acknowledged; That the seal affixed to the foregoing instrument is the
corporate seal of the said The Lucerne Milling Company, that the same
was thereunto affixed by the authority of said Company; that said
instrument was by like authority subscribed with the corporate name of
said Company; as to the said E. G. Middelkamp, that he is the President
of said The Lucerne Milling Company; as to the said J. M. Faris, that he
is Secretary of said Company; that by the authority of said Company,
they respectively subscribe their names as president and secretary to
the foregoing instrument; that they signed, sealed and delivered the said
instrument of writing as their free and voluntary act and deed, and as
the free and voluntary act and deed of the said The Lucerne killing
Company for the uses and purposes therein set forth.
