TYlIS AGREMENT, Made this /7 day of December, 1965, be-
tween The Great Western ':railway Company, a Colorado corporation,
(hereinafter referred to as the "Railway Company"), and Ernest M.
Kiteley (hereinafter referred to as "Kiteley"), of the County of
Weld and State of Colorado, WITNESSETH:
1. The Railway Company is the owner of a parcel of land
in Sec. 21, T. 3 N., R. 68 W. of the 6th P.M., Weld County,
Colorado, outlined in green on the plat marked Exhibit A, attach-
ed hereto and made a part hereof.
2. Kiteley is the owner of a parcel of land in. said Section,
Township and Range outlined in red on Exhibit A.
3. The parties hereto a,;ree to exchange said parcels of
land by quitclaim deed on or before March 15, 1966. The deed
from Kiteley to the Railway Company shall contain a reverter
clause in favor of Kiteley, his heirs and assigns, in the event
the Railway Company ceases to maintain and operate the railroad
for a continuous period of two years.
4. Title shall be merchantable in each party. Kiteley
a;rees to loan the Railway Company an abstract of title covering
the parcel outlined in red. The 1966 general taxes shall be paid
by the new owner of each parcel.
5. The consideration for this agreement is (1) the mutual
exchange of lands; (2) the extension by the Railway Company of
an existing corrugated metal pipe line shown in orange on Exhibit
A northwesterly to the new railroad right-of-way line; (3) the
installation by the Railway Company of a concrete inlet box on
the northwest end of said pipe line as extended with a 6 inch
clay tile connection; (4) the obligation of the Railway Company
to keep the southeasterly end of said pipe line free and clear
of silt and debris to permit the free flow of drainae; and (5)
the relocation of an existing private road from State Hi6hway 66
to the home of Tom R. Kiteley, over lands in said Section, Town-
ship and Range belonging; to Kiteley, to a new location mutually
aureeable to the Railway Company and Tom R. Kiteley, subject to
the approval of the Colorado Department of Highways.
