RESOLUTION RE: ADOPT REVISED BYLAWS FOR THE WELD COUNTY EMERGENCY MEDICAL SERVICES COUNCIL WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to Colorado statute and the Weld County Home Rule Charter, is vested with the authority of administering the affairs of Weld County, Colorado, and WHEREAS, the Board has been presented with revised bylaws for the Weld County Emergency Medical Services Council, and WHEREAS, after review, the Board deems it advisable to approve said bylaws, a copy of which is attached hereto and incorporated herein by reference, and to repeal any previously adopted bylaws. NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld County, Colorado, that the revised bylaws for the Weld County Emergency Medical Services Council be, and hereby are, approved. BE IT FURTHER RESOLVED that any previously adopted bylaws for said council be, and hereby are, repealed. H:Webster e- OGG� �/14 6LL/1C i/ 970354 a AM0011 WELD COUNTY EMERGENCY MEDICAL SERVICES COUNCIL BY-LAWS NAME The name of this entity shall be the Weld County Emergency Medical Services Council, hereinafter referred to as "the Council." PURPOSE The purpose of the Council shall be to advise the Board of Weld County Commissioners regarding the coordination and over-sight of the provision of the emergency medical services ("EMS") in Weld County, Colorado. The specific duties shall include, but are not limited to, the following: 1. To facilitate the development and implementation of mutual aid agreements among the EMS providers. 2. To update the Weld County EMS Plan annually and to submit that plan to the Board of Weld County Commissioners and the State EMS Division for approval. 3. To review and/or update the Weld County EMS Disaster Plan and to submit any recommendations to the Weld County Office of Emergency Management, to the Board of Weld County Commissioners, and to the State of Colorado EMS Division for approval. 4. To coordinate the Weld County EMS Disaster Plan with the disaster plans of other emergency service providers. 5. To encourage coordination and cooperation among EMS providers by the sharing of information and resources, including, but not limited to, joint training exercises, joint EMS grant applications and joint equipment purchases. 6. To advise the Board of Weld County Commissioners regarding written procedures for investigations, hearings and dispute resolution between EMS providers, which are not in conflict with any other rules, and/or regulations, and/or contracts in which the Board of Weld County Commissioners is a party. To advise the Board of Weld County Commissioners, the EMS providers, and the EMS educators on the implementation of the State EMS Regulations. 9. To advise the Board of Weld County Commissioners of changes which may be required in any and all Weld County EMS ordinances. 10. To promote and maintain communications with the State of Colorado EMS Council, the State EMS Division and the State Board of Medical Examiners. 11. To perform other services as directed by the Board of Weld County Commissioners. Box 69 Greeley, CO 80632-0069 MEMBERSHIP Members of the Council shall be appointed by the Board of Weld County Commissioners. Membership on the Council shall consist of the following representatives: 1. A representative of the Weld County Ambulance Service. 2. A representative of the Tri-Area Ambulance Service. 3. A representative of the Emergency Medical Services Department, Division of Public Services, Aims Community College. 6. A representative of the Weld County Regional Communications Center. 7. A representative of the Weld County Office of Emergency Management. 8. The President of the Weld County Fire Chiefs Association or the President's designee. 9. A representative of a fire protection district/fire department in the northwest part of Weld County. 10. A representative of a fire protection district/fire department in the northeast part of Weld County. 11. A representative of a fire protection district/fire department in the southeast part of Weld County. 12. A representative of a fire protection district/fire department in the southwest part of Weld County. 13. A representative of the North Colorado Emergency Physicians, P.C. 14. The Weld County EMS Coordinator. All 14 representatives may vote at regular and special meetings. The representatives filling the positions listed above shall each serve for an initial term set forth as follows, with each position to begin January 1, 1997: positions 1, 4, 7, 10, and 13 -- one year; positions 2, 5, 8, and 11 -- two years; and positions 3, 6, 9, and 12 -- three years. Each initial representative may then serve for an additional three year term. All regular terms shall be three years. A representative may serve no more than two consecutive terms. The Weld County EMS Coordinator position shall be a standing position and not subject to the term limitations stated herein. The represented organizations listed above shall provide the names of those persons who will fill the positions the following year to the EMS Coordinator before December 25th of each year. The representative of the Weld County Ambulance Service shall then transmit Page#3 M:\WPFILES\BYLAWS\NEWBYL2.BTB 970354 the names to the Weld County Board of County Commissioners immediately thereafter for consideration for appointment. OFFICERS At the last meeting of the term, the advisory board members shall elect a Chairperson, Vice Chairperson and Secretary to serve for the new term. The Chairperson shall preside at all meetings of the Council and act in accordance with the duties customarily associated with such position. The Vice Chairperson shall act in the absence or at the request of the Chairperson. The Secretary shall keep minutes of the Council meetings and perform other administrative duties, as required. REMOVAL FROM COUNCIL Upon majority vote of a quorum, Council members may present to the Board of Weld County Commissioners a written recommendation that an officer or other member of the Council be removed for failure to perform assigned responsibilities. VACANCY ON THE COUNCIL If a vacancy occurs on the Council, the vacancy shall be filled by a person representing the same entity that was represented by the vacating member and the person filling the vacancy shall be considered for appointment by the Board of Weld County Commissioners. If a vacancy arises in the office of the Chairperson, the Vice Chairperson shall ascend to the office of Chairperson. A new Vice Chairman shall be elected at the next regular or special meeting. In the event of the incapacity, or resignation, or both, of the Chairperson and Vice Chairperson, members of the Council shall elect a new Chairperson and Vice Chairperson by majority vote of a quorum at the next regular or special meeting. If a vacancy arises in the office of the Secretary, members of the Council shall elect a new Secretary by majority vote of a quorum at the next regular or special meeting. RECORD KEEPING Page #4 M:\WPFILES\BYLAWS\NEWBYL2.BTB 970354 The Council shall keep minutes and records as required. Such minutes, records, notices of the next meeting and agenda of the next meeting shall be sent to the Board of Weld County Commissioners, Members of the EMS Council, Fire Safety Division of Aims College, each Fire Department and EMS provider in Weld County at least one week prior to the next meeting. MEETINGS All business of the Council shall be transacted at regular or special meetings and only when a quorum is present. Regular meetings shall be conducted monthly, at 6:30 p.m., on the second Thursday of each month. Council members' proposed agenda items must be transmitted to the Secretary by the first of each month to be included in the agenda. If no agenda items are presented to the Secretary, the next meeting maybe canceled Special meetings may be held subject to the call of the Chairperson to act upon matters which cannot be delayed until the next regularly scheduled meeting. OUORUM A quorum shall consist of eight of the fourteen members (or designated alternates) in attendance to conduct official business. Only appointed Council members or their designated alternates may vote. Council members who are unable to attend a regularly scheduled or special meeting should send a designated alternate. A tie vote on any issue shall be reported as such. COMPENSATION Members of the Council receive no remuneration for their services on the Council. The Council and members on the Council are not authorized to enter into any contract or execute and deliver any instrument in the name of the Board of Weld County Commissioners or the Council. There are no funds budgeted to the Council, and there is currently no budget for the Council. Service on the Council is strictly voluntary.
