WELD COUNTY RETIREMENT PENSION TRUST
(AS AMENDED AND RESTATED EFFECTIVE MARCH 15, 1989)
Pursuant to the authority of the Weld County Board of Retirement and the
provisions of paragraph 11.01 of the Trust, the Weld County Retirement Pension
Trust (As Amended and Restated Effective March 15, 1989) (the "Trust") is hereby
amended, effective January 1, 1997.
1. Section 1.01 is amended to read as follows:
"1.01 Union Colony Bank, Greeley, Colorado, is hereby designated
as Trustee of the Trust, effective January 1, 1997, and Union Colony Bank
hereby accepts the trust herein created, and will take, hold, invest,
administer and distribute, in accordance with the following provisions, all
contributions paid to it pursuant to the Plan."
IN WITNESS WHEREOF, the Weld County Board of Retirement, to evidence the
amendment of the Trust, and the Trustee, to evidence its acceptance of this Fourth
Amen lent, have caused this Fourth Amendment to be signed by their officers

We, the members of the Weld County Board of Retirement for the County of Weld,
State of Colorado (`Retirement Board"), do hereby certify that attached hereto is a true
and correct copy of the Resolution and a true and correct copy of the Fourth Amendment
to the Weld County Retirement Pension Trust (As Amended and Restated Effective
March 15, 1989) which was duly adopted by the Retirement Board at a meeting on the
day of /14 y 8 , 1998.

RESOLUTION OF THE
WELD COUNTY BOARD OF RETIREMENT
WHEREAS, the Weld County Board of Retirement (the "Retirement Board")
established the Weld County Retirement Pension Trust dated May 22, 1969, to
carry into effect the provisions of the Weld County Retirement Plan (the "Plan");
WHEREAS, the Weld County Retirement Pension Trust dated May 22, 1969,
has previously been amended and restated by action of the Retirement Board as
the Amended Weld County Retirement Pension Trust dated March 15, 1989
("Trust");
WHEREAS, the Trust was amended by an Amendment to the Trust, signed
February 9, 1993; a Second Amendment to the Trust, signed August 17, 1993; and
an Amendment to the Trust, approved February 24, 1995, respectively:
WHEREAS, the Retirement Board reserved the power under Paragraph 9.01
to remove the Trustee and appoint a successor Trustee;
WHEREAS, pursuant to its August 19, 1996 Retirement Board meeting, the
Retirement Board removed Bank One, Colorado, N.A., of Greeley, Colorado, as
Trustee and appointed Union Colony Bank, of Greeley, Colorado, as successor
Trustee, effective January 1, 1997;
WHEREAS, the Retirement Board reserved the power under Paragraph
11.01 to amend the Trust in whole or in part; and
WHEREAS, the Retirement Board does desire to amend said Trust in part.
NOW, THEREFORE, BE IT RESOLVED AS FOLLOWS:
(1) That Bank One, Colorado, N.A., has been removed as Trustee, and
Union Colony Bank has been appointed as successor Trustee, effective January 1,
1997, and the actions of the Retirement Board on August 19, 1996 to remove Bank
One, Colorado, N.A., and appoint Union Colony Bank are ratified and affirmed.

(2) The Retirement Board ratifies and approves all actions previously
performed by Bank One, Colorado N.A., as Trustee, with respect to the affairs of
the Plan.
(3) This Fourth Amendment to the Trust, copies of which have been
presented to the Retirement Board at this meeting, be and it hereby is approved
and adopted, effective January 1, 1997.
(4) The Retirement Board be and is hereby authorized to execute
forthwith this Fourth Amendment to the Trust and to do all other acts and things
necessary and proper to keep the Trust in full force and effect and to make such
amendments and changes, if any, as may be necessary to maintain the
qualification of the Trust under the applicable sections of the Internal Revenue
Code of 1986, as amended from time to time.
(5) A copy of this Resolution and Fourth Amendment to the Trust shall
he delivered to Bank One, Colorado, N.A. and Union Colony Bank.
(6) Announcement shall be made to all employees covered by the Plan
concerning the adoption of said Fourth Amendment to the Trust.
