Each undersigned party guarantees and warrants that such party is the lawful owner of the respective interest set out below
opposite such party's name in all proceeds derived from the sale and/or use of oil and/or gas produced from the land
hereinafter described. The word moil" when used in this Division Order shall include also condensate, distillate and other
liquid hydrocarbons. This Division Order shall apply to production from the following described lands situated in
T3N R66W SEC 18: W/2 WELD COUNTY, COLORADO

Effective 8 AM 03 December 1994, and until further notice, you are hereby authorized to take or retain possession of all
the production of the undersigned from said property(ies) on and after the effective day and to give credit as set forth above
for all proceeds derived from the sale of said production from said property(ies) subject to the conditions and directions set
out below:
1. This is an estimate of your interest. Should subsequent Title Opinions reflect that your interest differs from that shown
above, Basin Exploration, Inc. reserves the right to issue a revised division order and subsequent payment under this division
order. Basin Exploration, Inc. shall have the right to make any necessary adjustments in the disbursements of future proceeds
in order to effectuate the revised division order.
2. Basin Exploration, Inc. is hereby authorized by the undersigned, each individually and not jointly, to receive all oil,
gas, condensate, distillate and liquid hydrocarbons which are allocated to the above described lands, as produced, as welt as
such oil and gas in storage on the effective date and not previously disposed of, and to give credit for and pay to the
undersigned each such party's respective royalty or other interest therein as set out hereinabove with respect thereto or in
the proceeds derived from the sale thereof as hereinafter provided.

3. The undersigned agrees to furnish evidence of title satisfactory to Basin Exploration, inc. Until such evidence is
furnished or in the event of any adverse claim, lien or dispute at any time concerning title to the above described real
property of the oil and/or gas produced therefrom, Basin Exploration, Inc. may withhold payment for oil and/or gas accruing to
the interest or interests affected thereby until it is indemnified to its satisfaction or until such adverse claim , lien or
dispute shall have been fully settled, without liability for interest in either case. If suit is filed affecting the
interest of any of the undersigned, written notice thereof shall be given Basin Exploration, Inc., at the above address by
party or parties affected, together with a certified copy of the complaint or petition filed. If Basin Exploration, Inc. is
made a party to such proceedings, the party or parties affected agree to indemnify Basin Exploration, Inc. against any
judgement rendered therein and to reimburse Basin Exploration, Inc. for any costs, attorney's fee or other expenses incurred
in connection therewith.
4. Each undersigned agrees to notify Basin Exploration, Inc. of any change which increases or decreases that party's
division of interest herein or otherwise results in a transfer of interest. No such change or transfer of interest shall be
binding upon Basin Exploration, Inc. until an order or recorded instrument evidencing such change or transfer, or a certified
copy thereof, shall be furnished to Basin Exploration, Inc. Any change or transfer of interest shall be made effective on
the first day of the month following receipt of such notice by Basin Exploration, Inc.
5. This Division Order shall become valid and binding upon each and every owner above named upon execution hereof by such
owner regardless of whether or not any of the above-named owners have so signed. If the provisions of this Division Order are
in conflict with the provisions of any oil and gas lease covering the above described property(ies), the provisions of this
Division Order shall prevail. Each undersigned owner ratifies and confirms his oil and gas lease as being in full force and
effect as of the date hereof, any amendments and supplements to such lease or leases, including any designations, declarations
or agreements creating a unit including the above described property if such be the case.
6. The Owner executing this Division Order, in consideration of payments to you as the above provided for, agrees to pay any
overriding royalty owners and all other persons who may have right, title or interest in the interest in production set out
above and further agrees to protect, indemnify and hold Basin Exploration, Inc. harmless from and against any and all loss,
cost or expense which it may suffer or sustain by reason of such payment regardless of how any such claim or demand may arise,
including all costs or expenses incurred by Basin Exploration, Inc. in defending its position in any such claim, suit or
action.
7. The Division Order may be executed in counterparts, and shall be binding upon and inure to the benefit of the assignees
hereof, their heirs, successors, legal representatives and assigns, whether or not it is signed by all parties named herein.
8. Payments shall be made monthly by check mailed to the undersigned parties at the address given above, Less any taxes
reouired by law. Basin Exploration, Inc. shall not be required to pay any interest amounting to less than twenty-five dollars
($25.00) but may hold same without interest remitting at least annually.
9. The interest of each undersigned party shall bear its proportionate share of all severance, production, or other tax
levied by or under authorty,,of the laws of the United States, the State or any legal subdivision thereof against such oil
and/or gas and Basin Exploration, Inc. is authorized to withhold the amount thereof from the proceeds accruing hereunder and
to pay such taxes on behal#i „the/undersigned.
