Dear Gary:
I need to preface our response to your adequacy letter with a project history and the
objectives of the permittee (Owens Brothers Concrete Co.). Owens Brothers Concrete
has historically purchased construction aggregates from commercial producers for use in
their ready mix concrete business. The company purchased the Del Camino property in
1985 with the intent of eventually permitting it and mining the aggregate for their own
internal use. Last year we gained approval from the Weld County Commissioners, filed
the CMLRB application and filed the Substitute Water Supply Plan with the Division of
Water Resources (copy of application document attached to this letter). The company's
intent is to initiate mining in the next year or perhaps two and obviously wants and needs
all permits in place. Detailed, final plans for the operation have not been formulated. For
this reason we would like to gain permit approval from the Division now and submit the
various details that you have requested later, when they are known. Submittal of these
details will be a precondition to land disturbance along with the submittal of a financial
warranty for reclamation.
Item#1: Discharge Permit
The applicant has not yet applied for a Colorado Discharge Permit System (CDPS) permit
to the Colorado Dept. of Public Health and Environment (CDPHE). According to the
Substitute Supply Plan submitted to the State Engineer(on January 21, 1997), water from
the dewatering operation will be discharged into St. Vrain Creek. The exact location of
the discharge point is not currently known but will be shown in the CDPS permit
application.
The applicant will provide the Division with verification that the CDPS permit has been
approved prior to any mining disturbance. We request that this be a condition of permit
approval.

Item#2: Stormwater Management Plan
The Stormwater Management Plan is a requirement of the CDPS permit and will be
prepared at the time of CDPS permit application. The applicant will provide the Division
with verification of the Stormwater Management Plan prior to mining disturbance. It is
the operator's intent to contain all runoff from disturbed land on site and divert it into the
mine pits using small, earthen diversion ditches and berms. These minor earthen features
will be reclaimed as part of the reclamation plan currently on file with the Division. We
request that the permit be approved with this condition.
The applicant will submit a financial warranty upon permit approval. If, after development
of the Stormwater Management Plan, the financial warranty needs to be changed for some
reason, the applicant will do so.
Item#3: Flood Hazard Development Permit
A revised Exhibit M is attached which includes the Weld County Flood Hazard
Development Permit (a copy of the permit approval is also attached).
No erosion control on hydraulic structures of any kind are required by the Flood Hazard
Development Permit. There will be no impact on reclamation costs.
Item#4: Topsoil Stockpiles
Exhibit C-2 shows typical locations for gravel processing and stockpiling. Topsoil
stockpiles may be temporarily located in areas that are within the 100 year flood plain.
The applicant hereby commits to building elongate stockpiles with the long axes roughly
parallel to the flow of the river(where those stockpiles are within the 100 year flood
plain). This commitment is also a part of the Weld County Flood Hazard Development
Permit.
Item#5: State Water Engineer Compliance
A well permit application and substitute water supply plan have been submitted to the
Colorado Division of Water Resources, State Engineers office (on January 21, 1997).
The applications have not yet been approved and we believe they will be approved (copy
of application attached). We request that the Division approve the mining permit
conditional on State Engineer's approval prior to exposing groundwater.

Item#6: Hydrologic Balance
Water well Permit #38262 (issued to Fred Craig) is on the Timko property. A field visit
to the SW, NW Section 32 revealed a water well on the Timko property. A revised
Exhibit G-1 is attached showing the approximate location of this well.
The revised Exhibit G-1 also shows the location of the groundwater monitoring well
installed on the Acord property by Owens Brothers Concrete Co. The well was installed
on September 13, 1996 to a total depth of 25 ft. It is a 2" diameter monitoring well
completed in the alluvial aquifer. The screened portion of the well extends from 3 ft.
below ground surface to the total depth of the well. Groundwater was encountered at 6
ft. below ground surface at the time of drilling.
Two additional groundwater monitoring wells will be installed on the property prior to
mine disturbance. One well will be installed in the vicinity of the Timko well and the other
well will be installed in the southern portion of the property. A water level monitoring
plan including at least five quarters of data will be submitted to the Division prior to mine
start up. The monitoring plan will include a definition of negative impact and a mitigation
plan. We request that these provisions be made conditions of permit approval.
Item#7: Direction of Groundwater Flow
There are no on-site monitoring wells on the property. The expected direction of
groundwater flow (i.e. towards St. Vrain Creek)was assumed based on topography,
experience with similar alluvial environments and conversations with gravel mining
companies in the vicinity. The installation of three monitoring wells on the property will
allow an accurate determination of the direction of groundwater flow on a seasonal basis.
Item#8: Dewatering Impacts on Wetlands
The mining and reclamation operations were designed to avoid excavating or filling in
designated wetlands. The U.S. Army Corps of Engineers does not regulate dewatering
adjacent to a wetland even if the dewatering negatively impacts the wetland. Our initial
response to this item is that this issue is not regulated by the Federal government under the
Clean Water Act.
The Division is correct in the assumption that dewatering adjacent to the wetlands may
temporarily lower the groundwater that is the source of the wetland vegetation. As
mining is completed in an area adjacent to wetlands, the groundwater will recover to its
original level and, we believe, continue to support wetland vegetation. There are currently
no plans for mitigation of potential wetland impacts except that creation of ponds and
shorelines during reclamation will create more aquatic habitat and greatly expand the

acreage of"waters of the United States" as regulated by the U.S. Army Corps of
Engineers.
Item#9: Bond Calculation Issues
There will be no permanent buildings or structures built on site that will require
demolition. A completely portable processing plant (and related structures) will be used.
It is estimated that no more than ten acres will be excavated at any one time before
reclamation would commence. Reclamation would then proceed concurrently with the
mining throughout the life of the project. This ten acre figure is used here to calculate
volumes of topsoil and overburden that will be stockpiled on site.
One foot of topsoil will be stripped over the ten acre area and stockpiled. This amounts to
16,135 cubic yards of topsoil. It is estimated that the average push distance will be 300 ft.
Approximately five ft. of overburden will be removed, which over a ten acre area will
amount to 80,666 cubic yards. This overburden material will be pushed an average of 300
ft. onto the pit floors and side slopes for reclamation purposes.
The average depth of topsoil to be replaced will be approximately two ft. (topsoil will not
be placed on the pit floor which will ultimately be a pond bottom). The average depth of
overburden placement will be five ft. (same thickness that was removed).
Topsoil and overburden stockpile locations that are shown on Exhibit C-2 are designed to
avoid the 100 year flood plain. However, stockpiles will most likely be temporarily
located in the central portions of Phase 1 and Phase 2 (so that they will be close to areas
to be reclaimed).
Item#10: Sinclair Pipeline Easement Stability
A letter from a geotechnical engineer is attached addressing the Division's comments.
The operation will comply with the slope angle recommendations contained in the letter.
Item#11: Additional Structures within 200 ft.
a) Seep Drainage Ditch -the applicant hereby commits to moving the southern limit
of mining in Phase 3 to the north to be at least 200 ft. from the ditch.
b) The commitment in (a) above addresses the irrigation ditch south of the Seep
Drainage Ditch.

c) The irrigation lateral ditch extending north from the Last Chance Ditch will be
relocated under agreement with the owner of the property north of County Road
263/4 (copy of agreement attached).
d) The operator hereby commits to mining no closer than 200 ft. from the power
poles until such time as a notarized compensation agreement with the owners of
the poles is submitted to the Division.
Item#12: Topsoil Replacement
The operator commits to replace a minimum of twelve inches of topsoil on disturbed areas
(except for those areas that will ultimately be below the water surface).
Item#13: Slope Steepness
The operator commits to regrade all slopes to an angle no steeper than 3H:IV.

RE: Substitute Supply Plan, Del Camino Pit, MLRD Permit Pending
Dear Mr. Simpson:
Owens Brothers Concrete Co. submits this substitute supply plan for the proposed Del
Camino Pit, located in Sections 32, T.3 N., R.67 W., Weld County, Colorado (Fig. 1).
Owens Brothers Concrete Co. proposes to mine sand and gravel beginning in spring of
1998. The operation will mine approximately 300,000 tons per year and the
approximate life of the mine is 10 years.
Enclosed with this plan is a well permit application and a check for $1,403, the plan
application fee of$1,343 and the well permit application fee of $60.
PROJECT DESCRIPTION
The Del Camino Pit will consist of approximately 86 acres of mined area in the alluvium
of the St. Vrain River. Enclosed is the vicinity map prepared by AGRA Earth and
Environmental MLRB 112 Permit Application. The vicinity map shows the boundaries
of the area proposed for mining. The operator currently plans to begin mining in the
spring of 1998. The pit will be dewatered and mined dry. The water from the
dewatering operation will be discharged into the St. Vrain River.
The property has been, and is currently, used to grow crops. This plan will utilize the
consumptive use credit from the irrigation in addition to leased effluent to provide for
replacement of depletions.

DEPLETIONS
Owens plans to mine 300,000 tons per year. The water surface area exposed to the
atmosphere will consist of a small area of residual water in the sump and dewatering
trench that will line the circumference of the mining area.. We estimated that there will
be no more than 2 acres of water exposed during the mining.
The depletions from mining of the Del Camino Pit will result from evaporation and water
lost in the product. The gross evaporation of 40.5 inches per year was determined from
the NOAA Technical Report NWS 33. The monthly distribution is based on the SEO
draft criteria dated February, 1995.
Table 1 shows the estimated evaporation depletion on a monthly basis. The depletions
are shown on a calendar year. Since the water surface area will not increase, the area
exposed will remain the same during mining and the monthly product mined will vary.
No water will be used for dust suppression.
REPLACEMENT PLAN
Owens proposes to replace depletions using effluent from the City of Longmont and
water from the Last Chance Ditch released at the metro plant. Presently, the property
is being irrigated by the Last Chance Ditch. The enclosed Vicinity Map shows the Last
Chance Ditch. The historic irrigated acreage is the area within the mining boundary.
The cropping pattern for at least the past decade has been to plant 50% corn and 50%
alfalfa. We estimate the potential crop consumptive use to be 22.7 inches for corn and
26.5 inches for alfalfa. The Blaney-Criddle analysis is attached. Based on the Blaney
Griddle analysis and an irrigated area of 100 acres, the crops have a total potential
crop CU of 278 acre feet per year. The total annual depletion from the mining
operation will be 23.7 acre feet. Table 2 summarizes the depletions and replacement
amounts. The historic consumptive use credits will offset depletions during the
irrigation season. We estimate that 4.2 acre feet of water will be needed from an
effluent lease for replacement during non-irrigation months.

located at the southern end of the property area. This pond will serve as a recharge
reservoir and clear water pond. The timing of depletions will approximately match the
timing of the replacement and historic depletions.
Owens will provide replacement for non-irrigation season depletions from leased
effluent from the City of Longmont. Due to the long lead time on this project Owens
has not entered into an agreement with Longmont. We have contacted the city and
have been informed that water is available. We request that this plan be approved
contingent on obtaining water from Longmont.
Enclosed with this plan is proposed accounting form which will be submitted to the
Division Engineer.
Attached to this plan is the original well permit application.

We have received comments dated October 18, 1996 from the State of Colorado Division of
Minerals and Geology(DMG), through Gary Curtiss and prepared by Allen Sorenson. Their letter
relates to the amount of setback that should be required to keep the Sinclair Pipeline safe from
slope stability issues in worst-case and extreme worst-case mining scenarios. They have no
problem with the application from the standpoint of post-mining, reclaimed configuration.
The concern expressed by DMG is with temporary vertical or near vertical cut slopes that might
be made and left un-reclaimed under various conditions. We agree with their analysis and
conclusions that vertical slopes are indeed unstable under unsaturated, saturated or rapid draw-
down conditions.
If the unlikely event of DMG's Case B were to occur with Failure Surface #3 (FS=1.25), the
Sinclair Pipeline would be within the failed area under rapid drawdown conditions, because the
pipeline is located 5 feet closer to the east easement line than the west line.
We do not recommend vertical slopes in granular materials, even temporarily, because it cannot
be shown that such a slope will stand. The issue is to recommend the slope that will allow the
operator to recover the maximum amount of permitted resource safely, with a minimum of risk to
personnel and equipment safety as well as future exposure to repair work outside of mining limits
and easement lines.

A comment about rapid draw down is in order. This refers to the development of hydrostatic uplift
pressure in a soil slope when the water level is taken down faster than the ability of the material
to drain or dissipate pore water pressure. For a granular soil such as is being mined on this site,
we expect fairly rapid dissipation of pore water pressure due to the highly permeable nature of the
material. For the temporary condition where a steep, un-reclaimed pit slope is allowed to flood
(i.e. turn off the dewatering pumps), and then the pit is pumped out, we would expect the slope
to have first raveled to near the angle of repose, somewhere between 1:1 to 1.5H:1V, due to
seepage forces and the high ground water exit gradient. Because the permeability of sand and
gravel is fairly high, and about 22 feet of hydrostatic head would have to be dealt with to again
make the pit dry, it would be reasonable to expect that the perimeter dewatering system will be
in operation concurrent with the pumping out of the pit. Therefore, it is unlikely that rapid draw
down would occur because drained sand and gravel would be well back into the embankment as
the pit is pumped out.
Recognizing DMG's comments and the realities of sand and gravel mining, we recommend that
mining be done with temporary pit slopes no steeper than 0.5H:1V, and more shallow if pit
conditions necessitate. In the unsaturated condition, analysis of this configuration gives a factor
of safety of 2.54 for a failure surface extending from the mining limit 30 feet back to the easement
line. Considering an average of 3 feet of positive pore pressure along the saturated length of the
same failure surface, a factor of safety of 1.36 was generated. This is considered to be adequate.
In this analysis, we have considered the pipeline easement as essentially inviolable. The
easement line leaves a minimum of 20 feet and a maximum of 40 feet horizontally to the pipeline
location. This is with the understanding that should slumping and raveling into the pit occur from
gravity, flooding or future dewatering, the failure surface will daylight within the zone between the
mining limit(set back) and the pipeline easement and can be relatively easily repaired. If it must
be demonstrated that absolutely no encroachment into the area behind the mining limit can occur,
then even temporary pit slopes should be cut no steeper than 1.3H:1V, which is the approximate
long-term angle of repose. However, this does limit the recovery of a valuable, permitted resource
for little, if any benefit. As with any slope steeper than the natural angle of repose, it is
recommended that reclamation to plan contours be done as soon as practicable. It is our opinion
that the above recommendations will not result in slope failures that extend within the pipeline
easement.

It is our understanding that we have reached an agreement as
outlined in this letter. If this letter states the agreement
correctly, please sign the enclosed copy and return it to us. We
will then have the easements prepared by our attorney.
1 . It is our understanding that we are to grant you a non-
exclusive easement for the purpose of carrying water to your
real property from the Last Chance Ditch, over our real
property which lies in the West half of Section 32 , Township
3 North, Range 67 West of the 6th P.M. , Weld County, Colorado,
through a lateral ditch, and for a roadway to maintain the
same, along the west ditch alignment from the headgate to
County Road 26 and 3/4 , 30 feet in width, extending ten feet
from the centerline of the ditch eastward, and 20 feet from
the centerline of the ditch westward. We will also provide a
30 foot non-exclusive easement for a new ditch from the
existing west delivery point all the way east to the east
delivery point. This latter 30 foot easement would lie just
inside our north property line. The foregoing easement shall
be subject to the prior easement for the Sinclair Pipeline
which was recorded on October 23 , 1963 , under Reception No.
1419698 in the Weld County Real Estate Records.
2 . Any portion of the above described ditch that remains in its
current alignment will remain as is, without further
improvement. Any portion reconstructed in a new alignment
along County Road 26 -3/4 will be either cement lined or placed
in a concrete pipeline at our sole discretion. The new cement
lined or piped ditch will be constructed to handle the water
capacity which you currently need.
3 . You will also have access to these ditch laterals for
maintenance.
4 . We will construct the new alignment so that there will be
sufficient fall to the ditch from the west to the east.

5 . We will construct a control gate which will permit you to
direct water from the north-south ditch to either delivery
point or both. This control gate will be located at the north
point of the north south portion of the ditch.
6. We also agree that we will not cause your average ground water
level to drop as a result of our mining operations, and for
this purpose we propose to install a monitoring well
(piezometer) on your property which you would permit us to
read each month after our mining permit is approved by the
County Commissioners. We agree to share the readings with you
so that we will both have a record of the water level , as it
exists from time to time, through the completion of our mining
operation.
7 . In return, you agree not to protest the removal of the
easterly ditch.

NON-EXCLUSIVE EASEMENT AGREEMENT
For and in consideration of the sum of Ten Dollars and other
good and valuable consideration, receipt of which is hereby
acknowledged, Owens Bros. Concrete Co. , a Colorado corporation,
hereinafter referred to as Grantor, does hereby grant and convey
until Gilbert P. Accord, his successors and assigns, hereinafter
referred to as Grantee, a non-exclusive easement for a lateral
ditch to carry water from the Last Chance Ditch over a portion of
Grantor' s property in the Nast half of Section 32 , Range 67 West of
the 6th P.M. , in Weld County, Colorado.
That portion of Grantor's property over which such non-
exclusive easement is hereby granted is legally described in
Exhibit A hereto attached.
The purpose of the foregoing grant of a non-exclusive easement
is to permit the Grantee to cause water to be carried to Grantee ' s
property over a portion of Grantor' s property from the Last Chance
Ditch, and to permit the Grantee to have reasonable access to
maintain such lateral ditch.
This non-exclusive easement is subject to the prior easement
granted to Sinclair Pipe Line Company and recorded at Reception No.

DURABLE GENERAL POWER OF ATTORNEY
I, GILBERT P. ACORD, of Weld County, Colorado, as principal, hereby appoint my ncice,
LORETI'A RIIOADES, of Weld County, Colorado, my true and lawful attorney in fact, or
agent.
1. Grant of Power. Except as expressly provided otherwise in this document, I grant to
my agent full power and authority, in my name and for my benefit, to exercise or perform
any act, power, duty, right or obligation whatsoever that I now have or may hereafter
acquire, relating to any person, matter, transaction or property, real or personal, tangible or
intangible, now owned or hereafter acquired by me, including, without limitation, the
following specifically enumerated powers:
1.1 Collection and Payment. To request, demand, sue for, recover, collect,
receive, and hold all sums of money, debts, dues, commercial paper, checks, drafts,
accounts, deposits, legacies, bequests, devises, notes, interests, stock certificates,
bonds, dividends, certificates of deposit, annuities, pension, profit sharing, retirement,
social security, insurance and other contractual benefits and proceeds, all documents
of title, all property, real or personal, tangible and intangible property and property
rights, and all other demands whatsoever, liquidated or unliquidated, now owned or
hereafter acquired by, or due, owing, payable or belonging to me, or in which I may
have or may hcrcaftcr acquire an interest; to have, use and take all lawful means,
and to sock all legal and equitable remedies and proceedings, in my name for the
collection of the same; to forgive, adjust, soli, compromise or agree with respect to

the same; and to execute and deliver for me, on my behalf and in my name, all
endorsements, releases, receipts or other sufficient discharges for the same.
1.2 Acquisition and Disposition. To acquire, purchase, exchange, option, sell,
convey, mortgage, lease or in any manner deal in or with, real or personal property,
tangible or intangible, or any interests therein on such terms and conditions as my
agent deems proper.
1.3 Management. To maintain, repair, improve, invest, manage, insure, rent,
lease, encumber and in any manner deal with any real or personal property, tangible
or intangible, or any interest therein, that I now own or hereafter acquire, in my
name and for my benefit, upon such terms and conditions as my agenty deems
proper.
1.4 Banking. To make,sign, receive, endorse, assign and/or deliver checks, drafts,
notes, securities or other orders for the payment of money; deposit and withdraw
funds, acquire and redeem certificates of deposit, in banks, savings and loan
associations and other institutions; and execute or release such deeds of trust or other
security agreements as may be necessary or proper in the exercise of the rights and
powers herein granted.
1.5 Motor Vehicles. To apply for certificates of title, and endorse and transfer

such titles, for any automobile, truck, pickup, van, motorcycle or other motor vehicle,
and to represent in such transfer that the title to the motor vehicle is free and clear
of all liens and encumbrances except those specifically set forth in the transfer.
1.6 Business Interests. To conduct or participate in any lawful business of
whatever nature for me and in my name; execute partnership agreements and
amendments thereto; incorporate, reorganize, merge, consolidate, recapitalize, sell,
liquidate or dissolve any business; elect or employ officers, directors and agents;
perform under any agreement for the sale of any business interest or the stock
therein; exercise voting rights with respect to stock, either in person or by proxy; and
exercise stock options.
1.7 'fax Matters. To prepare, sign and file joint or separate income tax returns
or declarations of estimated tax for any year or years; prcparc, sign and file gift tax
returns with respect to gifts made by me for any year or years; to consent to any gift
and to utilize any gift-splitting provision or other tax election; and to prepare, sign
and file any claims for refund of any tax; and to represent me or obtain
representation for me in any tax audit.
1.8 Safe Deposit Boxes. To have access to any safe deposit box rented by me,
wheresoever located and at any time or times, and to remove all or any part of the
contents thereof, and to surrender or relinquish such safe deposit box. No institution
in which such safe deposit box is located shall incur any liability to me or to my
estate as a result of permitting my agent to exercise this power.
1.9 Medical Care. Subject to the same limitations imposed upon court appointed
guardians contained in C.R.S. §15-14-312(1)(a), or a successor provision, to consent
to, refuse, or withdraw consent to, or approve or disapprove on my behalf any
medical or other professional care, counsel, treatment or service of or to me by a
licensed or certified health care professional person or institution; and in making any
decisions concerning my medical care, to be given access to information concerning
my medical treatment, diagnosis and other medical information that may be relevant
to making an informed decision.
1.10 Colorado Medical Treatment Decision Act. If I have executed a declaration
under the Colorado Medical Treatment Decision Act, to submit the Declaration to
my attending physicians and, if I am comatose and not in a jurisdiction where the
Declaration is recognized, to transport me to a jurisdiction in which the Declaration
will be recognized and to pursue any legal action necessary to force compliance with
my Declaration.
1.11 Guardianship or Conservatorship. To act as guardian of my person or
conservator of my estate and of my minor children, if any, should such action he
required.

The foregoing enumeration of powers is not intended to, nor shall it limit or restrict the
general powers hcrcin granted to my agent. I grant to my agent full power and authority
to do all things necessary in exercising any of the powers herein granted, as fully as I could
do if personally present, with full power of substitution or revocation. I hereby ratify and
confirm all that my agent shall lawfully do or cause to be done by virtue of this power of
attorney and the powers granted herein.
2. Reliance. No person or institution shall be required to inquire as to the
circumstances of the issuance or use of any instrument signed in accordance with the
foregoing authority, or to the application or disposition of such instrument, or the proceeds
thereof. No person or institution who acts in reliance on representations of my agent or the
authority granted to my agent shall incur any liability to me or to my estate as a result of
permitting my agent to exercise any power granted herein.
3. Fiduciary Powers of Principal. Notwithstanding any other provision of this power
of attorney, my agent shall have no rights or powers hereunder with respect to any act,
power, duty, right or obligation, relating to any person, matter, transaction or property,
owned by me or in my custody as a trustee, custodian, personal representative or in another
fiduciary capacity.

4. Substitute Agent. If Loretta Rhoades ceases to act as my agent due to her death,
disability or resignation, I appoint Herbert Acord of Longmont, Colorado, as my attorney
in fact and agent.
This power of attorney shall not be affected by disability of the principal.
