Until further written notice,you are authorized,for your own accounts,to receive such oil into your possession or the
possession of any person or corporation designated by you,the oil so received to be run and measured in accordance with customary pipeline rules and
regulations including those of the governmental agency having recognized jurisdiction over or control of the production and handling of oil in such area.
2. The oil run hereunder shall,on the terms herein staled,become your property immediately upon being received into your
possession or the possession of your designated nominee:and you agree to receive the oil run hereunder and subject to the further provision hereof,to
pay the respective owners therefor according to the division of interest herein indicated,either at your posted per barrel(42 gallons)field price for
similar oil prevailing for the field where produced on the date of each respective run,or if the nil purchased by a nominee,the price to be paid shall be
the saute price received from such nominee,or if you do not post a price for such oil,the price to be paid shall be an agreed price,and in the absence of
a pipeline connection,all prices are subject to deduction of barging or trucking costs.
3. For gas sold and/or used by you oil'the lease or unit,settlements shall be based upon the market value at the well.For
gas sold at the well,settlements shall be based upon the net sales price received by you at the well.
4. Settlements and payments teasel upon the prices sea forth herein arc In be male monthly by your checks moiled in the
respective persons interested at the addresses given herein.'the undersigned authorize you to withhold their proportionate share of all taxes now or
hereafter imposed including without limitation all taxes imposed upon the production,severance,ad valorem,gathering,processing, and marketing
thereof.At your option,you many hold,without interest,and remit annually for the aggregate of I2-months accumulation of monthly accruals of
amounts less than Twenty Five Dollars(S25.00).
5. Each of the undersigned hereby(I)warrants and guarantees the title to his interest in the oil and in the net proceeds of
gas sold or used off the properly,and(2)in case of an adverse claim or claims to the oil run to his credit or his interest in the net proceeds of the gas
sold or used off the property or any part thereof,agrees to furnish indemnity satisfactory to you against all adverse claims and hereby authorizes you to
retain all proceeds accruing to the undersigned without any obligation to pay interest on the amount so withheld until the required indemnity shall have
been furnished or until the dispute as to the ownership of the production involved is settled. You are hereby relieved of any responsibility fur
determining when any of the interests herein set forth shah!revert to other panties as a result of the completion or discharge of money or other payments
from said interests.It is understood that any assignee/grantee/buyer of any interest in said property or the production thereof shall take subject to the
tens hereof,and you shall not be bound by any sale or assignment of any interest in said property until written notice thereof shall be furnished you in
the form of the original or a certified copy of the instrument by which said sale or assignment was made. Regardless of the effective date of the
instrument of conveyance,all transfers shall be made effective as of 7:00 am of the first day of a calendar month in which said written notice is received;
and transfers shall not be made effective earlier than the first day of the calendar month in which said written notice is received. Transferor and
Transferee are responsible for making any necessary adjustments for payments made by Patina Oil &Gas Corporation and/or SOCO Wauenberg
Corporation to the Transferor for oil and gas produced after the effective date of the transfer.'thus,if the Transferor receives or has received payments
to which the Transferee is entitled under the terms of a conveyance or agreement,the adjustment or reconciliation for such payments must be handled
directly between Transferor and Transferee.
6. The word'OIL",as used herein,is hereby declared to include all liquid hydrocartxuts purchased hereunder,and the word
"GAS",as used herein,Is hereby declared to include ail gaseous substances including oil well gas(casinghcad gas).
7. The undersigned hereby expressly ratify mid confirm the oil,gas,and mineral lease or lenses,pursuant to which oil and
gas from the property is being produced and sold,any amendments and supplements to such lease or leases including any designations,declarations,or
agreements creating the unit including the above described property,if such be the ease.
S. This division order may be executed in coturterpatts and shall be binding on and shalt inure to the benefit of each signer
hereto,hislller heirs,successors,and assigns,whether or not it is executed by all parties named herein.

TITLE DATA EXAMINED
1. Our Drilling and Division Order Title Opinion prepared for the above-captioned
well and lands dated September 25, 1996, and addressed to SOCO Wattenberg Corporation
(our "Prior Opinion"). Based on our review of the title materials described therein, our Prior
Opinion was made effective as of July 26, 1996, at 7:00 a.m. but limited as to those depths
and formations lying between the surface of the earth and the stratigraphic equivalent of 7,265
feet as found in the Green No. 1 Well located in the S'/ZSW'A of Section 25, above described.
2. A copy of a Division Order Title Opinion dated June 17, 1986, addressed to
Barrett Energy Company and prepared by John H. Schultz, attorney at law, for the Green No.
1 Well. Based on his examination of the title materials described therein, Mr. Schultz's
division order title opinion covers the above-captioned lands and is effective as of May 9, 1986

at 7:45 a.m. as to all formations from the surface of the earth to the stratigraphic equivalent of
7,265 feet as found in the Green No. 1 Well.
3. A copy of a First Supplemental Division Order Title Opinion dated February 11,
1987, prepared by John H. Schultz, attorney at law, and addressed to Barrett Energy
Company. Based on his examination of the title materials described therein, Mr. Schultz's
first supplemental division order title opinion covers the above-captioned lands and is effective
as of May 9, 1986 at 7:45 a.m., subject to the depth limitation previously noted.
4. A copy of a Supplemental Drilling Title Opinion Dated January 17, 1994,
prepared by Sheryl L. Howe of the law firm of Clanahan, Tanner, Downing & Knowlton and
addressed to Snyder Oil Corporation. Based on her examination of the title materials
described therein, Ms. Howe's title opinion covers the S' SW'/a of the subject Section 25 as of
October 12, 1993 at 7:45 a.m., subject to the depth limitation in the Green No. 1 Well,
referred to above.
5. A copy of letter dated October 18, 1994 from Sheryl L. Howe to Snyder Oil
Corporation setting forth tabulations of before-payout and after-payout working interests in the
captioned lands.
6. A copy of a supplemental title update dated August 28, 1996, and prepared by
Douglas Campbell for SOCO Wattenberg Corporation with respect to the KFKA J 25-13 Well
and the S' SW'A of Section 25. Mr. Campbell's supplemental title update describes a single
instrument.
7. A copy of a title update dated August 8, 1997, prepared by Douglas Campbell
for Patina Oil & Gas Corporation covering the captioned lands and instruments filed of record
for the period of time from July 26, 1996 to July 29, 1997, at 7:00 a.m.
8. A copy of a title update dated November 17, 1997 and prepared by Douglas
Campbell for Patina Oil & Gas Corporation covering the above-captioned lands and
instruments filed of record for the period of time from July 29, 1997 to October 30, 1997 at
7:00 a.m.
9. A copy of an amendment of oil and gas lease dated October 31, 1997 by and
between Ralph and Mary Green, as lessor, and SOCO Wattenberg Corporation, as lessee. The
amendment was recorded in Weld County on November 14, 1997 in Book 1635, Reception

(3) Lessee and lessor shall agree prior to the drilling of a well, to the
damage settlement for the drilling of a well. If more than 2.0 acres is
utilized to accommodate tank batteries, separators, roads, etc., the
settlement shall be increased by a portion thereof of additional land
required. If drilling operations are conducted during crop season, lessee
shall pay lessor all damages to the crops, including future crop reduction.
If lessee causes any damage to lessor's property which is not covered by
the terms of the lease, such as damage to lessor's existing irrigation
system, lessee shall pay lessor all actual damages.
