HomeMy WebLinkAbout980269.tiff RESOLUTION RE: APPROVE AGREEMENT FOR PURCHASE OF STOCKPILED MATERIALS AND AUTHORIZE CHAIR TO SIGN WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to Colorado statute and the Weld County Home Rule Charter, is vested with the authority of administering the affairs of Weld County, Colorado, and WHEREAS, the Board has been presented with an Agreement for Purchase of Stockpiled Materials between the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the Department of Public Works, and Gary and Jean Sheffler, P.O. Box 23, New Raymer, Colorado 80642, with terms and conditions being as stated in said agreement, and WHEREAS, after review, the Board deems it advisable to approve said agreement, a copy of which is attached hereto and incorporated herein by reference. NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld County, Colorado, that the Agreement for Purchase of Stockpiled Materials between the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the Department of Public Works, and Gary and Jean Sheffler, be, and hereby is, approved. BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized to sign said agreement. Kirkmeyer (J�/ 980269 EG0037 : Pai) 5h-e-Mer AGREEMENT FOR PURCHASE OF STOCKPILED MATERIALS THIS AGREEMENT, made and entered into this 4- day of February, 1998, by and between Weld County, Colorado, by and through the Board of County Commissioners of the County of Weld, Colorado, 915 10th Street, Greeley, Colorado 80631, hereinafter referred to as "County," and Gary Sheffler and Jean Sheffler, P.O. Box 23, New Raymer, Colorado 80642, hereinafter referred to as "Owners." WITNESSETH: WHEREAS, pursuant to an Agreement for Use of Soil and/or Gravel for Road Purposes between the parties herein and dated January 8, 1997, County purchased, mined and processed soil and/or gravel ("Materials") from Owners' property located in the Southwest Quarter (SW4) of Section 5, Township 11 North, Range 57 West of the 6th Principle Meridian, Weld County, Colorado ("the Property"), from January 8, 1997,to January 8, 1998, and WHEREAS, during said term, County stockpiled said Materials on the Property for later removal, with the estimate of said stockpiled Materials being 40,000 tons, and WHEREAS, the parties hereto now desire to enter into this Agreement to clarify their respective positions regarding the purchase and removal of said stockpiled Materials, and regarding reclamation of the Property. NOW THEREFORE, in consideration of the mutual promises and covenants contained herein, the parties hereto agree as follows: 1. TERM: The term of this Agreement shall be from the date of signature herein to and until such time as all Materials stockpiled on the Property are removed and paid for by County and the Property is reclaimed in accordance with the reclamation plans (copy attached) in Colorado Mined Land Reclamation Permit No. M-8,-202 as determined by the Colorado Division of Mined Land Reclamation. ROYALTY FOR SOIL AND\OR GRAVEL EXTRACTED: County agrees to pay Owners a royalty of.45 cents per cubic yard, or .35 cents per ton (each cubic yard equals 1.3 tons), for the Materials removed from the Property. The Materials so removed shall be weighed prior to removal by using a scale attached to front end loaders. Such royalty is to be paid to Owners within 10 days of the completion of the removal contemplated herein. 3. ACCESS: Owners agree to provide County access to the area of the Property where the Materials are currently stockpiled. Page 1 of 3 Pages 9802 S9 4. BOOKS AND RECORDS: County agrees to keep accurate records of all Materials removed from the Property and shall, at all reasonable times, make said records available to Owners for their inspection. 5. RECLAMATION: County agrees to begin reclamation of the Property upon the removal of all Materials currently stockpiled on the Property. Such reclamation shall accomplished in accordance with the reclamation plans (copy attached) in Colorado Mined Land Reclamation Permit No. M-83-202. Completion of such reclamation and release from the reclamation requirements of said Permit shall be determined by the Colorado Division of Mined Land Reclamation. 6. ADDITIONAL AREA TO BE RECLAIMED: County agrees that past mining, processing and stockpiling of Materials by County resulted in damage to grass and topsoil on approximately 114 to 2 acres of land owned by Owners and located north of the permitted mining and stockpiling area of the Property. County agrees to replace said grass and topsoil at its sole cost, even though such land is not within the area which is the subject of the required reclamation pursuant to Colorado Mined Land Reclamation Permit No. M-83-202. 7. NON-ASSIGNMENT: This Agreement shall not be assignable without prior written consent of County or Owner, whichever is the non-assigning party. 9. MODIFICATIONS AND BREACH: This Agreement contains the entire agreement and understanding between the parties to this Agreement and supersedes any other agreements concerning the subject matter of this transaction, whether oral or written. No modifications, amendment, novation, renewal, or other alteration of or to this Agreement shall be deemed valid or any force or effect whatsoever, unless mutually agreed upon in writing by the undersigned parties. No breach of any term, provision, or clause of this Agreement shall be deemed waived or excused, unless such waiver or consent shall be in writing or signed by the party claimed to have waived or consented. Any consent by any party hereto, or waiver of, a breach by any other party, whether expressed or implied, shall not constitute a consent to, waiver of, or excuse for any other different or subsequent breach. SEVERABILITY: If any terms or condition of this Agreement shall be held to be invalid, illegal, or unenforceable, this Agreement shall be construed and enforced without such a provision to the extent this Agreement is then capable of execution within the original intent of the parties hereto. 11. NO THIRD PARTY BENEFICIARY ENFORCEMENT: It is expressly understood and agreed that enforcement of the terms and conditions of this Agreement, and all rights of action relating to such enforcement, shall be strictly reserved to the undersigned parties, and nothing contained in this Agreement shall give or allow any claim or right of actions whatsoever by any other person not included in this Agreement. It is the express intention of the undersigned parties that any entity other than the undersigned parties receiving services or benefits under this Agreement shall be deemed an incidental beneficiary only. The topsoil will be stripped from the area to be mined and stockpiled. At the end of each mining operation where the pit ql has been completed, the banks will be shaped to a slope not to exceed 4:1, and the available topsoil replaced. As the reclaimed area is the same as the mined area , the topsoil depth replaced will be equivalent to the existing ground topsoil depth. The sloped banks will be left --- 1 in a rough condition to minimize wind erosion and runoff. l Upon completion of the pit or the end of the lease, the County will P‘ 16 complete the recommended seeding and revegetation of the site.
