RESPONSE TO ORDER TO SHOW CAUSE
Plaintiff Asphalt Paving Co., by and through its attorneys, Banks & Imatani, P.C., hereby
responds to the Court's Order to Show Cause as follows:
1. This action was removed to the United States District Court from the Weld
County District Court, State of Colorado on November 21, 1997 upon motion of Defendant United
States of America.

2. Thereafter Defendant United States of America, Department of Energy,
Western Area Power Administration and Defendant The Great Western Railway Company filed their
responses. Additionally, AEON Energy Co. has filed its Disclaimer of Interest in the subject
property.
3. Plaintiff believes that this matter may be finally determined more efficiently and
with less cost to interested parties in the state court. Accordingly, Plaintiff and its counsel have
diligently attempted to negotiate and enter into agreements with all interested parties who have
responded in the federal action and state action to date to a stipulation for settlement with the United
States of America, thereby allowing for dismissal of this case back to the state court.
4. All such parties have stipulated for settlement except The Great Western
Railway Company, and Plaintiff believes that it can negotiate and enter into a stipulation with The
Great Western Railway Company within the next thirty days to allow for dismissal of this case back
to the state court, otherwise Plaintiff is prepared to proceed with the prosecution of this case to
completion in this Court in accordance with its Rules.
WHEREFORE,Plaintiff Asphalt Paving Co. respectfully requests (1) that its Complaint not
be dismissed for failure to prosecute, (2) that it be given an additional thirty days within which to
negotiate and settle the claims of interested parties and the United States of America allowing for
dismissal of this case to the state court, and (3) that if such settlement does not obtain within said
thirty day period that Plaintiff be allowed to forthwith prosecute this case to conclusion in this Court.
