RE: APPROVE TWO LETTERS OF TRANSITION FOR WELD COUNTY CORRECTIONAL
AND COMMISSARY WITH SERVICE AMERICA CORPORATION/THE WACKENHUT
CORPORATION AND AUTHORIZE CHAIRMAN TO SIGN
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with two Letters of Transition for the Weld
County Correctional and the Weld County Commissary between the County of Weld, State of
Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the
Weld County Sheriff's Office, and Service America Corporation/The Wackenhut Corporation, with
terms and conditions being as stated in said letters, and
WHEREAS, after review, the Board deems it advisable to approve said letters, copies of
which are attached hereto and incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld
County, Colorado, that the two Letters of Transition for the Weld County Correctional and the Weld
County Commissary between the County of Weld, State of Colorado, by and through the Board of
County Commissioners of Weld County, on behalf of the Weld County Sheriffs Office, and Service
America Corporation/The Wackenhut Corporation be, and hereby are, approved.
BE IT FURTHER RESOLVED by the Board that the Chairman be, and hereby is, authorized
to sign said letters.
The above and foregoing Resolution was, on motion duly made and seconded, adopted by
the following vote on the 4th day of December, A.D., 1995.

of providing food service to correctional facilities and institutions
for over 30 years. As a result of the hard work of its dedicated
employees, Service America has become one of the best-known contract
food service providers to correctional facilities in the United States.
We are therefore pleased to inform you that Service America has
reached an agreement with The Wackenhut Corporation under which Service
America's correctional foodservice activities will be acquired and
combined with Wackenhut's.
This transaction will have a positive effect on our customers.
Uniting Service America's correctional division with Wackenhut's will
create positive synergies which will benefit customers. Meanwhile, on a
day to day basis, the current staff at your facility, including your
manager, will continue to provide the high quality service they are
currently providing.
In the interest of a smooth transition, we would appreciate it if
you would acknowledge and consent to the foregoing by signing and
returning this letter in the enclosed self-addressed envelope provided.
We would very much appreciate your response by December 22, 1995 (and
will assume your acknowledgement and consent if we haven't heard from
you by then), and, of course, please feel free to call me should you
have any questions.
