RE: APPROVE AGREEMENT FOR SUICIDE EDUCATION AND SUPPORT SERVICES
AND AUTHORIZE CHAIR TO SIGN
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with an Agreement for Suicide Education
and Support Services between the County of Weld, State of Colorado, by and through the
Board of County Commissioners of Weld County, on behalf of the Weld County Department of
Public Health and Environment, and the Colorado Department of Public Health and
Environment, commencing October 1, 1999, and ending September 30, 2000, with further
terms and conditions being as stated in said agreement, and
WHEREAS, after review, the Board deems it advisable to approve said agreement, a
copy of which is attached hereto and incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of
Weld County, Colorado, that the Agreement for Suicide Education and Support Services
between the County of Weld, State of Colorado, by and through the Board of County
Commissioners of Weld County, on behalf of the Weld County Department of Public Health and
Environment, and the Colorado Department of Public Health and Environment be, and hereby
is, approved.
BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized
to sign said agreement.
The above and foregoing Resolution was, on motion duly made and seconded, adopted
by the following vote on the 13th day of October, A.D., 1999, nunc pro tunc October 1, 1999.

SUBJECT: Agreement for Suicide Education and Support Services
Enclosed for Board review and approval is an agreement between Weld County Department of
Public Health and Environment (WCDPHE) and Suicide Education and Support Service (SESS)
of Weld County.
WCDPHE was recently awarded a grant from the Colorado Department of Public Health and
Environment to implement a multimedia suicide prevention and education campaign targeting
the general population of Weld County. This agreement will authorize WCDPHE to contract
with the SESS of Weld County to provide these activities. For these services, SESS would be
paid an amount up to $25,800 during the term of the agreement which is from October 1, 1999
through September 30, 2000.
Health Department staff recommends your approval of this agreement.

AGREEMENT FOR SUICIDE EDUCATION AND SUPPORT SERVICES
THIS AGREEMENT is made and entered into this 1st day of October, 1999. by and
between the County of Weld, State of Colorado, by and through the Board of County
Commissioners of the County of Weld, by and on behalf of the Weld County Department of
Health and Environment, whose address is 915 Tenth Street, Greeley, Colorado 80631.
hereinafter referred to as "County," and Suicide Education and Support Services of Weld
County, whose address is 3700 Golden Street, Evans, Colorado 80620, hereinafter referred to as
"SESS."
WITNESSETH:
WHEREAS, County has applied for and received a grant from the State of Colorado
Department of Health and Environment for suicide prevention education in Weld County,
Colorado for the term of this Agreement, and
WHEREAS, SESS is an organization whose goal is to develop and offer educational
programs and support services to the communities of Weld County in the areas of suicide
prevention, intervention, and postvention, and
WHEREAS, County and SESS desire to enter into this Agreement for the purpose of
defining their relative roles in performing the activities funded by the grant referred to above.
NOW, THEREFORE, consideration of the mutual promises and covenants contained
herein, the parties hereto agree as follows:
1. TERM: The term of this Agreement shall be from October 1, 1999, through
Sep:ember 30, 1999. a ooc.
2. DUTIES OF SESS: SESS shall perform the activities of suicide prevention
education which are detailed in Attachment "A." SESS shall submit to County.
no later than March 31, 2000, a report which outlines SESS's progress towards
the achievement of the objectives stated in Attachment "A."
3. COMPENSATION: County shall pay to SESS the sum of$25,800 during the term
of this Agreement. Said sum shall be paid in twelve monthly amounts of$2,150
upon the receipt of a billing statement by County which provides a detailed
description of services performed by SESS during the month.
4. MODIFICATION OF AGREEMENT: All modifications to this Agreement shall
be in writing and signed by both parties.

5. ENTIRE AGREEMENT/NO THIRD PARTY BENEFICIARY: This
Agreement contains the entire Agreement and understanding between the parties
to this Agreement and supersedes any other Agreements concerning the subject
matter of this transaction, whether oral or written. It is expressly understood and
agreed that the enforcement of the terms and conditions of this Agreement, and all
rights of action relating to such enforcement, shall be strictly reserved to the
undersigned parties, and nothing contained in this Agreement shall give or allow
any claim or right of action whatsoever by any other person not included in this
Agreement. It is the express intention of the undersigned parties that any entity
other than the undersigned parties receiving services or benefits under this
Agreement shall be deemed an incidental beneficiary only.
6. NOTICE: All notices required to be given by the parties hereunder shall be given
by certified or registered mail by the individuals at the address as set forth below.
Either party may from time to time designate in writing a substitute person(s) or
addressed to whom such notices shall be sent:
County: John Pickle, Director, Weld County Department of Health and
Environment, 1555 N. 17th Avenue, Greeley, Colorado 80631.
SESS: Linda Chase, Executive Director, Suicide Education and Support
Services of Weld County, 3700 Golden Street, Evans, Colorado 80620.
7. ASSIGNMENT: Neither this Agreement nor the rights or obligations hereunder
shall be assignable without the prior written consent of both parties.
8. CO]VTROLLING LAW: This Agreement shall be construed and enforced in
accordance with the laws of the State of Colorado.
9. NO WAIVER OF IMMUNITY: No portion of this Agreement shall be deemed to
constitute a waiver of any immunities the parties of their officers or employees
ma}' posses, nor shall any portion of this Agreement be deemed to have created a
duty of care that did not previously exists with respect to any person not a party to
this Agreement.
10. INDEPENDENT CONTRACTOR: SESS shall perform the services
hereunder and the requirements set forth in Attachment"A" as an independent
contractor. Neither SESS, nor any agent or employee of SESS, shall be deemed
an agent or employee of the County.

11. SEVERABILITY: Tf any provision of this Agreement should be held to be
invalid, illegal, or unenforceable for any reason, the validity, legality, and
enforceability of the remaining provisions shall not in any way be affected or
impaired thereby.
