RE: Indemnification Clause in Colorado Department of Labor and Employment(CDLE)Contracts
Dear Mr. Hall:
The Colorado Department of Labor and Employment is requesting from you approval of delineated contract language in the
PY99 Welfare-to-Work(WtW)contracts and all future contracts submitted by this department. The CDLE recently
submitted a PY99 WtW contract to your entity for review and approval which contained a delineated clause
("Indemnification", see delineated language below)that was not separately identified for initialing by your entity.
INDEMNIFICATION
To the extent authorized by law,the contractor shall indemnify, save,and hold harmless the State,its
against any and all claims,damages, liability and court awards including costs,
expenses, and attorney fees incurred as a result of any act or omission by the contractor,or its employees,
agents,subcontractors,or assignees pursuant to the terms of this contract. This clause does not constitute a
waiver of any provision of the Colorado Governmental Immunity Act.
This delineated clause in the PY99 WtW agreement is consistent with language in the PY99 JTPA contracts that your entity
approved earlier this year. CDLE intends to continue to delineate the reference to"its employees and agents" in the
Indemnification clause in subsequent agreements so the parties do not have to initial this paragraph each time and,thereby,
reducing the time involved in the review and signature approval of agreements.
We are requesting that you indicate your consent to continue the delineation without initialing below by signing the statement
and returning it within 10(ten)days to: Lisa Eze,Colorado Department of Labor and Employment,Contracts

Acknowledgement
The Board of County Commissioners of Weld County understands,and agrees to,the delineation of the words"it's
employees and agents"from the Indemnification clause in the Special Provisions section of the PY99 Welfare-to-Work
contract. We also agree to this delineation in any subsequent contracts submitted by the Colorado Department of Labor and
Employment to this entity by affixing the appropriate signatures and attestation on the formal signature page(s)of the
agreement. Q

Dear Ms. Eze.
Enclosed is the original of a letter you sent to the Board of County Commissioners of Weld County,
Colorado, regarding the modification of indemnification language in the PY99 Welfare-to-Work
contracts and all future contracts submitted by your department. It has been signed as you requested by
Mr. Dale K. Hall,Chairman.
Please be advised that by signing and returning your letter,Weld County does not consent to indemnify
the State of Colorado. Rather,the consent given through Mr. Hall's signature is to the modified
language set forth in the paragraph entitled, "INDEMNIFICATION," which paragraph includes the
language: "To the extent authorized by law . . . By law,the Board of County Commissioners of Weld
County, along with the commissioners of all other counties in Colorado, does not have the authority to
enter into contracts which obligate future Boards and which extend for terms of more than one year.
Therefore,the language in the paragraph is of no legal effect against Weld County.
