Gentlemen:
Parker & Parsley Development L.P. and Parker & Parsley Producing L.P. have entered
into a Purchase and Sale Agreement dated as of April 3, 1995, with Costilla Petroleum Company
and Costilla Energy, L.L.C. Under the Agreement, Costilla will be acquiring all of the property
and interest owned by Parker & Parsley in the above referenced lands. This sale is scheduled to
close on June 12, 1995. As part of the sale, Parker & Parsley intends to assign all its rights in the
referenced lands and associated properties and agreements to Costilla. As provided by the
captioned agreement, we respectfully request your consent to this assignment.
Please indicate your consent and agreement to this assignment by signing below and
returning one original signed letter to my attention. Thank you for your prompt attention to this
matter.
