RE: APPROVE 1998/1999 ADDENDUM TO THE 1992 SERVICE AGREEMENT FOR
WORKERS' COMPENSATION PROGRAM AND AUTHORIZE CHAIR TO SIGN
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with a 1998/1999 Addendum to the 1992
Service Agreement for the Workers' Compensation Program between the County of Weld,
State of Colorado, by and through the Board of County Commissioners of Weld County, and
Occupational Healthcare Management Services, Inc., commencing January 1, 1998, and
ending December 31, 1999, with further terms and conditions being as stated in said
addendum, and
WHEREAS, after review, the Board deems it advisable to approve said addendum, a
copy of which is attached hereto and incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of
Weld County, Colorado, that the 1998/1999 Addendum to the 1992 Service Agreement for the
Workers' Compensation Program between the County of Weld, State of Colorado, by and
through the Board of County Commissioners of Weld County, and Occupational Healthcare
Management Services, Inc. be, and hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized
to sign said addendum.
The above and foregoing Resolution was, on motion duly made and seconded, adopted
by the following vote on the 1st day of December, A.D., 1997.

1998/1999 Addendum
To The 1992 Service Agreement
For
Workers' Compensation Program
This addendum is entered into this istday of December, 199.7 by and between
Occupational Healthcare Management Services, Inc. ("OHMS") and County of Weld ("Client").
This Addendum shall be effective January 1, 1998.
WHEREAS, OHMS and Client entered into a Service Agreement on January 1, 1992
("1992 Service Agreement") pursuant to which OHMS agreed to provide certain administrative
services to Client and its Workers' Compensation Program;
WHEREAS, OHMS and Client have entered into certain other addenda which extended
the term of the Service Agreement, and amended certain provisions therein; and;
WHEREAS, OHMS and Client wish to enter into this current Addendum (The "1998/99
Addendum") and "1992 Service Agreement" by amending or adding certain provisions. The
1993, 1994, 1995, and 1996/97 Addendums are superceded.
THEREFORE, in consideration of the terms and conditions set forth herein, OHMS and
Client agree that the following revisions and addition shall be made to the "1996/97 Addendum
and "1992 Service Agreement."
Section 4. Compensation.
4.1 Client shall pay to OHMS the following fees for the contract years 1998 and
1999:
4.11 An annual claims administration fee of $31,404.00 based on an
annual claim volume of 186 medical only claims and 17 lost time claims. This base fee shall be
payable in twenty four (24) monthly installments in the amount of $2,617.00 due and payable in
advance on the first day of each month. If the claim volume exceeds 186 medical claims and/or 17
indemnity claims, the additional claims will be billed at the rate of $120.00 per medical claim and
$565.00 per indemnity claim.
4.13 The medical management fee shall be $73.00 per hour, $.35 per mile
and expenses at actual, due and payable within 30 days of billing.
4.14 Client shall pay to OHMS the sum of $71.00 per hour, $.35 per mile
and expenses at actual for all Loss Control services provided by OHMS, at the Client's request.

Section 7. Term Agreement and Cancellation.
7.1 The term of this agreement shall be for two years ending on December 31,
1999. If not canceled in accordance with this paragraph, this Agreement shall be renewed
automatically for successive twelve-month periods thereafter. However, this Agreement shall not
be so renewed unless the amount of the compensation to be paid to OHMS in any renewal year
shall have been agreed upon by the parties hereto not later than thirty (30) days prior to the end of
the preceding contract year. Notice of any request for increased fees or material changes in services
shall be given by the requesting party to the other at least sixty (60) days prior to the end of the
preceding contract year.
Section 21. Subject to Appropriations. There is hereby added a new Section to the Agreement
which shall read as follows:
21.1 Financial obligations of Client after the current fiscal year are contingent on
funds for the purpose being appropriated and otherwise made available.

Dear Don:
Thank you, Pat and Michelle for meeting with me regarding the renewal of your workers'
compensation claims contract for 1998 and 1999.
Enclosed please find two copies of the 1998/99 addendum to the 1992 OHMS Service Agreement
for 1998/99. Please call me if you have any questions or if I can be of further assistance.
I will be scheduling a time for Pat, Michelle, Terry Lee and me to meet with the hospital contracts
department. We will keep you informed of our efforts to negotiate a provider services agreement.
All of us at OHMS feel fortunate to have such a successful relationship with Weld County. Thank

Dear Don:
The OHMS Service Agreement for Workers' Compensation claims administration is due
for renewal January 1, 1998.
I would like to discuss your goals for 1998 and the OHMS services fees for the upcoming
contract period. I will be telephoning you soon to schedule an appointment.
Additionally, thank you for spending time with the OHMS staff and reviewing your
claims data this summer. We hope you found this information helpful, and such meetings
