AND AUTHORIZE CHAIRMAN TO SIGN WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to Colorado statute and the Weld County Home Rule Charter, is vested with the authority of administering the affairs of Weld County, Colorado, and WHEREAS, the Board has been presented with an Agreement for Intake Screening of Weld County Juveniles in Custody between the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the Sheriffs Office, and Weld Adolescent Resources, Inc., commencing July 1, 1995, and ending June 30, 1996, with further terms and conditions being as stated in said agreement, and WHEREAS, after review, the Board deems it advisable to approve said agreement, a copy of which is attached hereto and incorporated herein by reference. NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld County, Colorado, that the Agreement for Intake Screening of Weld County Juveniles in Custody between the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the Sheriffs Office, and Weld Adolescent Resources, Inc., be, and hereby is, approved. BE IT FURTHER RESOLVED by the Board that the Chairman be, and hereby is, authorized to sign said agreement. Webster 950915 SO0013 AGREEMENT FOR INTAKE SCREENING OF WELD COUNTY JUVENILES IN CUSTODY 1995 THIS AGREEMENT, made and entered into this / day of /I&. , by and between Weld County, Colorado, a body corporate and politic of the St of Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the Weld County Sheriff, whose address is 915 Tenth Street, Greeley, Colorado 80631, hereinafter referred to as "County," and Weld Adolescent Resources, Inc., whose address is 3412 Lupton Avenue, Evans, Colorado 80620, hereinafter referred to as "Contractor." WITNES SETH: WHEREAS, County is in need of professional services for intake screening of Weld County juveniles who are in custody, and WHEREAS, Contractor has offered to provide such professional services to County and is able to perform such services in a timely manner, and WHEREAS, the purchase of such services by County from Contractor is in the best interest of the people of the County of Weld, State of Colorado. NOW, THEREFORE, in consideration of mutual promises and covenants contained herein, the parties hereto agree as follows: 1. SERVICES TO BE RENDERED: Contractor agrees to perform professional services set forth in Exhibit "A" entitled "Proposal Pertaining to Intake Screening of Weld County Juveniles in Custody" and dated May 26, 1993, which is attached hereto and is made a part of this Agreement, with the exception of any references to "electronic monitoring", "electronic home monitoring," and/or "home detention", which references are hereby deleted. All work performed by and under the direction of the Contractor shall be consistent with the highest standards of care and in strict compliance of all applicable federal, state, and local laws, regulations, and procedures which may from time to time be adopted or amended. "Reasonable amount of time" as set forth on page 2 of Exhibit "A" under "Temporary Staff Supervision" shall be defined as a period of time not to exceed 1.25 hours per juvenile. 2. TERM OF AGREEMENT: This Agreement shall be effective July 1, 1995 and shall terminate on June 30, 1996, unless otherwise terminated as set forth herein. Page 1 of 4 Pages 950915 COOPERATION: Contractor shall cooperate with representatives and employees of the County to the end that work may proceed expeditiously and economically. PROFESSIONAL FEES: In consideration of the terms and obligations of this Agreement, County agrees to pay and Contractor agrees to accept, as full and complete compensation for all services rendered under this Agreement a total sum not to exceed $52,210.00, payable as follows: a. Equal monthly installments of $4,350.83, due and payable on the last day of each month, beginning July 1, 1995 and continuing to and until June 30, 1996. b. The consideration set forth in subparagraph "a" above shall be the entire amount of compensation to be paid by County for the services contemplated herein. Contractor agrees that any modification or revision within the annual program budget in excess of 10 percent by existing categories shall be submitted to County for written approval prior to implementation by Contractor. 5. METHOD OF PAYMENT: Payments on account of the services rendered under this Agreement shall be made without billing and shall be mailed to Contractor's address as set forth above. EXECUTORY: This Agreement shall be deemed executory only to the extent of the monies appropriated and available to the County for the purpose of this Agreement as specified in the County's adopted budget and no liability on account thereof shall be incurred by the County beyond the amount of such monies. It is understood and agreed that neither this Agreement nor any representation by any public employee or officer creates any legal or moral obligation to request, appropriate, or make available monies for the purpose of this Agreement. NON -ASSIGNMENT: This Agreement may not be assigned by the Contractor nor its right, title, or interest therein assigned, transferred, conveyed, sublet, or disposed of without previous written consent of County or its designee. 8. TERMINATION OF CONTRACT: County shall have the right, upon 30 days notice to Contractor, to terminate the work required of the Contractor under this Agreement by written notice of such termination. In the event of such termination, the Contractor shall be entitled to compensation for services previously authorized and performed up to the date of termination. Page 2 of 4 Pages 950915 9. CHOICE OF LAW AND VENUE: Any action or dispute arising directly or indirectly out of this Agreement shall be determined pursuant to the laws of the State of Colorado. Parties hereby choose the Weld County District Court as a forum for any such action. 10. NON -WAIVER Failure to enforce any rights, options, or privileges under any provision of this Agreement shall not be deemed a waiver thereof and shall not preclude any such enforcement on any subsequent occasion. Further, the failure to enforce one right, option, or privilege shall not be deemed a waiver of the right to enforce any other right, option, or privilege. 11. SEVERABILITY: If any provision of this Agreement should be held to be invalid, illegal, or unenforcement for any reason, the validity, legality, and enforceability of the remaining provisions shall not in any way be affected or impaired thereby. 12. ENTIRE AGREEMENT: The terms of this Agreement, including its attachments and exhibits, represent the final intent of the parties herein. Any modification, rescission, or waiver of the terms of this Agreement shall be affected only if evidenced by a subsequent writing which is executed and acknowledged by the parties with the same formalities accorded by this basic Agreement. As I take note that the service includes temporary staff supervision and coordination of alternative placement services, I must state that it has been my privilege to have performed and supervised, all of these services, for Weld County, during the last twelve years. As these services are being transferred to an independent contractor, I find it incumbent on myself to remain involved and I appreciate the consideration of Weld County and the 19th. Judicial District. I would like to preface my proposal with a few remarks regarding the organizational structure I will use to provide proposed services. My organization will be established as a sole proprietor business. I will be ultimately responsible for all contractual obligations and commitments. I will be actively involved in the daily intake screenings, temporary staff supervision, and alternative placement coordination. I will have as my associate Mr. Robert Barkley, a veteran of the Weld County Juvenile Center. Mr. Barkley will have a vested interest in the business and will share the on call screening, supervision and placement coordination responsibilities. He will be fully trained in all aspects of the business. If for illness or other unforeseen reason, I should be unable to perform my responsibilities, he would be fully capable of maintaining services without interruption. In addition I intend to hire part time employees as needed to assist with the on call services. My first preference in regard to selection of part time employees, would be from current Weld County Sheriff's Office corrections personnel. These persons would be employed, by myself, on their days off for on call service with my organization. I would insist upon compliance with all Weld County Personnel and Weld County Sheriff's Office policies pertaining to off duty employment. In addition all such employees shall fully understand that during such hours as they are employed by myself, they are not employed by, nor in any way agents of Weld County. As stated, this procedure represents my first preference in selection of part time employees. If for some reason the Sheriff's Office would object to this hiring procedure, I would hire from another source. 950915 OVERVIEW OF SERVICES: My organization will be available 24 hours a day, 365 days a year to provide the following services for incustody Weld County Juveniles: 1. Juvenile intake and detention screening 2. Temporary staff supervision 3. Coordination of alternative placement services 4. Electronic home monitoring We will respond to the Weld County Juvenile Transportation Unit within 20 minutes of notification. My staff will be equipped with pagers and cellular phones to accommodate this. JUVENILE INTAKE AND DETENTION SCREENING: After being notified of a juvenile in custody of a Weld County law enforcement agency, I or a member of my staff will respond to the Weld Juvenile Transportation Unit. We will conduct an intake screening of the juvenile to determine if he or she is appropriate for detention. We will do this based on state and local judicial criteria. We will complete the Juvenile Detention Risk Assessment form, currently provided by the state and implement other screening criteria as established by the 19th Judicial District. We will also gather general intake information as needed. If the juvenile is appropriate for detention we will make the necessary notifications and arrangements including a good faith effort to notify parent, guardian, or legal custodian of the situation. TEMPORARY STAFF SUPERVISION: If the juvenile is appropriate for detention and space is available at Adam's Youth Services Center, (AYSC) we will temporarily supervise the juvenile. We will provide this service for a reasonable amount of time for a transportation officer to respond. If a transportation officer is not immediately available we will supervise for a reasonable amount of time for a corrections officer to relieve us of this supervision. If the juvenile is appropriate for detention, and space is not available at AYSC, we will follow the pre -arranged procedure for this circumstance as dictated by the court, i.e. electronic monitoring. If the juvenile is not appropriate for detention we will supervise him, a reasonable amount of time, until the appropriate release can be completed. COORDINATION OF ALTERNATIVE PLACEMENT SERVICES: If the juvenile is not appropriate for detention we will seek to determine the most appropriate placement and arrange for his/her release. Alternative placements might include: Parents, guardian or legal custodian Weld County Department of Social Services Alternative Group Home Other responsible adult Electronic monitoring 950915 Other community based programs We will also consider it our responsibility to coordinate the release of a juvenile to other agencies and institutions. An example might be a juvenile arrested on an out of county warrant with no local charges. If the courts grants us authority to do so, we will also process bonds to expedite the juvenile's release. It should be understood that our services shall pertain to newly arrested or newly incustody juveniles and not to those juveniles already in detention. An exception to this would be the coordination of the release of a detained juvenile to provide room for an incoming juvenile, according to the procedure prearranged by the court. Our coordination of placement alternatives shall be done in the best interest of the child and as required by the court. ELECTRONIC MONITORING: I will implement electronic monitoring on those juveniles deemed appropriate. I will develop in consultation with Weld County and the Court the specific procedures for this program. This proposal shall include cost to service 3 electronic monitors. I, however, would recommend that Weld County provide funds for operation of five electronic monitors. My reason for this recommendation is to provide a solution to the loss of bed space in detention. This program will include screening for monitoring, activation, tracking, court appearances, and deactivation. I will use equipment and monitoring services from Milliken Enterprise, Inc., a Greeley based business with a proven track record in providing electronic monitoring services. INDIVIDUAL FILES AND COLLECTION OF CLIENT DATA: We will maintain an individual file on each client participating in the program. This file shall contain all relevant information pertaining to the juvenile screening process Which might include but not be limited to the following: Arresting Officer Custody Reports Juvenile Detention Risk Assessment forms Custody I's Greeley Police Department Contact Sheets Other intake information forms Release documents (when processed by my staff) All client files shall be made available to Weld County when requested to do so. We would recommend that these files be kept in a locked facility at the Juvenile Transportation Unit, with keys issued to authorities of Weld County Sheriff's Office and my staff. In addition to the maintenance of individual files, we will maintain a data base of pertinent screening and intake information on each juvenile that can be collectively 950915 summarized into a variety of reports. We will work with Weld County in the content and design of such reports. Information included in these reports shall include but not be limited to: 1. The number of clients referred per month 2. The number of clients served per month 3. The number of clients terminated per month with reasons for termination 4. Type of service provided per month for each client We also agree to develop, in consultation with Weld County, quarterly reports and other information for evaluation and measurement of program effectiveness in accordance with the project goals. All records and information maintained by my organization pertaining to a placed youth shall remain confidential and shall not be released to anyone other than the person in interest or Weld County Sheriff's Office without specific order of the court with proper jurisdiction. Prior to the release of any information or record, my organization shall notify and obtain authorization from Weld County. We will, however, release information to authorized parties during the normal legal conduct of our business. In addition to the above I shall work with Weld County in the development and maintenance of logs for the chronological documentation of events and collection of statistical data. We will also maintain a pass -on -book of pertinent information for transporting and supervising officers. We shall also add to the court calendar juveniles that need to be returned from AYSC for detention hearings. We will work with the Sheriff's office to insure all juveniles are returned for their initial detention hearing. FISCAL RECORDS: We shall maintain all fiscal, financial, payroll and budget records on computer using QUICKEN software. We shall print on hard copy comprehensive, end of month, quarter, and year financial reports. These reports shall include all direct and overhead/indirect charges to Weld County. All of our reports, fiscal and otherwise, shall be available to Weld County upon their request. We shall maintain adequate fiscal records for a period of three years following the termination of our contract with Weld County. These records shall be available for audit by Weld County, the State of Colorado, or its designees. PERSONNEL POLICIES AND PROCEDURES: We agree to maintain and make immediately available to Weld County Colorado at any time upon request our personnel policies and procedures which include policies on nondiscrimination concerning race, creed, color, religion, and natural origin. We intend to adopt Weld 950915 County's personnel policies as they relate to nondiscrimination concerning race, creed, color, religion and natural origin. MONITORING OF PROGRAM OPERATIONS: I agree to have our program operations and services monitored by Weld County on a regular basis and agree to participate in any monitoring upon request. LIABILITY INSURANCE: I shall maintain in full force and effect at all times during the course of this contract Comprehensive General Liability Insurance written on an occurrence basis, with a minimum of $400,000.00 combined single limit for bodily injury and property damage arising out of any single occurrence. Any aggregate limit will not be less than $1 million. I shall furnish Weld County with written certification of the existence of such liability insurance and a copy of the policy endorsement naming the State of Colorado and Weld County as additional insureds, prior to finalization of contract provisions. If the State of Colorado or Weld County approves in writing the alternative use of "claims made" insurance for Comprehensive General Liability, I also agree to maintain beyond contract term such insurance as will cover incidents which occurred during the contract period, including but not limited to continued maintenance of "claim made" or "tail" policies for the applicable statute of limitations. The policies will be in equal amounts equal to or greater than the limits required by the contract WORKERS COMPENSATION AND UNEMPLOYMENT COMPENSATION INSURANCE: I shall at all times keep in force Workers Compensation and Unemployment Compensation Insurance in accordance with the general provisions noted in the request for proposal of which I am responding to. INCREASE OF ANNUAL PROGRAM BUDGET: I agree to submit to Weld County for written approval any modification or revision within the annual program budget in excess of 10 percent by existing category prior to implementation by myself. INDEPENDENT CONTRACTOR STATUS: I shall perform all of the duties herein as an independent Contractor and not as an employee. I shall be accountable to Weld County for the ultimate results of my and my agents actions but I and my agents shall not be subject to direction and control of Weld County as to details or particular hours of work except as provided in the request for proposal. Neither I or any agent or employee of mine shall be deemed an agent or employee of Weld County. I shall pay when due all required unemployment taxes, and income tax withholdings, shall provide and keep in force Worker's Compensation (and show proof of such insurance) and unemployment compensation insurance, all in the amounts required by law, and shall be solely responsible for the acts of myself, my employees and agents. I shall furnish Weld County with written certification of the 950915 existence of such coverage, prior to the finalization of contract provisions. ERRORS AND OMISSIONS: I agree that Weld County shall not be held liable for any error or omission of mine, my employees or agents, in providing services hereunder. To the extent authorized by law, I agree to idemnify and hold harmless Weld County, its employees and agents, and officers against any and all claims, demands, damages, liabilities, and court awards including costs, expenses, and attorney fees incurred as the result of any act or omission of any officer, agent, or employee of myself or resulting from the condition of any property owned or controlled by myself. TERMINATION OF CONTRACT: I agree that any contractual agreement formulated as a result of the request for proposal and my herein response, may be terminated by either party by giving 30 days notice in writing, delivered by certified mail, return receipt requested, to the other party or delivered by personal service upon the party. If notice is so given, any contractual agreement reached shall terminate on the expiration of the thirty days, and the liability of the parties hereunder for the further performance of the terms of this contract shall thereupon cease, but the parties shall not be relieved of the duty to perform their obligations up to date of termination. ADDITIONAL SERVICES: In addition to the specific services outlined in the request for proposal I would offer to continue to coordinate and facilitate the Joint Committee On Juvenile Justice Issues for Weld County. The role of this committee is crucial at this time of decreasing bed space at DYS and changing philosophy regarding juvenile detention. Also, in addition to the services required by the request for proposal, I shall take juvenile mugshot and finger prints in accordance with current procedure for these tasks, provided Weld County provide the equipment for such tasks and the juvenile being processed is cooperative. QUALIFICATIONS Regarding our education and experience qualifications, I have attached resumes for myself and Mr. Barkley. In addition I would like to make some remarks regarding our qualifications to perform the requested services. I have been employed with the Weld County Sheriff's Office supervising the Weld Juvenile Unit for approximately eleven years. During this time I have been involved in and supervised all aspects of juvenile detention, including those addressed in this proposal. Also during this time I was involved in the research and development of the electronic monitoring program administered by the Weld County Sheriff's Office for adult offenders. 950915 It has been my pleasure to be associated with a multitude of professional people in the State and local juvenile justice system. As a result of these associations I have developed strong working relationships with key players in all facets of the system. This involvement includes my work with the following entities: Division of Youth Services & Parole Department Colorado Juvenile Council Division of Criminal Justice Colorado Law Enforcement Training Academy I feel that my commitment to the Juvenile Justice System is demonstrated by my involvement with the above agencies and organizations. My fourteen year residency in this community inspires my desire to see community programs develop and succeed. Regarding Mr. Barkley's qualifications, I would like you to be aware that he has been continuously employed with the Weld County Sheriff's Office sense 1981. He has worked the Weld Juvenile Center for nine years and is intimately familiar with the juvenile services included in this proposal. Like myself, Mr. Barkley has developed strong working relationships with the local agencies and organizations listed above. He has lived in Greeley sense 1971. His vested interest in this service includes both time and money. He is fully committed to its success. For both Mr. Barkley and myself the services we shall provide to Weld County represent a full time commitment, not a sideline operation. You should also know that we are fully capitalized, in excess of amount necessary to initiate and maintain these services.
