RE: APPROVE SUPPORT SERVICES RENEWAL AMENDMENT BETWEEN WELD COUNTY
EMPLOYMENT SERVICES AND INVEST LEARNING CORPORATION AND AUTHORIZE
CHAIRMAN TO SIGN
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with a Support Services Renewal Amendment
between the County of Weld, State of Colorado, by and through the Board of County
Commissioners of Weld County, on behalf of Weld County Division of Human Services'
Employment Services and Invest Learning Corporation, commencing January 1, 1995, and ending
December 31, 1995, with further terms and conditions being as stated in said renewal amendment,
and
WHEREAS, after review, the Board deems it advisable to approve said renewal
amendment, a copy of which is attached hereto and incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld
County, Colorado, that the Support Services Renewal Amendment between the County of Weld,
State of Colorado, by and through the Board of County Commissioners of Weld County, on behalf
of Weld County Division of Human Services' Employment Services and Invest Learning Corporation
be, and hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Chairman be, and hereby is, authorized
to sign said renewal amendment.
The above and foregoing Resolution was, on motion duly made and seconded, adopted by
the following vote on the 18th day of January, A.D., 1995, nunc pro tunc January 1, 1995.

INVEST LEARNING CORPORATION
SUPPORT SERVICES RENEWAL AMENDMENT
L This Amendment for services extends the terms and conditions of the prior Agreement dated between Invest
Learning Corporation and Weld County Division of H.R.E.S. (Licensee). In all other respects the terms and
conditions of the prior Agreement remain in effect.
II. This Amendment will be in effect for the period January 1, 1995 to December 31, 1995. The services will be
extended on an annual basis, subject to cancellation by either party with a written notice of not less than 30
days. Suspension of any services may result in a reinstatement fee.
Invest Learning Corporation will provide the following:
A. System Support, which consists of
1. Enhancements, software replacement and re -installation.
2. Technical support for the System(s) through a toll -free helpline and modem support.
3. System Engineer support.
4. Student Workbooks for Twenty five (25) learners.
B. Hardware Maintenance, which consists of:
1. On -call technical support, which includes advance exchange for any hardware
that cannot be repaired on -site, will be provided for the six (6) Stand Alone stations,
Lab # L212420 only.
Invest Learning reserves the right to assign hardware maintenance and system engineering services
to a third party at any time for the duration of this Agreement, provided the third party assumes the
obligations and responsibilities of Invest Learning referenced under this Agreement.

Subject: Purchase of Service Agreement Between Employment Services of Weld
County and Invest Learning
Enclosed for Board approval is the Purchase Agreement between Employment Services
and Invest Learning.
The Purchase Agreement is for renewal of support services for twenty-two (22)
student workstations and consumables located at the Weld County Division of Human
Services and maintenance of the hardware on the six (6) Stand Alone workstations.
Total cost of Agreement is $7,875.00, which includes $4,800.00 for continuing
support services, $375.00 for consumables, and $2,700 for continuing hardware
maintenance, for the period beginning January 1, 1995, through December 31, 1995.
