RE: APPROVE INTERGOVERNMENTAL AGREEMENT FOR THE IMPROVEMENT OF
WELD COUNTY ROAD 21, AKA QUENTINE AVENUE, WITH TOWN OF MILLIKEN
AND AUTHORIZE CHAIR TO SIGN
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with an Intergovernmental Agreement for
the Improvement of Weld County Road 21,aka Quentine Avenue, between the County of Weld,
State of Colorado, by and through the Board of County Commissioners of Weld County, and the
Town of Milliken, with terms and conditions being as stated in said agreement, and
WHEREAS, after review, the Board deems it advisable to approve said agreement, a
copy of which is attached hereto and incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of
Weld County, Colorado, that the Intergovernmental Agreement for the Improvement of Weld
County Road 21, aka Quentine Avenue, between the County of Weld, State of Colorado, by
and through the Board of County Commissioners of Weld County, and the Town of Milliken be,
and hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized
to sign said agreement.
The above and foregoing Resolution was, on motion duly made and seconded, adopted
by the following vote on the 18th day of December, A.D., 1996.

INTERGOVERNMENTAL AGREEMENT
FOR THE IMPROVEMENT OF
WELD COUNTY ROAD 21 a.k. a. QUENTINE AVENUE
Q THIS AGREEMENT made and entered into this jitiLl day of .
l9 7 ,, by and between the Town of Milliken ("Town") by and through its Town
Board of Trustees, and the County of Weld, State of Colorado ("County") , by and
through the Board of County Commissioners of Weld County, Colorado.
RECITALS
1. WHEREAS, Quentine Avenue between Broad Street and Green Street is in need
of improvements, which include grading, drainage, and paving, hereinafter
referred to collectively as "Street Improvements, " and
2 . WHEREAS, portions of Quentine Avenue between Broad Street and Green Street
are within the jurisdictions of both the Town and the County, and
3. WHEREAS, the Town and County now desire to enter into an agreement whereby
they share in the cost of making said Streets Improvements, and
4. WHEREAS, Street Improvements will include a 24-foot wide road with 6-foot
paved shoulders on either side and be constructed of 3 inches of asphalt
over 8 inches of aggregate base course.
AGREEMENT
In consideration of the mutual benefits to be derived by the parties, each
agrees to the following:
1. TERM:
The term of this Agreement shall be from the date first written above to
and until the date of completion of said Street Improvements, or the date
of completion of the Town's annexation of said portions of Quentine Avenue
which are currently within the jurisdiction of the County, whichever
occurs last.
2. TOWN AGREES:
a. To be responsible for all engineering and contract administration for
said Street Improvements, including surveying, engineering design,
construction inspection and materials testing.
b. To be responsible for street construction which shall include, but
is limited to, grading, base course, curb, gutter and asphalt
pavement.
c. To contract for the asphalt paving of said portions of Quentine
Avenue by acquiring competitive bids for said work.

d. To annex those portions of Quentine Avenue as outlined in the
Recitals of this Agreement, which are within the jurisdiction of the
County and to become responsible for the maintenance thereof after
the date of such annexation. The Town agrees to begin the annexation
process on or before the time of commencement of construction by
enactment of a resolution of intent to annex.
3. COUNTY AGREES:
a. To pay one-half the costs associated with Street Improvements not to
exceed $22,600, including those portions of Quentine Avenue which are
currently in the jurisdiction of the County, upon request of the
Town.
4. SEVERABILITY:
If any term or condition of this Agreement shall be held invalid, illegal
or unenforceable, this Agreement shall be construed and enforced without
such provision to the extent that this Agreement is then capable of
execution within the original intent of the parties hereto.
5. NO THIRD PARTY BENEFICIARY ENFORCEMENT:
It is expressly understood and agreed that the enforcement of the terms
and conditions of this Agreement, and all rights of action relating to
such enforcement, shall be strictly reserved to the undersigned parties
and nothing contained in this Agreement shall give or allow any claim or
right of actions whatsoever by any other person not included in this
Agreement. It is the express intention of the undersigned parties that
any entity other than the undersigned parties receiving services or
benefits under this Agreement shall be an incidental beneficiary only.
