HomeMy WebLinkAbout971157.tiffRESOLUTION RE: CONSIDER APPLICATION TO PARTICIPATE IN THE E-470 PUBLIC HIGHWAY AUTHORITY AS AN AFFILIATE MEMBER, APPROVAL OF MEMBERSHIP FEE OF $12,500, AND APPOINTMENT OF COMMISSIONERS BARBARA KIRKMEYER AND GEORGE BAXTER TO SERVE AS WELD COUNTY'S DIRECTOR AND ALTERNATE WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to Colorado statute and the Weld County Home Rule Charter, is vested with the authority of administering the affairs of Weld County, Colorado, and WHEREAS, the Board of Directors of the E-470 Public Highway Authority are considering an amendment to its bylaws to allow any Colorado local government, regional planning agency, or regional transportation agency to apply to be an Affiliate Member of the Authority, with an equal voice in the affairs of the Authority and an advisory vote when the Board takes action on matters before the Board, and WHEREAS, any entity seeking Affiliate Membership shall pay a membership fee one-half the amount required for full Authority membership, which fee for Weld County is $12,500, and WHEREAS, an Affiliate Member shall appoint an elected official of the Member to be a Director on the Authority Board of Directors, and WHEREAS, the Board of County Commissioners, in order to help insure completion of E-470, deems it advisable to submit an application to participate in the E-470 Public Highway Authority as an Affiliate Member, at the cost of $12,500, and with the appointment of Commissioners Barbara Kirkmeyer and George Baxter as Weld County's Director and alternate on the Authority Board of Directors. NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld County, Colorado, that application to participate in the Board of Directors of the E-470 Public Highway Authority as an Affiliate Member be, and hereby is, approved. BE IT FURTHER RESOLVED by the Board that the Director of Finance and Administration be, and hereby is, authorized to pay Weld County's membership fee of $12,500. Webster (AYE) tudidt 971157 BC0026 Over the last year, numerous local governments and special interest groups have been in communication with the Authority about helping to insure completion of E-470. These governments and groups include Arvada, Broomfield, the Northwest Metro Chamber 470 Task Force, Fort Collins, Larimer County, Loveland, the Northern Colorado Legislative Alliance, Morgan County, Weld County and Greeley. Usually, these contacts develop into questions about membership in the Authority as a possible way to participate and help assure completion. Written membership inquiries have followed discussions with Arvada, Morgan County, Greeley and the Northern Colorado Legislative Alliance. All of the others listed have verbally indicated a desire to be affiliated in some way. As a result of the continuing contacts and discussions, it is likely time for E-470 to consider a new category of membership, and set the requirements for new membership into the Authority By -Laws. If the amendment to the By-laws is approved, staff will contact all qualifying entities which have expressed interest, and offer an opportunity to join with the existing Board of Directors of the Authority. Presented for Board consideration is a second amendment to the By -Laws setting out the requirements for a new category of membership identified as "Affiliated Member." SECOND AMENDMENT TO THE BYLAWS OF THE BOARD OF DIRECTORS OF THE E-470 PUBLIC HIGHWAY AUTHORITY THIS SECOND AMENDMENT TO THE BYLAWS OF THE BOARD OF DIRECTORS OF THE E-470 PUBLIC HIGHWAY AUTHORITY (this "Amendment") is made and entered into as of this day of , 1997, by the Board of Directors of the E-470 Public Highway Authority. 1. ARTICLE II. BOARD OF DIRECTORS Paragraph A is hereby amended to read as follows: A. Number, Qualifications and Term of Office. The business and affairs of the Authority shall be managed by a board of directors consisting of one director appointed by each Member, Associate Member, or Affiliated Member. Each director shall be an elected official of a Member, Associate Member, or Affiliate Member, with the exception of a member representing the State of Colorado, who shall be appointed by the Governor, with the consent of the State Senate. Associate Members' directors shall have an advisory vote, pending confirmation of full membership. Affiliate Members' directors shall have an advisory vote. The Board shall also include, as nonvoting members, duly designated representatives of any appropriate regional transportation agency, air quality control commission, or regional planning commission, if any, as permitted by the Colorado Public Highway Authority Law and the Establishing Contract. Each director shall be identified in writing annually by his/her appointing Member as required by the Establishing Contract and by his/her Associate or Affiliate Member and shall hold office until removed by his/her appointing Member, or by his/her appointing Associate or Affiliate Member. 971157 2. ARTICLE II. BOARD OF DIRECTORS is hereby amended to include new Paragraph G: G. Affiliate Membership. Any Colorado local government, regional planning agency, or regional transportation agency may apply to be an Affiliate Member of the Authority. An Affiliate Member shall appoint an elected official of the Member to be a director on the Authority board of directors. An Affiliate Member director shall have an equal voice in the affairs of the Authority and shall have an advisory vote when the Board takes action on matters of business before the Board. Any entity seeking Affiliate Membership shall pay a membership fee one-half of the amount required for full Authority membership. Such fee may be payable in installments and will be considered a dollar for dollar credit toward payment of a full membership fee should the Affiliate Member ever seek and be accepted for full membership. 971157 Hello
