RESOLUTION
RE: APPROVE PURCHASE OF SERVICES AGREEMENT WITH UNIVERSITY OF
NORTHERN COLORADO AND AUTHORIZE CHAIR TO SIGN
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with a Purchase of Services Agreement
between the County of Weld, State of Colorado, by and through the Board of County
Commissioners of Weld County, on behalf of the Department of Human Services, and the
University of Northern Colorado, commencing January 15, 1998, and ending June 30, 1998,
with further terms and conditions being as stated in said agreement, and
WHEREAS, after review, the Board deems it advisable to approve said agreement, a
copy of which is attached hereto and incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of
Weld County, Colorado, that the Purchase of Services Agreement between the County of Weld,
State of Colorado, by and through the Board of County Commissioners of Weld County, on
behalf of the Department of Human Services, and the University of Northern Colorado be, and
hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized
to sign said agreement.
The above and foregoing Resolution was, on motion duly made and seconded, adopted
by the following vote on the 26th day of January, A.D., 1998, nunc pro tunc January 15, 1998.

PURCHASE OF SERVICES AGREEMENT
THIS AGREEMENT, made and entered into this 15th day of January 1998 by and between
the Weld County Division of Human Services' Area Agency on Aging, hereinafter referred to as
"AAA," and the Board of Trustees of the University of Northern Colorado, hereinafter referred to
as "UNC."
WITNESSETH:
WHEREAS,the"AAA" administers Older Americans Act Programs in Weld County for the purpose
of developing a comprehensive and coordinated system of services for elders, and
WHEREAS,the "AAA" must conduct needs assessments to determine priority needs for planning
and funding purposes for the years 1999 to 2002, and
WHEREAS, "UNC" has the expertise to conduct a statistically valid needs assessment of Weld
County older adults 60 years of age and older,
NOW THEREFORE, it is mutually agreed:
1. TERM: The term of this agreement shall be from January 15, 1998 to June 30, 1998. This
agreement is subject to termination by either party at any time for lack of funding, pursuant
to the provision of Paragraph 4.
2. SERVICES TO BY PERFORMED BY "UNC": "UNC" agrees to perform the following
services:
a. Insure that the needs assessment survey will be statistically valid and a representative
sample of males/females, urban/rural,minorities, and by community.
b. Work with the "AAA" to develop a pre—needs assessment publicity process that will
alert Weld older adults of the importance of responding to the survey.
c. Develop a questionnaire with input from the "AAA" staff and board and pilot the
questionnaire with approximately 20 older adults who are representative of the
sample in terms of gender, age, ethnicity, and geographic location.

d. Mail surveys and train and supervise interviewers.
e. Establish a process of data collection, compile the data using SPSS statistical
software and formulate the final written report to be provided to the "AAA."
f. Agree that there will be at least one bilingual interviewer to interview non-English
speaking older adults and that all interviewers will be supervised by the project
directors.
g. Provide "AAA" with fifteen (15) copies of the final report that will include an
executive summary, unabridged finding with graphs and figures, conclusion, and
recommendations for future research and a qualitative summary of the data obtained
from the focus groups. The final report will also include one (1) set of overhead
transparencies of important findings that can be utilized for community presentations.
h. Assist the "AAA" with a minimum of three presentations on the research findings
—presentations to include members of the Area Agency on Aging Advisory Board,
members of the Weld County Long Term Care Coordinating Committee, and the
Weld County Senior Center Coordinators.
2. AAA AGREES: The Area Agency on Aging agrees to do the following:
a. To reimburse "UNC" $12,506 to be disbursed in four (4) equal payments of
$3,126.50 for the months of January, February, and March with final payment
disbursed upon receipt of the final survey report.
b. To assist "UNC" with the introduction and marketing phase of the survey to the
community by providing formal announcements in senior publications,
announcements at senior meal sites and senior centers and through other aging
network programs.
c. To assist"UNC"with the recruitment of appropriate participants for the Focus Group
Phase of the survey process.

d. To provide advice throughout the survey process through an advisory group
comprised of Area Agency on Aging board members, staff, and community
representatives.
3. "UNC" UNDERSTANDS AND AGREES: "UNC" agrees that the following provisions are
part of the official agreement and as such become binding upon commencement of the
project:
a. Understands that the project will be carried out in accordance with the federal Older
Americans Act (Administration on Aging of the Department of Health and Human
Services as amended), and the policies and procedures established for grants by the
Colorado Department of Health and Human Services, and the terms and conditions
of the project application approved by "AAA" in making this award of funds.
b. Understands that the project's fiscal affairs are subject to audit. If costs are
disallowed,the proportion of Federal/State funds disallowed must be returned to the
"AAA."
c. Understands that this award is made for the period amounts stated in this Agreement.
This Agreement in no way implies further funding which is contingent upon the
availability of funds and approval of future project applications.
d. No portion of the Agreement shall be deemed to constitute a waiver of any
immunities the parties or their officers or employees may possess, nor shall any
portion of this Agreement be deemed to have created a duty of care with respect to
any persons not a party of the Agreement.
e. No portion of the Agreement shall be deemed to create an obligation on the part of
the County of Weld, State of Colorado, to expend funds not otherwise appropriated
in each succeeding year.
f. If any section, subsection paragraph, sentence, clause, or phrase of this Agreement
is for any reason held or decided to be unconstitutional, such decision shall not affect
the validity of the remaining portions. The parties hereto declare that they would
have entered into this Agreement and each and every section, subsection, paragraph,
sentence, clause, and phrase thereof irrespective of the fact that any one or more

sections subsections,paragraphs, sentences clauses, or phrases might be declared to
be unconstitutional or invalid.
4. This Agreement may be terminated upon thirty (30) days written notice by either party.
"UNC" shall cancel as many outstanding obligations as possible,work shall stop and"UNC"
shall not incur new obligations after the effective date of termination. "AAA" shall pay
"UNC" for incurred costs and/or uncancelable obligations prior to the effective date of
termination.
IN WITNESS WHEREOF,the parties hereto have executed this Agreement on the day first written
above.

Subject: Purchase of Service Agreement between the Weld County Division of
Human Services' Area Agency on Aging and the University of Northern
Colorado
Enclosed for Board approval are four original copies of an agreement with the University of Northern
Colorado to perform a statistically viable grassroots needs assessment of Weld County citizens 60
years of age and older for the Weld County Area Agency on Aging.
The Weld County Area Agency on Aging will reimburse UNC $12,506 to develop and conduct a
needs survey using telephone interviews, mailed questionnaires, and focus groups covering all areas
of Weld County. The work plan also includes development of a final report and interpretation of the
data for future planning of services to meet the needs of older adults in Weld County.
This agreement was developed through a formal Request for Proposal process and represents the low
bid among four responders to the RFP.
The terms of this agreement are from January 15, 1998 to June 30, 1998.
