HomeMy WebLinkAbout950332.tiffRESOLUTION RE: APPROVE PURCHASE OF SERVICES AGREEMENT BETWEEN UNC SPEECH/LANGUAGE PATHOLOGY AND AUDIOLOGY CLINIC AND WELD COUNTY HEALTH DEPARTMENT AND AUTHORIZE CHAIRMAN TO SIGN WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to Colorado statute and the Weld County Home Rule Charter, is vested with the authority of administering the affairs of Weld County, Colorado, and WHEREAS, the Board has been presented with a Purchase of Services Agreement between the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the Weld County Health Department, and the University of Northern Colorado Speech/Language Pathology and Audiology Clinic, commencing January 1, 1995, and ending December 31, 1997, with further terms and conditions being as stated in said agreement, and WHEREAS, after review, the Board deems it advisable to approve said agreement, a copy of which is attached hereto and incorporated herein by reference. NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld County, Colorado, that the Purchase of Services Agreement between the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the Weld County Health Department, and the University of Northern Colorado Speech/Language Pathology and Audiology Clinic be, and hereby is, approved. BE IT FURTHER RESOLVED by the Board that the Chairman be, and hereby is, authorized to sign said agreement. The above and foregoing Resolution was, on motion duly made and seconded, adopted by the following vote on the 6th day of March, A.D., 1995, nunc pro tunc January 1, 1995. WITNESSETH WHEREAS, WCHD desires to offer audiological testing services through the Child Health Clinics and the Well Adult Program Clinics; and WHEREAS, UNC has the staff and equipment to provide said audiological testing services; and WHEREAS, the parties wish to establish an on -going policy structure for the provision of said audiological testing services; and WHEREAS, the parties desire to reduce the terms of their agreement to writing; NOW THEREFORE, in accordance with the foregoing premises and the terms and conditions hereinafter set forth, the parties do covenant and agree as follows: 1. UNC shall provide audiological testing services as appropriate according to the following schedule: I. Child Health Clinic A. Audiological testing will be provided at the Weld County Health Department on the following dates: 1. January 26, 1995 2. February 23, 1995 3. March 16, 1995 4. April 27, 1995 5. May 25, 1995 6. June 22, 1995 7. July 27, 1995 8. August 24, 1995 9. September 28, 1995 10. October 26, 1995 11. November - No Clinic 12. Clinics will be conducted from 8:30 a.m.-12:00 p.m., or until client schedule is complete. C. Services provided will include: 1. Obtaining or updating case history information, 2. Use of audiological procedures appropriate for infants, newborns, and children, 3. Explanation of testing results, 4. Appropriate referral to physicians and/or other agencies, 5. Provide information to all parents about speech, language and hearing development when appropriate. II. Well Adult Clinics A. Audiological testing will be provided at the Weld County Health Department on the following dates: 1. January - No Clinic 2. February 8, 1995 3. March 8, 1995 4. April 12, 1995 5. May 10, 1995 6. June 14, 1995 7. July 12, 1995 8. August 9, 1995 9. September 13, 1995 10. October 11, 1995 11. November 8, 1995 12. December 13, 1995 B. Clinics will be conducted from 8:30 a.m.-12:00 p.m., or until client schedule is complete. C. Services provided will include: 1. Obtaining or updating case history information, 2. Air conduction threshold testing for both ears, 3. Bone conduction, speech testing and or immittance audiometry will be conducted as needed on a time permitting basis, 4. Explanation of testing results, 5. Counseling on the use of amplification if appropriate, 6. Explanation of assistive listening devices, if appropriate, 7. Providing informational brochures on different topics related to hearing when appropriate. 950332 r Weld County Health Department Contract: 1995-1997 3 III. Conduct educational workshops for seniors/community regarding hearing loss, hearing aids, and resources available in Weld County for hearing impaired and senior population. Hearing aid checks will also be provided at no charge to the participants. UNC agrees that all audiological testing services shall be provided by or under the supervision of a clinically certified (ASHA) audiologist. UNC offers a teaching and service program, therefore, students may provide some of the services under the direct and on -site supervision of the certified audiologist. 3. UNC agrees to provide all audiological testing equipment necessary for the provision of said audiological services. Such equipment shall include audiometers, acoustic immittance bridges, noisemakers, play conditioning materials, and otoscopes. A sound booth will also be provided by UNC on the WCHD premises. 4. WCHD agrees to provide all necessary and required report forms. 5. WCHD agrees to do all client scheduling within the allotted time frames for each individual clinic. 6. UNC will provide information on the number of clients seen to the Director of WCHD on a quarterly basis. 7. In return for services at the health department, WCHD agrees to pay UNC a total of $4.725.00 per year. UNC will bill WCHD for this amount on or about December 1 of the contract year with payment due within thirty (30) calendar days of the date of billing. This amount may be adjusted by mutual agreement between the two parties. 9502)72 Weld County Health Department Contract: 1995-1997 4 8. UNC staff and students shall not be considered WCHD employees or agents for any purpose and shall not hold themselves out as employees or agents of WCHD or otherwise make any representations or commitments on behalf of WCHD. WCHD personnel shall not be considered UNC employees or agents or otherwise make any representations or commitments on behalf of UNC. UNC staff and students shall be covered by the State of Colorado's self insurance program to the extent provided by Colorado law. UNC shall be responsible for providing workers compensation coverage for its staff and students performing services under the auspices of this agreement in accordance with law. 9. The term of this Agreement shall be for three calendar years to commence on January 1, 1995 and terminate on December 31, 1997. 10. This Agreement shall be subject to review by the parties annually. Either party may terminate this agreement without cause by giving ninety (90) calendar days written notice to the other party of the intention to terminate. In case of prior termination by either party, the payment due for services will be pro -rated according to actual services provided up to the effective date of termination. 11. This contract shall be construed in accordance with the laws of the State of Colorado. 12. It is mutually agreed that any lawsuits or causes of action concerning this Agreement shall be venued in the courts of Weld County, Colorado, to the extent that those courts are reposed with subject matter jurisdiction. Both parties agree to submit themselves to the personal jurisdiction of those courts. 13. This document contains the entire Agreement between the parties and supersedes all other prior written or oral agreements or representations. 14. Both parties agree that they shall conduct their activities under the auspices of this Agreement in accordance with state and Federal non-discrimination laws. 15. Any waiver by either party of any term or provision in this contract at any one time shall not constitute a waiver of any other or all provisions. Any waiver of any part or provision of this contract at any one time shall not constitute a waiver for all times. 16. Dale Hall, Chairman To Board of County Commissioners Date March X3,1995 From Subject: John Pickle, Director, Health Department' Purchase of Services Agreement with UNC Speech -Language Pathology and Audiology Clinic Enclosed for Board approval is a Purchase of Services Agreement between the Weld County Health Department (WCHD) and the University of Northern Colorado (UNC) Speech -Language Pathology and Audiology Clinic. UNC will provide audiological testing services for both Child Health and Well Adult Program Clinics in the Health Department building as that is where the sound proof booth is located. For these services, WCHD will reimburse UNC $4,725.00. Also, in an attempt to get services out to the rural sites, UNC will provide educational workshops in four rural clinic sites. These workshops will include education, hearing aid checks and identification of resources for the hearing impaired and senior population. The actual testing will continue to be done in the Health Department building as testing in the rural sites is difficult and frequently lower in accuracy due to their physical location. Transportation resources are available in most cases to assist clients in coming to the Health Department. The cost for these additional workshops is $626.75 which brings the total amount of the contract to $5,351.75. I recommend your approval of this agreement. Enclosure 950332 Hello
