TIIlS BILL OF SALE AND ASSIGNMENT AND ASSUMPTION •
AGREEMENT is made as of the _ day of , 1996, by and between
AGRICULTURAL PRODUCTS, INC., a Colorado corporation ("API"), and
DIAMOND IIILL Ag., LLC, a Nebraska limited liability company
("Diamond").
RECITALS
A. API has entered into an Asset Transfer Agreement by and
between API and Diamond dated as of the 30th day of March, 1996 (the
"Transfer Agreement").
B. Pursuant to the Transfer Agreement, API is required to
convey and transfer to Diamond both (i) the Transferred Assets, free and clear
of all liens other than liens securing the Assumed Liabilities, and (ii) the
Assumed Liabilities.

C. The parties desire to enter into this Agreement to effectuate
and evidence API's transfer of the Transferred Assets and the Assumed
Liabilities to Diamond and Diamond's obligations in connection therewith.
D. • Capitalized terms not otherwise defined herein have the
meanings assigned to them in the Transfer Agreement.
AGREEMENTS
In consideration of the recitals and the mutual agreements which
follow and for other good and valuable consideration, the receipt and sufficiency
of which consideration are acknowledged, the parties agree as follows:
1. Sale and Assignment. API hereby bargains, grants, settles,
conveys, assigns, contributes, transfers and delivers to Diamond and its
successors and assigns all of API's right, title and interest in and to the
Transferred Assets and the Transferred Liabilities. To have and to hold the

property conveyed hereby unto Diamond, its successors and assigns, absolutely
and unconditionally. API appoints Diamond its true and lawful attorney-in-fact
to assert, enforce and collect in the name, place and stead of API, all rights
transferred hereby.
2. Assumption. Diamond accepts the foregoing sale and
assignment and agrees to assume, pay, perform and discharge in accordance with
their terms, all of API's obligations under the Transferred Assets and Assumed
Liabilities.

ASSET TRANSFER AGREEMENT
THIS ASSET TRANSFER AGREEMENT is made and entered into
effective as of the 12th day of March, 1996, by and between AGRICULTURAL
PRODUCTS, INC., a Colorado corporation, hereinafter referred to as "API" and
DIAMOND HILL AG., LLC, a Nebraska limited liability company, hereinafter referred
to as "Diamond".
RECITALS
API is engaged in the business of farming and processing agricultural
products (the "Business").
API desires to transfer, and Diamond desires to acquire from API,
certain of API's assets upon the terms and subject to the conditions hereinafter set
forth.
AGREEMENTS
In consideration of the recitals and the mutual agreements which
follow, the parties agree as follows:
1 . Transfer of Assets: Subject to the terms and conditions of this
Agreement, API agrees to transfer and deliver to Diamond, and Diamond agrees to
accept from API, as of the Second Closing (as defined herein), all of the rights,
title and interest of API in and to the assets described in this Section 1
(collectively, the "Transferred Assets").
1 .01 Personal Property: All of the equipment and other tangible
personal property set forth on Schedule 1 .01 (the "Personal Property").
1 .02 Leases: All rights of API under all of the leases of personal
property used in connection with the Business which are listed on Schedule 1 .02
(the "Assumed Leases"). In the event that any of the Assumed Leases are not
assignable to Diamond (the "Nonassignable Leases"), API will remain the named
lessee but will otherwise transfer all of its rights under the Nonassignable Leases
to Diamond pursuant to a Bill of Sale and Assignment and Assumption Agreement
to be executed in connection herewith.
1 .03 Contracts: All rights of API under all contracts, agreements
and commitments that are listed on Schedule 1 .03 (the "Assumed Contracts").
Diamond has the right to purchase said property at the termination of the leases.
2. Assets Fvcluded from Transfer: There shall be excluded from sale under
this Agreement the beet equipment identified in Schedule 2 (the "Excluded
Assets").
3. Liabilities: Subject to the terms and conditions of this Agreement and as
partial payment for the purchase of the Transferred Assets, Diamond shall, at the
Second Closing (as defined herein), assume and pay, perform and discharge in
accordance with their terms all debts, liabilities and obligations of API described in
this Section 3 and set forth on Schedule 3 (collectively, the "Assumed Liabilities").
3.01 Operational, Crop & Other Expenses: All debts, liabilities and
obligations identified as "operational, crop and other expenses" as set forth on
Schedule 3 (the "1996 Operational, Crop and Other Expenses").
3.02 Employee Liabilities: All expenses of API to any of API's
employees as set forth on Schedule 3 (the "Employee Liabilities"). These
expenses are included in the figure shown in 3.01 .
3.03 Leases and Contracts: All debts, liabilities and obligation of
API existing on or arising after the time of the Initial Closing under the Assumed
Contracts or the Assumed Leases as set forth on Schedule 3 (the "Lease and
Contract Liabilities"). Said figures are included in 3.01 .
4. Transfer Amount: In consideration of API's sale and transfer of the
Transferred Assets and its agreement to perform the terms, covenants and
conditions of this Agreement, Diamond shall submit to API:
(i) At the Initial Closing earnest money in the form of a cashier's check
payable to API in an amount equal to $ 2-5-8-J843;35 , the
"Initial Installment"; and 3a 5,000. o0
(ii) At the Second Closing a cashier's check payable to API in an amount
equal to $ 741,156. 65 , less the amount of any Assumed
Liabilities arising out of the Assumed Leases and the assumed API
machinery-related financing contracts as set forth on Schedule 4
("Second Installment"). Schedule 4 shall be updated and completed
with final figures prior to the Second Closing.
5. Closing:
5.01 Initial Closing: Unless otherwise mutually agreed upon by API
and Diamond, the initial closing of the transaction contemplated by this Agreement
shall take place on or before March 30, 1996, at a place and time agreed upon by
API and Diamond (the "Initial Closing").
5.02 Second Closing: Unless otherwise mutually agreed upon by
API and Diamond, the second losing of the transaction contemplated by this
Agreement shall take place on or before April 30, 1996, at a place and time agreed
upon by API and Diamond (the "Second Closing").
6. Bill of Sale: API and Diamond shall execute and deliver a Bill of Sale and
Assignment and Assumption agreement in connection herewith, in substantially
the form attached hereto as Exhibit A, on or before the Second Closing.
7. Representations and Warranties of AP!:
7.01 Title and Disclaimer of Warranty: API represents and warrants
to Diamond that, at the Second Closing, API will have good title to the Transferred
Assets, free and clear of all security interests, liens and encumbrances except for
liens securing the Assumed Liabilities. THE TRANSFERRED ASSETS ARE BEING

TRANSFERRED "AS IS, WHERE IS". SELLER MAKES NO OTHER
REPRESENTATION OR WARRANTY OF ANY KIND, EXPRESS OR IMPLED, AS TO
MERCHANTABILITY, FITNESS FOR PARTICULAR PURPOSE OR ANY OTHER
MATTER WITH RESPECT TO THE TRANSFERRED ASSETS.
7.02 Absence of Litigation: There is no investigative action,
inquiry, proceeding or litigation pending or, to the knowledge of API, threatened
against API, or the assets of its business before any court or before or by any
governmental department, commission, board agency or instrumentality.
7.03 Absence of Labor Disputes: There is no employment
discrimination claim, labor dispute, grievance, controversy, strike or request for
union representation pending or threatened against API or its business, and API
does not know of the occurrence of any claim which is likely to give rise to any
such claim, dispute, grievance, controversy, strike or request for union
representation.
7.04 Transferred Assets are not all of API's Assets: Pursuant to
this Agreement API is transferring only the Transferred Assets to Diamond, and
such Transferred Assets are not all of the assets of API.
8. Covenant of API: API hereby agrees that it shall reimburse Diamond for
costs incurred by Diamond in 1996 from maintaining, sorting and handling the
1995 stored potato crop, as set forth on Schedule 8.01 under the heading "liability
of API". This amount shall be offset against Diamond's line of operating credit.
9. Covenants of Diamond:
9.01 Expense Reimbursement: Diamond hereby agrees that it shall
reimburse API for any and all input expenses on winter wheat and the first year
portion of amortized seed expense for standing alfalfa acreage on land owned by
API as shown on Schedule C of the Cash Farm Lease.
9.02 Preparation of Taxes and Accounting Records: Diamond
hereby agrees that it shall make Todd Lyon available to API for purposes of
completing the 1995 tax review and maintaining the API 1996 accounting records.
API shall reimburse Diamond for these costs.
9.03 Failure to Pay Second Installment: Diamond hereby agrees
that if it fails to pay the Second Installment on or before the Second Closing, API
shall be entitled to retain the Initial Installment and the Transferred Assets and
shall be under no further cblication to sel! or negotiate the sale of the Transferred
Assets.
10. Miscellaneous:
10.01 No Intent to Form a Partnership: API and Diamond hereby
agree and stipulate that they do not intend for this Agreement or the
consummation of its terms to give rise to a partnership between API and Diamond.

10.02 Governing Law: This Agreement shall be governed by and
subject to the laws of the State of Colorado.
10.03 Benefit: This Agreement shall be binding upon and inure to
the benefit and burden of and shall be enforceable by API and Diamond and their
respective successors and assigns.
