Grantors,Elvema Burchfield,Trustee of the Elverna Burchfield Living Trust and Sherry Redmond fka Sherry Rose,
of the County of Clark,State of Nevada and the County of Boulder,State of Colorado,respectively,and
for and in consideration of the sum of ONE MILLION SEVEN I(UNDRED FIFTY THOUSAND AND 00/100($1,750,000.00)
DOLLARS,in hand paid,hereby sell(s)
and convey(s)to Grantees,Sand Land Inc.,a Colorado Corporation,Pasquale Varra and Jacqueline N. Varra, as follows:
an undivided thirty-four percent(34%)interest to Sand Land,Inc.,a Colorado Corporation,and an undivided sixty-six
percent(66%)to Pasquale Varra and Jacqueline N.Varra an undivided sixty-six percent(66%)interest,
whose addresses are 12910 Weld County Road 13,Longmont,Colorado 80504
County of Weld,and State of Colorado,
WITNESSETH,that the Grantors for and in consideration of the sum of ONE MILLION SEVEN HUNDRED FIFTY
THOUSAND AND W/100($1,750,000.00)DOLLARS,the receipt and sufficiency of which is hereby acknowledged,has
granted,bargained,sold,and conveyed,and by these presents does hereby grant,bargain,sell,convey,and confirm unto the
Grantees,their heirs and assigns forever,all the real property,together with improvements, if any,situate,lying,and being in the
following real property,in the County of Weld,and State of Colorado,described as follows: r i

The property described in Attachment A of this deed, excepting and reserving unto Grantors, their successors and assigns the
following:
I. Any and all oil, gas, and hydrocarbon mineral rights (but excluding sand and gravel)owned by Grantors, including but not
limited to revenue generated from current production;and
2. The right to coni inued use of all water conveyance structures to convey water front the Last Chance Ditch headgale across the
property conveyed by this instrument and under Highway 66,as such structures are now constructed,onto property in sections
20 and 21 owned by Grantors. The location of the water conveyance structures may be changed by Grantees with Grantors'
prior written cor sent.
TOGETHER with all and singular hereditaments and appurtenances thereto belonging or in anywise appertaining and the reversion
and reversions, remainder and remainders, rents, issues and profits thereof, and all the estate, right, title, interest, claim and
demand whatsoever of the Grantors,either in law or in equity,of,in,and to the above bargained premises,with the hereditaments
and appurtenances.
TO HAVE AND TO HOLD the said premises above bargained and described with the appurtenances unto the Grantees, their
heirs and assigns forever. And the Grantors,for themselves,their heirs and personal representatives,do covenant,grant,bargain,
and agree to and with the Grantees,their heirs and assigns,that at the time of the caseating and delivery of these presents,they are
well seized of the premises above conveyed,have good, sure, perfect, absolute, and indefeasible estate of inheritance, in law, in
fee simple,and have good right, full power and lawful authority to grant,bargain,sell and convey the same in manner in form as
aforesaid, and that the same arc free and clear from all former and other grants, bargains, sales, liens, taxes, assessments,
encumbrances,and restrictions of whatever kind or nature except:
general taxes for 1998 and subsequent years and except all casements, restrictions,covenants,conditions, reservations,and rights
of way of record,or in use,if any.
The Grantors shall and will WARRANT AND FOREVER DEFEND the above-bargained premises in the quiet and peaceable
possession of the Grantees, their heirs and assigns,against all and every person or persons lawfully claiming the whole or any
part thereof. The singular number shall include the plural,the plural the singular,and the use of any gender shall be applicable
to all genders.
