Dear Mr. Barker:
The purpose of this letter is to notify you that the contemplated transfer of the assets
of the cable television system serving your community, including assignment of the franchise rights,
from Jones Cable Income Fund 1-B/C Venture to Tele-Vue Systems, Inc. ("Tele-Vue") was
completed as of January 24, 1997.
A certificate of insurance and $2,000 performance bond are being forwarded to your
attention under separate cover in accordance with the terms of the franchise.
