HomeMy WebLinkAbout991863.tiff RESOLUTION RE: APPROVE AGREEMENT FOR SERVICES AND AUTHORIZE CHAIR TO SIGN - COLORADO CHILDREN'S IMMUNIZATION COALITION WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to Colorado statute and the Weld County Home Rule Charter, is vested with the authority of administering the affairs of Weld County, Colorado, and WHEREAS, the Board has been presented with an Agreement for Services between the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the Weld County Department of Public Health and Environment, and the Colorado Children's Immunization Coalition, commencing August 1, 1999, and ending July 31, 2002, with further terms and conditions being as stated in said agreement, and WHEREAS, after review, the Board deems it advisable to approve said agreement, a copy of which is attached hereto and incorporated herein by reference. NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld County, Colorado, that the Agreement for Services between the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the Weld County Department of Public Health and Environment, and the Colorado Children's Immunization Coalition be, and hereby is, approved. BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized to sign said agreement. The above and foregoing Resolution was, on motion duly made and seconded, adopted by the following vote on the 2nd day of August, A.D., 1999, nunc pro tunc August 1, 1999. J Geife ourfty Attorney /diu(G11,i (,z1/2J Glenn Vaad 991863 HL0025 AGREEMENT FOR SERVICES THIS AGREEMENT, made and entered into this end day of _ 1999, by and between the County of Weld , State of Colorado, by and throd the Board of County Commissioners of Weld County, on behalf of the Weld County Department of Public Health and Environment, ("WCDPHE"), and Colorado Children's Immunization Coalition ("CCIC"). BACKGROUND INFORMATION WHEREAS, WCDPHE has been awarded a grant from the Colorado Children's Immunization Coalition (CCIC) for use in establishing the Immunization Support Project in Weld County ("the Immunization Support Project"); and WHEREAS, the Immunization Support Project is intended to provide support and guidance for improvement in immunization rates for children; and WHEREAS, WCDPHE also desires that CCIC provide services in support of the grant funds; and WHEREAS, CCIC desires to provide such services; and WHEREAS, the parties desire to reduce the terms of their agreement to writing. NOW THEREFORE, for and in consideration of the covenants, conditions, agreements, and stipulations hereinafter expressed, the parties do hereby agree as follows: AGREEMENT 1. Recitals. The above recitals are hereby incorporated herein as if stated verbatim. 2. Term of Agreement. This Agreement shall be effective from August 1, 1999, and shall continue until July 31, 2002, unless sooner terminated pursuant to the terms and conditions hereinafter set forth. 3. Responsibilities of WCDPHE. WCDPHE shall be responsible for the following: a. WCDPHE will be responsible for the administration of the grant funds pursuant to the terms and conditions set forth herein, during the term of this Agreement. b. WCDPHE will provide office space and furniture, phone services, computer support, and administrative support for the project, as indirect costs. The parties agree that the value of the indirect costs provided by WCDPHE. equals approximately 7.89 °% of the grant amounts for each year. 1 c. WCDPHE will, after considering any and all input from CCIC concerning any applicants, employ on a temporary basis for the term of this Agreement, 1.0 FTE Nurse and 0.5 FTE Office Technician to provide services pursuant to the terms and conditions of this Agreement, and to be known as the Community Immunization Team ("CIT"). The CI'T will consist of temporary employees of Weld County, who will be subject to all Weld County personnel policies. WCDPHE will continue, as employer, to supervise the Community Immunization Team's work and services provided. d. WCDPHE will provide orientation to the CIT concerning the local Weld County Children's Immunization Coalition and community providers. e. WCDPHE will, after orientation by CCIC, make a good faith effort to follow the policies, procedures, and guidelines for the Immunization Support Project. f WCDPHE, as chair of the Weld County Children's Immunization Coalition ("WCCIC";, will work through that Coalition to develop committees, and especially a steering committee, to support the Immunization Support Project. g. WCDPHE will coordinate with the steering committee of the WCCIC, to jointly act as a liaison between the CCIC, CIT, and the community providers to facilitate communications, collaboration, conflict resolution, and advocacy for the project. 4. Responsibilities of CCIC. CCIC shall be responsible for the following: a. CCIC shall provide the funding from the grant to WCDPHE for the implementation of the project. The anticipated funding shall be: $77,500.00 for the first twelve month period of the project; $77,239.00 for the second twelve month period of the project; and $76,005.00 for the third twelve month period of the project. b. CCIC will authorize and recognize WCDPHE as the administrative agent for the immunization project. Recognition of the WCCIC and WCDPHE will appear jointly on public relation materials, news articles, and community announcements. Said recognition shall appear, in part, as compensation for the indirect costs being contributed by WCDPHE. c. CCIC will provide all advertising and related costs for recruitment for the available positions on the CIT. CCIC will participate in interviewing and other consideration of applicants and provide significant input concerning the applicants for the available positions on the CIT. When the CIT has been employed by WCDPHE, CCIC will provide training and orientation to the CIT and WCDPHE concerning the project goals and objectives. d. CCIC's project coordinator will provide support as needed and assistance in the coordination of services provided at the Weld County community site. The project coordinator, acting within the guidelines of the CCIC Board of Directors, will provide project 2 • oversight with consultation to WCDPHE, to ensure monthly requirements as specified in the job description are being met. 5. Mutual Responsibilities of the Parties. The parties agree that they shall each be responsible for the following: a. CCIC will be responsive to the communications, concerns, and needs of WCDPHE and WCCIC in regard to the community Immunization Support Project. Likewise, WCDPHE will be responsive to CCIC communications, concerns, and needs. b. CCIC and WCDPHE assure compliance with Title VI of the Civil Rights Act of 1964, that no person shall, on the grounds of race, color, sex, religion, age, national origin, or individual handicap, be excluded from participation in, be denied the benefits of, or be subject to discrimination under any provision of this Agreement. 6. Euuinment Acquired with Grant Funds. All equipment purchased with funds from the subject grant, which exists after the term of this Agreement shall become the property of CCIC at the termination of this Agreement. 7. Compensation. In consideration for the services to be provided by WCDPHE pursuant to the terms and conditions of this Agreement, CCIC agrees to provide the funding set forth in paragraph 4.a. of this Agreement to compensate WCDPHE, to be paid in regular quarterly payments, nade in advance, on the first day of each quarter or three-month period, commencing August 1, 1999. 8. Parties' Relationship. The parties to this Agreement intend that the relationship between them contemplated by this Agreement is that of independent entities working in mutual cooperation. No employee, agent, or servant of any party shall be deemed to be an employee, agent, or servant of another party of this Agreement. 9. Non-Assignment. This Agreement shall not be assignable without prior written consent of WCDPHE or CCIC, whichever is the non-assigning party. 10. Termination. Either party may terminate this Agreement: immediately, in the event of lack of funding, in which case written notice shall be sent immediately to the other party; for cause, upon.ten (10) days written notice; and for any reason, so long as thirty (30) days written notice of its intent to so terminate is given to the other party. If this Agreement is so terminated, CCIC shall pay that compensation to WCDPHE which duly reflects the actual amounts due and owing to WCDPHE which amounts have not previously been paid, or WCDPHE shall reimburse CCIC for funds paid by CCIC to WCDPHE in advance and not due and owing to WCDPHE, if either situation may apply. 12. Notices. Any notice provided for in this Agreement shall be in writing and shall 3 be served by personal delivery or by certified mail, return receipt requested, postage prepaid, at the addresses set forth in this Agreement, until such time as written notice of a change is received from the party wishing to make a change of address. Any notice so mailed and any notice served by personal delivery shall be deemed delivered and effective upon receipt or upon attempted delivery. This method of notification will be used in all instances except for emergency situations when immediate notification to the parties is required. Modification and Breach. This Agreement contains the entire Agreement and understanding between the parties to this Agreement and supersedes any other agreements concerning the subject matter of this transaction, whether oral or written. No modification, amendment, novation,renewal, or other alteration of or to this Agreement and the attached exhibits shall be deemed valid or of any force or effect whatsoever, unless mutually agreed upon in writing by the undersigned parties. No breach of any term, provision, or clause of this Agreement shall be deemed waived or excused, unless such waiver or consent shall be in writing and signed by the party claimed to have waived or consented. Any consent by any party hereto, or waiver of, a bread.by any other party, whether expressed or implied, shall not constitute a consent to, waiver of, or excuse for any other different or subsequent breach. 14. Incorporation of Contractual Provisions. This Agreement is expressly made subject to all laws and regulations of the United States and the State of Colorado. Contractual provisions required by such laws and regulations, but not having been set forth herein. are hereby incorporated by this reference as though expressly set forth in full. All parties to this Agreement are hereby put on not:.ce and charged with the responsibility of compliance with such contract provisions as required by law. 15. Severability. If any term or condition of this Agreement shall be held to be invalid, illegal, or unenforceable, this Agreement shall be construed and enforced without such a provision, to the extent this Agreement is then capable of execution within the original intent of the parties. 16. Funding_ No portion of this Agreement shall be deemed to create an obligation on the part of CCIC, or the County of Weld, State of Colorado, or WCDPHE, to expend funds not otherwise appropriated during the term of this Agreement. 4 17. Records. Each party agrees to keep any and all records and information confidential, in compliance with all laws and regulations concerning the confidentiality of such records. 18. No Third Party Beneficiary Enforcement. No portion of this Agreement shall be deemed to constitute a waiver of any immunities the parties or their officers or employees may possess, nor shall any portion of this Agreement be deemed to have created a duty of care with respect to any person not a party to this Agreement. It is expressly understood and agreed that enforcement of the terms and conditions of this Agreement and all rights of action relating to such enforcement shall be strictly reserved to the undersigned parties, and nothing contained in this Agreement shall give or allow any claim or right of action whatsoever by any other person not included in this Agreement. It is the expressed intention of the undersigned parties that any entity other than the undersigned parties receiving services or benefits under this Agreement shall be deemed an incidental beneficiary only. Weld County will receive an amount of$77,500 the first year, $77,239 for the second year, and $76,005 for the third year. The sole purpose of this project will be to work with private practice physicians and clinics in Weld County so as to enhance the immunization reporting from the private sector and subsequently increase their immunization rates. This will be done by a full-time registered nurse and a half-time office technician. They will provide technical support to participating practices and clinics by providing evaluation, education, training and follow-up.
