RE: APPROVE PURCHASE OF SERVICES AGREEMENT WITH LARIMER COUNTY AND
AUTHORIZE CHAIR TO SIGN
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with a Purchase of Services Agreement
between the County of Weld, State of Colorado, by and through the Board of County
Commissioners of Weld County, on behalf of the Department of Human Services, Area Agency
on Aging, and Larimer County, commencing January 12, 1998, and ending January 12, 2000,
with further terms and conditions being as stated in said agreement, and
WHEREAS, after review, the Board deems it advisable to approve said agreement, a
copy of which is attached hereto and incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of
Weld County, Colorado, that the Purchase of Services Agreement between the County of Weld,
State of Colorado, by and through the Board of County Commissioners of Weld County, on
behalf of the Department of Human Services, Area Agency on Aging, and Larimer County be,
and hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized
to sign said agreement.
The above and foregoing Resolution was, on motion duly made and seconded, adopted
by the following vote on the 12th day of January, A.D., 1998.

Purchase of Services Agreement
THIS AGREEMENT,made and entered into this/a day of lie(r) ,--4947 by and between the County of
Weld, State of Colorado, by and through the Board of County Commissioners of Weld County,on behalf of the
Weld County Division of Human Services Area Agency on Aging,hereinafter referred to as"AAA"and Larimer
County Board of County Commissioners, hereinafter referred to as"LCBC"
WHEREAS,AAA is a public non-profit agency which provides LTC Ombudsman services to Weld
County adults 60 years of age and older who reside in Weld County nursing homes and personal care boarding
homes and
WHEREAS, LCBC is the governing Board for Larimer County which includes the Department of
Community Services and the Larimer County Office on Aging,hereinafter referred to as"LCOA", is a unit of the
Larimer County Department of Community Services and provides Ombudsman services to all Larimer County
adults 60 years and older who reside in nursing homes and personal care boarding homes, and
WHEREAS,the AAA and LCOA desire to provide reciprocal Ombudsman services when services are
needed.
NOW THEREFORE, it is mutually agreed:
1. Based upon a previously established protocol(attached),the AAA and LCOA will utilize the
others' Ombudsman services when the Ombudsman is out of the office for an extended period of
time, (i.e. vacation,sick leave)not to exceed four(4)weeks.
2. The rate of reimbursement by LCOA and AAA will be$15.00 per hour, including travel time.
Mileage will be reimbursed at.27 cents per mile.
3. The LCOA and AAA will respond to all complains within five(5)working days(except for
emergency situations in which a response is due within twenty-four(24)hours).
4. The LCOA and AAA will provide a written report regarding complaints received, clearly
outlining the complaint and outcomes within 10 working days after resolution of the complaint.
5. The LCOA and AAA understand that periodic evaluations of the activities conducted under this
Agreement and ongoing monitoring of the performance of LCOA and AAA will be conducted to
ensure that a quality services are being provided.
6. Any changes, including increases or decreases of amount of compensation for agreed upon
services,shall be incorporated in written amendments to the Agreement.
7. The project will be carried out in accordance with federal program and fiscal regulations,the
policies established for grants by State Agency, and the terms and conditions of the project
application approved by AAA and LCOA making this award of funds, specifically abiding by the
dollar amounts shown in the budget by program and cost categories.
8. No portion of the Agreement shall be deemed to constitute a waiver of any immunities the parties
or their officers or employees may possess,nor shall any portion of this agreement be deemed to
have created a duty of care with respect to any persons not a party to this Agreement.
9. No portion of this Agreement shall be deemed to create any obligation on the part of the County
of Weld or Larimer, State of Colorado,to expend funds not otherwise appropriate in each
succeeding year.
10. If any section, subsection,paragraph,sentence,clause,or phrase of the Agreement is for any
reason held or decided to be unconstitutional, such decision shall not affect the validity of the
remaining portions. The parties hereto declare that they would have entered into this Agreement
and each and every section, subsection,paragraph,sentence, clause, and phrase thereof
irrespective of the fact that any one or more sections,subsections,paragraph, sentence, clause, and
phrases might be declared to be unconstitutional or invalid.
11. The Agreement is in effect for the period commencing with execution and ending two(2)years
after that date.
12. This Agreement may be terminated upon thirty(30)days written notice by either party. This
Agreement shall be terminated immediately in the event of loss of funding for this program by
either party.

Protocol for Activating Ombudsman Purchase of Service Agreement
1. The agreement will be activated when complaints needing immediate attention arise. Types of complaints
include:
a. life-threatening situations,responses to which will be coordinated with the corresponding county's
Adult Protection Services(APS)unit.
b. involuntary discharge of any LTC resident
c. other complaints,as appropriate,after discussion with the referring staff member
2. Requests for reciprocal services will be transacted by phone as soon as there is a need for such services.

Subject: Purchase of Service Agreement between the Weld County Division of
Human Services' Area Agency on Aging and Larimer County Board of
Commissioners
Enclosed for Board approval is a Purchase of Service Agreement between Weld County Division of
Human Services' Area Agency on Aging and the Larimer County Board of Commissioners. The
Agreement provides for coverage of Long Term Care Ombudsman services by either party when the
Ombudsman from either County is out of the office for an extended period of time.
This Agreement provides back up for both counties when serious situations arise in nursing homes
or personal care boarding homes that must be addressed immediately.
The rate of reimbursement for both parties will be $15.00 per hour, including travel time. Mileage
will be reimbursed at $.27 per mile.
