Re: AT&T and TCI Merger
Dear Mr. Baxter:
I want to take this opportunity to give you an update on the announced merger between
AT&T Corp. (AT&T) and Tele-Communications, Inc. (TCI), and provide you with some
background information on our process for obtaining regulatory consents.
This merger offers the potential for many extraordinary benefits to our customers and the
communities we serve, including the opportunity to receive new video, multimedia, data
and voice services using the most recent technology.
This merger will result in AT&T becoming the new parent company of TCI. As you
know, TCI is the ultimate parent company of the corporation that has entered into a
franchise with your community. The current grantee or franchisee will continue to own the
franchise and operate the cable system after the merger is complete. Attached to this letter
is a chart showing the ownership of TCI and its subsidiaries before and after the merger.
This transaction does not involve a sale of any franchise or cable system to AT&T. The
merger does, however, create a new parent company for TCI and, indirectly, a new
controlling entity for the franchisee under your franchise.
AT&T and TCI are in the process of obtaining all necessary consents at the federal and state
levels and will soon start the process of seeking consents at the local level. If our franchise
with you requires consent for a change of control of the franchisee or its parent company,
we will be sending an FCC Form 394 to you within the next month. The Form 394 will
have information about AT&T and will include a copy of the merger agreement, AT&T's
annual report and other information if required by the terms of the franchise.
Most of our franchises do not require consent for this merger. While our franchises
usually requires consent to a sale or transfer of the franchise itself, most do not require
consent for a change of control of the franchisee or its parent company. However, we
want every community to whom we provide cable service to receive information about the
merger, whether or not consent is required under the terms of our franchise with you.
Therefore, in September, we will be sending additional information about AT&T and the
transaction to you even if your franchise does not require consent to the merger.
