HomeMy WebLinkAbout982439.tiff RESOLUTION RE: APPROVE MEMORANDUM OF AGREEMENT AND AUTHORIZE CHAIR TO SIGN - LUTHERAN HEALTH SYSTEMS, OPERATOR OF NORTH COLORADO MEDICAL CENTER WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to Colorado statute and the Weld County Home Rule Charter, is vested with the authority of administering the affairs of Weld County, Colorado, and WHEREAS, the Board has been presented with a Memorandum of Agreement between the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, and Lutheran Health Systems, operator of North Colorado Medical Center, commencing January 1, 1999, and ending December 31, 1999, with further terms and conditions being as stated in said agreement, and WHEREAS, after review, the Board deems it advisable to approve said agreement, a copy of which is attached hereto and incorporated herein by reference. NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld County, Colorado, that the Memorandum of Agreement between the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, and Lutheran Health Systems, operator of North Colorado Medical Center be, and hereby is, approved. BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized to sign said agreement. Box 758 Greeley, CO 80632 Dear Don, Please find attached the January 1, 1999 renewal of our 2710 Agreement. Per our recent phone conversation, the amendment reflects a price increase of $2,000/year. This is the first price adjustment since the original agreement was formulated in 1987. In addition to the new contract amount of $29,000/year, NCMC will continue to support the 2710 program in 1999 with a projected contribution to community service of$42,118. Don, I also want to pause and express on behalf of NCMC our appreciation for the County's long-standing commitment to and support of law enforcement, in the management of individuals held under CRS 2710. This in turn ensures that the evaluation and treatment of involuntary individuals occurs in a manner that both meets community needs and is respectful of an individual's personal rights. Please call with any questions, otherwise if the above amendment is acceptable to the county, please return one signed original to me. A member of Western Plains Health Network MEMORANDUM OF AGREEMENT THIS AGREEMENT, is made and entered into by and between Weld County, hereinafter referred to as "Weld" and Lutheran Health Systems, a North Dakota non-profit corporation, operator of North Colorado Medical Center, hereinafter referred to as "NCMC", and the parties agree as follows: WHEREAS, the Board of County Commissioners of Weld County, Colorado, has awarded North Colorado Medical Center a sum of$29,000.00 of Weld County General Fund monies to provide psychiatric inpatient care for patients held under Section 27-10, CRS, when brought to North Colorado Medical Center facilities by a Weld County law enforcement agency to avoid holding patient in County jail or transporting patient to a State facility; and WHEREAS, the County implements programs and services throughout Weld County to Weld County residents, and WHEREAS, NCMC provides services in Weld County to the citizens of Weld County, and WHEREAS, the parties hereto are desirous of formalizing an agreement for the express purpose of providing mental health services to Weld County citizens, and WHEREAS, to implement these goals, the parties desire to establish an agreement for the use of Weld County General Fund monies for the purpose of providing psychiatric inpatient care. NOW, THEREFORE, in consideration of the premises stated herein, the parties hereto agree as follows: 1. The purpose of this Agreement is to establish an agreement for the use of Weld County General Fund monies within NCMC. 2. Contract Period will be from January 1, 1999 through December 31, 1999. 3. Compensation: Weld agrees to pay NCMC for services performed hereunder quarterly in the amount of $7,250.00 for inpatient psychiatic care given to patients held under Section 27-10, CRS, as a result of being brought to NCMC by a Weld County law enforcement agency to avoid placing patient in the County jail or transporting to a State facility. 9,1213`1 4. The total amount paid by Weld to NCMC under this Agreement shall not exceed the sum of $29,000.00 paid in four quarterly amounts of $7,250.00. Service rendered by NCMC in excess of this amount shall be recognized as NCMC's service contribution to the community. 5. NCMC assures that as a recipient of General Fund monies, it is fully aware of the restrictions and requirements of the regulations and applicable State and Local law provisions. 6. NCMC assures that as a recipient of General Fund monies, it will spend the funds in accordance with the same laws and procedures that govern the expenditure of its own funds. 7. NCMC assures that it will maintain sufficient records and an accounting system and internal control procedures adequate to permit the tracing of the funds to a level of expenditure which clearly demonstrates that the funds were used in compliance with the regulations of State and local law. 8. NCMC agrees that it is an independent contractor and that its officers, excluding County Commissioner Board member, and employees do not become employees of Weld nor are they entitled to any employees' benefits as employees of Weld as a result of the execution of this Agreement. 9. NCMC shall indemnify Weld, its officers and employees against liability for injury or damage caused by any negligent act or omissions of any of its employees or volunteers or agents in the performance of this agreement and shall hold Weld harmless from any loss occasioned as a result of the performance of this contract by NCMC. NCMC shall provide necessary worker's compensation insurance at NCMC's own cost and. expense. 10.NCMC may not assign or transfer this agreement, any interest therein or claim thereunder without the prior written approval of Weld. 11.Payment to NCMC will be made only upon presentation of proper claim by NCMC subject to the approval of Weld that services have been performed. 12.Weld shall have access to NCMC's financial records for purposes of audit. Such records shall be complete and available for audit 90 \mental\WeldCty271 0.99 98;4/59 days after final payment hereunder and shall be retained and available for audit purposes for two years after final payment hereunder. 13.Either party may terminate this agreement at any time by giving a ten-day written notice of such sooner termination. This agreement may be terminated at any time without notice upon a material breach of the terms of this agreement by either party. 14.No alteration or variation of the terms of this agreement shall be valid unless made in writing and signed by the parties hereto. 15.NCMC assures that it will comply with all Federal and State laws including, but not limited to, Title VI of the Civil Rights Act of 1964, and that no person shall, on the grounds of race, color, creed, sex or national origin, be excluded from participation in, or be denied the benefits of, or otherwise be subjected to discrimination under this agreement. IN WITNESS WHEREOF, the parties above name have executed this agreement on the loth day of December _, 1998.
