Galaxy Telecom provides cable television services to your community. Our franchise
agreement requires us to give you notice prior to any change of control in our corporate structure.
As a courtesy to you, Galaxy hereby notifies you that it has entered into a letter of intent
with Adelphia Communications Corp. to allow Adelphia to replace our current outside investors.
Adelphia will own 35% of the equity interests in Galaxy. Adelphia and the senior managers of
Galaxy have agreed that the current operators at Galaxy will continue to manage the cable
television systems owned by Galaxy. Please be assured that this transaction, which is expected
to take place in September of this year, will not change the operation of the cable television
system in your community.
