WELD COUNTY BRIDGE NO. WEL 031.0-068.0A
THIS AGREEMENT,made and entered into this /J,l', day of �� ,
1996,by and between the COUNTY OF WELD,of the State of Colorado, with offices at 915 10th
Street, P. O. Box 758, Greeley, Colorado, 80632, hereinafter referred to as "County", and the
professional consulting firm of LORIS AND ASSOCIATES,INC.,with an office at 2735 Iris Ave.,
Suite B, Boulder, Colorado, 80304, herein after referred to as "Engineer".
WITNESSETH :
THAT WHEREAS, the County has established a program of design and construction of
public improvements for Weld County Bridge No. WEL031.0-068.0A; and
WHEREAS, the County desires to obtain professional engineering services for the design
and inspection of public improvements related to the heretofore-mentioned project; and
WHEREAS, Engineer represents that they possess the necessary qualifications to perform
these services.
NOW,THEREFORE, for the consideration herein expressed, it is hereby agreed as follows
by and between the County and Engineer:
I. EMPLOYMENT OF ENGINEER.
The County hereby agrees to engage Engineer and the Engineer
hereby agrees to perform the services hereinafter set forth.
II. PROJECT DESCRIPTION
Funding from the Colorado State Special Bridge Fund has been approved for one of
Weld County bridges, number WEL031.0-068.0A .
The structure is located on WCR 31 between WCR 68 and WCR 70 near the Town of
Greeley, Colorado, and crosses the New Cache La Poudre Canal. The existing bridge
consists of one span, 42 feet in length, 42 feet in width and skewed at 40 degrees.
This project will consist of the following improvements:
A. The design of a vehicular bridge on WCR 31 between WCR 68 and WCR 70.
B. The design of the approach roadways on each side of the bridge.

The project is State funded but is not subject to the administration of CDOT or the FHWA.
The consulting contract will be administered by Weld County Public Works Department.
Weld County will be required the services of an engineering firm to perform tasks consisting
of, but not limited to, the following:
III. SCOPE OF SERVICES TO BE PROVIDED BY THE ENGINEER
A. Design Criteria
All work shall be in compliance with the following:
Bridge shall be designed to have a minimum sufficiency rating of 90 as
determined by the CDOT Structure Inventory Coding Guide.
Bridge design based on ITS 20-44 Inventory loading.
Standard Specifications for Highway Bridges, AASHTO, latest edition;
A Policy on Geometric Design of Highways and Streets. AASHTO, latest edition;
Standard Specifications for Road and Bridge Construction CDOT, latest edition;
M & S Standards, CDOT, latest edition;
Uniform Manual of Traffic Control Devices, FHWA, latest edition;
Colorado Department of Highways Requirement for Off-System Bridges.
Contract between Weld County and Consultant.
B. Pre-Design Meeting
The Engineer will attend Pre-Design meeting with Weld County to discuss the
scope of work, design parameters and identify the schedule of the project. The
meeting will be held at the Weld County Public Works Department located at
933 N 11th Ave., Greeley, Colorado.
C. Subsurface Exploration
Drill test holes and obtain samples.
Determine relevant soil characteristics.
For pavement design, determine R-values using Vheem test procedure for two
representative samples, one from each side of bridge.
Prepare soils investigation report outlining the results of drilled holes supporting
abutment, pier and footer designs.
D. Survey
Locate existing corners and establish ties to existing corners.
Establish horizontal control and vertical control.
Survey topography.
Survey roadway cross sections at 50 feet stations and at road approaches.
Survey data pertinent to the hydrology and hydraulic study.
Submit information of survey to Weld County for use during construction.

E. Utility Coordination
Contact all utilities involved regarding project and meet with utilities at project
site to locate existing and proposed facilities. Determine impact of project on
utilities and resolve adjustments, if any.
F. Preliminary Hydrology and Hydraulic Design
Obtain historical data.
Determine precipitation, runoff,peak flows and frequency.
Receive drainage requirements from Weld County.
Determine water surface profile and perform hydraulic analysis.
Determine size and skew of structures based upon bridge accommodating at least the
50 year storm but preferably the 100 year storm.
G. Preliminary Structure Design
Determine foundation type based on soils investigation.
Determine feasible superstructure alternatives for structure.
Select type of substructure and superstructure.
Prepare general layout for substructure and superstructure.
H. Preliminary Roadway Design
Design horizontal and vertical alignments.
Determine roadway typical cross sections.
Plot roadway plan and profile on plan sheets.
Perform pavement structure designs.
Preliminary Right-of-Way and Easements
Determine preliminary ROW and easements required from preliminary structure
design and roadway designs.
J. Permits
Prepare applications and supporting documents for all permits, such as:
Corps of Engineers 404 Permit and Wetlands Permit, and Colorado
Department of Health 401 and 402 Permits.
Environmental investigations and permit submittals will not be the
consultant's responsibility.
K. Preliminary Design Meeting
Attend Preliminary Design meeting with Weld County to discuss progress and
preliminary design report. Report shall include the following:
Soils Investigation Report
Substantiate selection of superstructure and substructure based on cost

analysis between concrete and steel alternatives and hydrology/hydraulic
study.
Plan sheets to include:
General layout of substructure and superstructure
Roadway plans and profiles
Typical roadway cross sections
L. Final Hydrology and Hydraulic Design
Review preliminary hydrology and hydraulic design and update in accordance
with preliminary Design Report review.
Determine if embankment protection is required.
M. Final Structure Design
Revise the preliminary structure design incorporating comments from the
Preliminary Design Report review and proceed with the final design.
N. Final Roadway Design
Revise the preliminary roadway design incorporating comments from Preliminary
Design Report review and proceed with the final design.
Plot roadway cross sections including road approaches, if any.
0. Final Right-of-Way and Easements
Include the limits of the existing right-of-way and new right-of-way, in the
plan sheets.
Include the limits of new easements in the plan sheets.
Incorporate the property owner names in the plan sheets.
Generate legal descriptions for new right-of-way, if applicable, certified to by
Registered Professional Land Surveyor.
P. Utility Coordination
Subsequent to the Preliminary Design Report review, adjustments shall be
coordinated with all utility owners and documented.
Q. Traffic Control Plan
Determine detour route and submit to Weld County for approval. Prepare traffic
control plan in accordance with The Manual on Uniform Traffic Control Devices.
R. Final Plan Sheets and Submittals
Revise preliminary plan sheets to include changes from the Preliminary Design
Report review.

The final plan sheets are to include the following:
Sheet Index.
Project site map with detour route and traffic control signing.
Summary of approximate quantities.
Roadway general notes and typical cross section.
Roadway plan and profile - stationing; construction centerline; section line;
corners;ties to corners;temporary benchmark elevation and location;existing
and proposed contours;topography; existing and proposed drainage; utilities;
existing right-of-way; new right-of-way; new easements; names of property
owners, drainage; utilities; existing right-of-way; new right-of-way; new
easements; names of property owners; vertical curve design data; horizontal
curve design data; and approach drives.
Bridge general notes.
Geology data- location of test holes, boring log and legend, soil test results
Hydrology/hydraulic data - flow line elevation, freeboard, design Clow,
design velocity.
Piling layout including estimated pile tip elevation and actual pile load or
caissons layout.
Substructure layout and details including embankment protection.
Superstructure layout and details including, computed final deck elevations
and elevations needed for form setting at 10 pts. per girder.
Bridge rail and guardrail layout and details
Roadway cross sections - construction centerline; profile grade elevations;
existing right-of-way or new right-of-way; road approaches.
Compute final quantities based on final design.
Final quantities shall also be independently computed and compared.
Compute total construction cost based on final quantities.
Write special provisions as required due to deviations of CDOT standard
specifications.
Compute bridge ratings for CDOT HS 20 Inventory, HS 20 Operating, Type 3.
Operating, Type 3S2 Operating and Type 3-2 Operating vehicles.
Submit copy of all design and quantity computations.
Submit final plan sheets, special provisions and independent computations of final
quantities for review and approval.
S. Completion of Design Phase
Incorporate corrections to final plan sheets and special provisions in accordance
with the review as necessary.
Transmit the original drawings to Weld County.
T. Construction Phase
Review shop drawings and submit one copy to Weld County.

Provide consultation during construction.
Provide a qualified inspector to conduce construction inspection and material
testing during construction as follows:
a) Manage the Engineering details of the described construction
projects. Insure construction of the project is in accordance with
the plans;
b) Enforce governing specifications and special provisions;
c) Confirm that proper documentation of the construction activities is
maintained.
d) Maintain a daily diary of work performed at the job site. Although
it is anticipated that the Engineer will make a site visit each day that
substantial construction takes place on the subject project, the
construction inspection services are not contemplated to be needed on
a full-time basis.
e) Any dispute concerning interpretation of specifications shall be
referred to Weld County, when time permits, for resolution. An
immediate decision may be made by the Engineer and orders written,
when necessary to expedite construction.
f) Engineer is not responsible for job safety nor for methods or means
of construction, which are the responsibility of the Contractor.
g) The services set forth are not intended to replace original contract
provisions concerning "shop drawing" review services or the
requirement that Engineer interpret plans and special provisions, and
respond to questions concerning said plans and special provisions
during construction.
h) Inspector shall perform separate field checks of contractors
surveying at major phases of project. (abutment, girders, footers,etc.)
i) Inspectors shall furnish to Weld County a weekly summary of
work performed by contractor or any other activity relevant to the
project.
j) Inspector shall maintain control over construction quantities used
and quantities shown on plans and develop a monthly periodic
estimate that can be used for contractors payment.
Testers
Testers may be subcontracted to Engineer, at the discretion of Engineer, and authorized to test work
done and materials furnished. Such testers may extend to all or part of the work and to the
preparation,fabrication or manufacture of the materials to be used. The tester will not be authorized
to alter or waive the provisions of the contract or issue instructions contrary to the plans and
specifications already in place. Results of tests will be furnished to Weld County when they have
been completed. Since Weld County receives a warranty on all construction,testing services

performed by Engineer should comply more with the quality assurance program already in place in
Weld County, rather than with the full quality control plan utilized by the Colorado Department of
Transportation.
Construction Inspector Oualifications
The construction inspector to be provided by Engineer shall meet or exceed all of the qualifications
and requirements of Colorado Law and any rules concerning such construction inspector set forth
by the Colorado Department of Transportation.
Estimated Tests
Weld County has estimated the number of tests and hours that the construction inspector will have
for the project.
Construction Inspection- Total Hours: 380
Construction Testing (ASTM Standards)
Concrete Tests (each test consists of one air, one slump, and four
Cylinders and breaks)
Total Concrete Tests: 8
Moisture - Density Tests
Total M-D Tests: 30
Asphalt Compaction Tests
Total Compaction Tests: 15
IV. COUNTY'S RESPONSIBILITIES
The County shall:
A. Provide the Engineer full information as to the County's requirements.
B. The County shall receive and examine documents submitted by the Engineer,
interpret and define the County's policies,and render decisions and authorizations in
writing promptly to prevent unreasonable delay in the progress of the work.
C. Make available any and all information, requested by the Engineer, in existing
County files pertinent to the project site which shall include, but not be limited to,
utility surveys and plats.
D. Furnish above services at the County's expense, in such a manner that the
Engineer may rely upon them in the performance of his services under this
Agreement.
E. The County will print all construction documentation (contract documents,
technical specifications, and drawings). Distribution to prospective bidders will also
be performed by the County.
F. Arrange for or guarantee full and free access for the Engineer to enter upon all
property required for the performance of the Engineer's services under this
Agreement.

G. For the required design work and services described herein before the County
agrees to pay the Consultant, and the Consultant agrees to accept lump sum
compensation as follows:

H. For the required inspection & testing services described herein before the County
agrees to pay the Consultant, and the consultant agrees to accept unit rate
Compensation as follows:

All invoices shall be submitted by the Consultant to the County for payment
pursuant to the terms of this contract. Upon approval thereof, the County will pay
the appropriate amount of each invoice to the Consultant within 30 days of receipt
of each invoice. Progress payments may be claimed on a monthly basis as follows:
Lump Sum Contracts: The percentage of the total lump sum fee that represents the
ratio of work performed during the month to the total amount of work.
Unit Rate Contracts: The amount of work performed during the month per each Item
Unit.
V. TIME OF PERFORMANCE
Engineer agrees to begin Work on the date agreed upon during the Pre-Design
Meeting or of the date of the Pre-design Meeting and said date shall be the date upon
which all contract time counts for completion of the Work shall be based.

The Engineer shall furnish completed final plans, special provisions and estimates
for the project within 120 calendar days from the date as indicated above,
exclusive of all days lost for review and approval by the County. All days lost for
review shall be documented by the Engineer and submitted to the County for
consideration.
For each calendar day that the Work specified above is incomplete after the time
specified or as adjusted by approved change order, a sum of$200.00 per calendar
day may be deducted from moneys due to the Engineer as liquidated damages.
This sum is fixed and agreed upon between the County and Engineer because the
actual loss to the County and to the public caused by delay in completion will be
impractical and extremely difficult to ascertain and determine.
VI. TERMINATION OF AGREEMENT
This Agreement may be terminated for cause by the County or Engineer upon fifteen
(15) days written notice. In the event of termination, Engineer shall be paid for
services performed to termination date as mutually determined by County and
Engineer.
VII. CHANGE OR EXTRA WORK
In the event the County shall require changes in the scope of work to be performed,
which said changes cause an increase or decrease in the Engineer's total lump sum
fee, the Engineer shall be compensated as mutually agreed upon by and among the
County and Engineer. Any claim by the Engineer for compensation must be made
in writing prior to performance of any changed work or services.
VIII. INSURANCE
The Engineer shall carry the following minimum amounts of insurance:
(1) Workmen's Compensation in statutory limits
(2) Comprehensive General and Automobile Liability Policy for
amounts not less than:
Bodily Injury
Each person $150,000
Each Accident $600,000
Property Damage
Each Accident $150,000
Aggregate $600,000

(3) Architect's and/or Engineers' Professional Liability Policy for amounts not
less than$600,000 aggregate
Said insurance shall be maintained in full force and effect during the term of this contract and
for two(2)calendar years thereafter. Certificates showing the engineering firm is carrying
the above described insurance shall be furnished to the County prior to commencement of
the work.
Said insurance shall include as an additional named insured, Weld County, Colorado,by and
through the Board of Weld County Commissioners, including its agents and employees.
IV. VENUE
This transaction shall be governed by the laws of the State of Colorado.
X. NON-DISCRIMINATION
The Engineer shall not commit any of the following employment practices and
agrees to prohibit the following practices in any subcontracts.
A. To discharge from employment or refuse to hire any individual because of their
race, color, religion, sex, national origin, disability, age, or marital status.
B. To discriminate against any individual in terms, conditions, privileges or
employment because of their race, color, religion, sex, national origin, disability,
age, or marital status.
XI. BENEFITS
The Engineer, as an independent contractor, its agents or employees, will receive
no benefits directly or indirectly that accrue to County employees, in the
performance of this contract.
XII. OWNERSHIP OF ENGINEERING DOCUMENTS
A. All tracings, plans, specifications, estimates, and miscellaneous items purported to
contribute to the completeness of the work shall be delivered to and become the
property of the County. Reproducible copies of drawings and plans will be retained
by the Engineer.
B. Basic survey notes, sketches, charges, computations and other data prepared
hereunder shall be made available to the County upon request.
C. All documents, including drawings and specifications prepared by the Engineer
pursuant to this Agreement,are instruments of services in respect to the project. They
are not intended or represented to be suitable for reuse by County or others on
extensions of the project or on any other project. Any reuse without written
verification or adaptation by Engineer for the specific purpose intended will he at
County's sole risk without liability or legal exposure to Engineer and the County

shall indemnify and hold harmless the Engineer from all claims, damages,losses and
expenses including attorneys fees arising out of, or resulting therefrom. Any such
verification or adaptation will entitle Engineer to further compensation at rates to be
agreed upon by County and Engineer.
IN WITNESS WHEREOF, the parties hereto have executed, or caused to be executed by their duly
authorized officials, this Agreement, each of which shall be deemed an original on the date first
written above.
